The Wendy's Company (WEN) Q3 2026 earnings review
Wendy's profit falls fast as it rescues troubled franchise stores
Wendy's, the fast-food burger chain, unveiled its new turnaround strategy as falling customer traffic and franchisee distress cut deeply into profit. Sales at U.S. restaurants open at least 15 months fell 6%, while profit per share excluding one-offs dropped 46% to $0.13 on lower store margins and $12 million in consulting bills. Chief executive Bob Wright launched the Dave's Way plan and made breakfast optional for stores, without restoring a full-year outlook.
| U.S. same-restaurant sales | -5.7% -7.0% last quarter |
|---|---|
| Revenue excluding advertising funds | $435.6M -1.6% from a year ago |
| Profit per share, excluding one-offs | $0.13 -46% from a year ago |
| Full-year 2026 outlook | Withheld withdrawn last quarter |
โ๏ธ Verdict: ๐ด Bearish
The story got worse because financial strain among franchise operators is now forcing Wendy's to step in with its own balance sheet. unpaid franchise bills drove up bad-debt expenses, and the company signed a deal with lenders to buy up to 163 restaurants from troubled operator Meritage Hospitality Group. One bright spot: U.S. net closures slowed to 13 stores, and finance chief Steve Cirulis said letting quiet locations drop breakfast could add up to $200 million in store-level profit.
The question now is whether buying weak franchise stores and cutting morning hours stabilizes the system or drains corporate cash while diners keep leaving. Either optional breakfast lifts franchisee profits enough to stop defaults, or taking over 163 Meritage stores drags down company margins further. Fourth-quarter bad-debt expenses and the final court-approved Meritage terms will show the cost.
๐ Bull Case
Optional Breakfast Could Save Restaurants $200 Million
Morning hours have hurt restaurant profits and reduced sales at stores open at least 15 months. This quarter, the fast-food chain revised its breakfast strategy "to be location specific" after tests showed profit gains when quiet stores dropped the morning meal.
Finance chief Steve Cirulis said the change "could unlock up to $200 million in restaurant-level EBITDA across the system" (earnings before interest, taxes, depreciation and amortization at individual stores). That relief goes straight to restaurant operators because they stop staffing kitchens during unprofitable morning hours, even though dropping breakfast reduces top-line sales.
What to watch: the fourth-quarter sales drag from stores opting out of breakfast, alongside U.S. restaurant margin. A wider margin on lower morning sales would confirm that cutting hours improves store profits.
U.S. Store Closures Slowed Down
Wendy's spent the first half of 2026 shutting weak U.S. locations, which shrank the base of restaurants paying royalties. In the third quarter, net U.S. closures slowed to 13 stores, leaving 5,711 domestic locations at quarter-end.
- U.S. net closures: 13 in Q3, down from 81 in Q2 and 164 in Q1
- U.S. sales at restaurants open at least 15 months: down 5.7%, compared with a 7.0% drop in Q2
- U.S. total systemwide sales: down 7.6% from a year ago, compared with an 8.2% drop in Q2
The slower pace of closures matches chief executive Bob Wright's decision to end broad closure targets. However, the U.S. store base is still 4.5% smaller than a year ago by our math, and customer traffic kept falling.
What to watch: fourth-quarter U.S. sales at established stores, which face an easy comparison against last year's 11.3% drop and include an extra calendar week. Failure to turn positive would show customer demand is still shrinking.
๐ป Bear Case
Franchisee Strain Spreads to a 163-Store Buyout
"We have evaluated the investment needs of Dave's Way and are confident we have the financial capacity to execute the strategy," Cirulis said. Yet franchisee distress is now pulling corporate cash and balance-sheet capacity into restaurant rescues.
Wendy's signed a letter of intent with franchisee Meritage Hospitality Group and its lenders to buy up to 163 restaurants, subject to higher offers and court approval. Meanwhile, franchise support and other costs rose 53.4% from a year ago to $26.9 million, climbing 1.7 percentage points of revenue by our math because of "an increase in the provision for doubtful accounts" on unpaid franchise fees.
Buying troubled stores turns a royalty collector into a store operator just as restaurant margins are shrinking. That is why the burger chain bought back zero shares again this quarter and kept its quarterly dividend at $0.07, half its level two quarters ago.
What to watch: the purchase price and store-level profit of the Meritage restaurants when a final agreement is filed. Taking on up to 163 low-margin stores will increase corporate operating costs and use up cash.
Traffic Drops and Consulting Bills Cut Profit
Fewer customers visited U.S. restaurants, while beef costs, wages and outside consultants drove expenses higher. Operating profit fell 39.3% from a year ago to $55.8 million, and profit per share excluding one-offs dropped 45.8% to $0.13.
- U.S. company-operated restaurant margin: 11.7%, down 1.4 percentage points from a year ago
- Cost of sales (food, paper and store labor): 88.7% of company store sales, up 1.1 percentage points by our math
- General and administrative overhead: $73.1 million, up 26.3% from a year ago (up 2.8 percentage points of total revenue)
- Profit before interest, taxes, depreciation and one-offs (adjusted EBITDA): $113.4 million, down 17.8%
Overhead jumped because Wendy's spent $11.9 million on third-party consultants for its new strategy and executive changes. Even excluding those fees, overhead rose by $3.4 million by our math while franchise royalty revenue shrank 6.6% to $119.4 million.
What to watch: fourth-quarter U.S. company-operated restaurant margin. With beef inflation easing in the second half of the year, another margin drop would prove that lost customer traffic is outrunning lower food inflation.
International Sales Grow Only on New Openings
Wendy's has relied on international expansion to offset its shrinking U.S. business, adding 27 net international locations in the quarter to reach 1,483 stores. That pushed total international sales up 3.5% in constant currency, less than half the 8.6% pace of a year ago.
However, sales at international restaurants open at least 15 months fell 2.2% from a year ago, marking the third negative quarter in the last four. Because existing foreign stores are losing sales, new openings are doing all the work, and the international division remains too small at 16.5% of global sales by our math to make up for U.S. declines.
What to watch: international sales at established stores in the fourth quarter. A fourth decline in five quarters would show that brand weakness abroad is offsetting new store openings.
Risks this quarter didn't answer
Three standing risks received no new numbers or updates in the third-quarter earnings release.
- Withheld full-year targets: Wendy's did not restore a 2026 financial outlook after withdrawing it last quarter, and gave no multi-year spending budget for Dave's Way.
- Debt leverage and refinancing: net debt stands at $3.01 billion, or 6.5 times trailing 12-month adjusted EBITDA by our math, with no update in the release on refinancing the $430 million of notes due in March 2028.
- China expansion deal: the release gave no update on the 1,000-store China agreement, which either side can cancel without penalty before December 12, 2026.

Dave's Way Replaces Project Fresh Without Targets
Chief executive Bob Wright replaced last year's turnaround plan with Dave's Way, a strategy aimed at "growing customer traffic and market share while strengthening restaurant profitability". The company hired Chief Marketing and Customer Growth Officer Tariq Hassan, began testing menu upgrades, and planned "transfers of franchised restaurants to well-capitalized, high-performing operators". Wendy's recorded $11.9 million in consulting and reorganization charges this quarter, but published no cost targets or revenue goals.
๐ฒ Other KPIs
Revenue excluding advertising funds โ the royalties, store sales and rent Wendy's keeps โ fell 1.6% from a year ago. Total revenue dipped only 0.5% to $547.0 million because franchisees shifted local marketing money into the national advertising fund, which adds to reported revenue without adding profit.
Third-quarter free cash flow fell 37.4% from a year ago by our math, pulling the nine-month total down 10.9% to $174.2 million. Operating cash flow dropped by $36.3 million over the first nine months, which the restaurant group partly cushioned by cutting capital spending and franchise development loans by $23.8 million.
Long-term deferred franchise fees โ upfront cash paid by franchisees for future store openings โ shrank 2.0% from last quarter and 9.0% since the end of 2025 by our math. The balance has fallen every quarter this year as U.S. store closures accelerate fee recognition while new domestic development slows.
๐ฎ Guidance
Unchanged. The board declared a fourth-quarter dividend of $0.07 per share, matching the annualized $0.28 rate set in August after two cuts in five quarters. With third-quarter profit per share excluding one-offs down to $0.13, the quarterly payout takes 53.8% of earnings by our math, right inside the Ohio company's 50% to 60% target.
โ Key Questions
How much will buying 163 Meritage restaurants cost?
Wendy's signed a letter of intent with Meritage and its lenders for up to 163 stores under court approval. Investors need the purchase price, the stores' current profit margins, and whether other struggling franchisees also require buyouts.
Why did Dave's Way launch without financial targets?
Management withdrew its 2026 outlook last quarter to build a turnaround plan, but unveiled Dave's Way with no multi-year revenue, profit or spending numbers. When will the company restore full-year financial targets?
How many stores will drop breakfast to reach $200M?
Finance chief Steve Cirulis said location-specific breakfast could add up to $200 million in store-level profit across the system. How many restaurants must drop morning hours to hit that figure, and how much will that reduce systemwide sales?
Will the 1,000-store China agreement survive past December 12?
Last quarter's filing showed either party can cancel the China master franchise deal without penalty before December 12, 2026. The release did not mention China, leaving open whether Wendy's largest international growth pipeline is still intact.
