Vertiv (VRT) Q3 2026 earnings review

Vertiv sales and orders jump, while factory inventories more than double

Vertiv, which makes power and cooling equipment for data centers, cleared its factory bottlenecks while customer orders doubled again. Sales from businesses owned a year ago rose 55% to $4.31 billion, and profit per share excluding one-offs grew 78%. Chief executive Giordano Albertazzi raised the full-year sales plan by $650 million, which by our math requires only 2% sequential growth in the fourth quarter.

โš–๏ธ Verdict: ๐ŸŸข Bullish

The story got better because the third-quarter shipping surge removed the risk of a year-end factory bottleneck, and Europe returned to 19% underlying sales growth.Albertazzi's report that underlying orders more than doubled also eased fears that last winter's booking boom was a one-off. One caution: inventories more than doubled from a year ago to $3.29 billion, which cut the share of profit turning into cash.

The question now is whether fast-growing sales of pre-assembled data-center systems permanently tie up more cash in factory inventory. If upfront customer deposits keep funding the buildout, cash generation will rebound; if multi-plant production requires heavier stock on hand, cash flow will lag profit. Fourth-quarter inventory and cash flow will tell.

๐Ÿ‚ Bull Case

๐ŸŸข๐ŸŸข GROWTH

Factory Shipments Cleared the Second-Quarter Bottleneck

Last quarter, supply-chain congestion delayed shipments of converged infrastructure, which are large pre-assembled data-center systems built across multiple factories. Those delays raised the risk that Vertiv would need an unrealistic fourth-quarter surge to meet its full-year plan. Instead, chief executive Giordano Albertazzi said the group is now "industrializing converged infrastructure at a scale that didn't exist before", and third-quarter sales beat the middle of its outlook by $563 million.

  • Third-quarter sales from businesses owned a year ago: up 55%, against a 34% to 36% outlook
  • Americas underlying sales: up 66.2%, rebounding from 21.1% growth in the second quarter
  • Fourth-quarter sales outlook: $4.41 billion at the middle of the range, up 2.3% from the third quarter by our math

Because third-quarter revenue already reached $4.31 billion, the raised fourth-quarter target requires almost no sequential growth. That removes the risk of a year-end shipping bottleneck, even though the company still did not say how many dollars shifted out of the second quarter.

What to watch: fourth-quarter underlying sales in the Americas. Holding near the company's 50% target would confirm that new factories in North America are keeping pace with multi-phase project deliveries.

๐ŸŸข๐ŸŸข MARGIN

Europe Returned to Growth and Lifted Margins

Management had promised for a year that Europe, the Middle East and Africa (EMEA) would return to underlying sales growth in the second half of 2026 after four straight quarters of contraction. The region delivered 19.3% underlying sales growth in the third quarter, beating the company's mid-teens target, while Asia-Pacific grew 48.3%. Higher factory output across all three regions lifted company operating margin, excluding one-offs, by 2.9 percentage points from a year ago to 25.2%.

Vertiv credited "operational leverage on higher sales and by manufacturing productivity, partially offset by mix impacts and continued growth investments". By our math, selling, general and administrative expenses (overhead and sales costs) fell by 2.6 percentage points of revenue to 12.9%, while gross margin rose just 0.3 percentage points to 38.1%. Overhead discipline, not product pricing, drove the margin expansion.

What to watch: EMEA operating margin in the fourth quarter. Staying near 28% against a tougher year-ago comparison would show the gain comes from factory efficiency rather than an easy baseline.

Orders Doubled, Confirming the Demand Boom Continues

Since Vertiv stopped reporting quarterly order and backlog figures at the end of 2025, investors could not tell whether record fourth-quarter bookings were a one-time spike. This quarter, Albertazzi said the group is "compressing new product development cycles from years to months" to meet data-center demand. "Our more than 100% organic orders growth year over year and our overall performance are clear testaments to that," he added.

Because underlying orders grew 60% in the third quarter of 2025, doubling them again from that high baseline proves customer intake is still expanding. Current deferred revenue (upfront deposits and milestone payments from customers) also rose by $487 million from last quarter to $4.12 billion, up 264% from a year ago by our math, even as Vertiv shipped $4.31 billion of goods.

What to watch: year-end contracted backlog in the annual report due in February 2027. An increase from last year's $15.0 billion would confirm that full-year bookings outpaced $14.65 billion of sales.

Equipment Growth Outpaced Services as Inventory Doubled

Last quarter, services and spare parts grew faster than equipment, and cash generation topped 150% of profit. Both advantages reversed in the third quarter. Underlying sales of physical products jumped 63.6% from a year ago, while higher-margin services and spares grew 18.1% excluding $118 million from newly acquired businesses. That shift toward hardware kept gross margin improvement to 0.3 percentage points.

  • Inventories: $3.29 billion, up $767 million in the quarter and up 129% from a year ago by our math
  • Share of profit excluding one-offs that turned into free cash flow: 75%, down from over 150% last quarter
  • Fourth-quarter free cash flow implied by the full-year outlook: $470 million, down 48% from a year ago by our math

Vertiv said cash flow reflected "higher adjusted operating profit partially offset by increased working capital and higher capital expenditures to support growth". Stocking factories for large projects is absorbing cash that upfront customer deposits previously supplied.

What to watch: inventory levels at year-end. A further jump alongside flat sequential sales would show that multi-plant production requires permanently higher working capital.

๐Ÿ”ด persistent CAPITAL ALLOCATION

Acquisition Earnouts Keep Widening the GAAP Gap

Vertiv has spent over $1.2 billion since late 2025 buying liquid-cooling and fluid-management businesses, including PurgeRite, ThermoKey and Strategic Thermal Labs. Those deals added $157 million to third-quarter revenue, or 6% of total growth, and supplied more than half of the reported dollar growth in services. However, they also carry contingent consideration, which are extra earnout payments owed to sellers when acquired units hit performance targets.

The company recorded another $34.1 million expense in the third quarter to raise the fair value of those earnout liabilities, bringing the nine-month charge to $96.1 million. Management excludes these charges, along with $65.3 million of intangible amortization, from its headline profit figures. Intriguingly, the fourth-quarter outlook reconciliation assumes zero earnout charges for the rest of the year.

What to watch: contingent consideration expense in the fourth quarter. Another charge would mean the company's headline profit forecast overstates what shareholders keep under standard accounting.

Risks this quarter didn't answer

Three standing risks regarding customer concentration, trade policy and disclosure received no new numbers in the third-quarter earnings release.

  • AI customer and power-architecture concentration: the release gave no update on customer testing of 800-volt direct-current systems; the quarterly filing or conference call will show whether schedules held.
  • Trade policy and tariff refunds: management did not update its tariff assumptions or the status of refund claims from prior import duties; the quarterly filing's contingency footnote will carry any update.
  • Withheld quarterly order book: while management stated that underlying orders more than doubled, it still withholds exact dollar bookings and backlog until the annual report.

๐Ÿ’ฒ Other KPIs

Capital expenditures, including software (26Q3) $141.8 million
โ‡— accelerating

Factory and software spending more than tripled from $46.7 million a year ago, reaching 3.3% of revenue by our math. Over the first nine months, capital spending rose to $430.3 million from $131.4 million last year. Vertiv still plans to spend about 4.0% of sales for the full year, leaving roughly $156 million for the fourth quarter.

Net cash position (26Q3) $783.2 million
โ‡— accelerating

Cash and short-term investments rose to $3.71 billion against $2.93 billion of total debt, lifting net cash from $170.8 million last quarter by our math. Total liquidity, which includes unused credit lines, reached $6.2 billion. The infrastructure group paid $24.0 million in dividends and bought back no shares for a seventh straight quarter.

Accounts receivable (26Q3) $4,379.7 million
โ‡— accelerating

Uncollected customer bills rose 16.8% from last quarter and 55.8% from a year ago by our math, absorbing $631.9 million of operating cash in the third quarter. Because receivables grew slightly slower than the 61.2% jump in revenue, customer collection times improved compared with last year.

๐Ÿ”ฎ Guidance

FY26 Net sales $14,450โ€“14,850 million
๐Ÿ … raised from $13,800โ€“14,200 million
โ‡— accelerating

Raised. The middle of the range moved up $650 million to $14.65 billion, or 43.2% growth from 2025 by our math, with underlying sales up 37% to 39% (previously 30% to 32%). It is the third raise this year, and much larger than the first two: +$250M, +$250M, +$650M.

Q4 Net sales $4,313โ€“4,513 million
๐Ÿ … raised from $4,225โ€“4,425 million
โ‡˜ decelerating

Raised. The middle of the range rose $88 million to $4.41 billion, or 53.2% total growth and 50% underlying growth from a year ago. Because third-quarter sales beat the prior plan by $563 million, the fourth-quarter target requires only 2.3% growth from the third quarter by our math.

FY26 Operating profit, excluding one-offs $3,475โ€“3,555 million
๐Ÿ … raised from $3,285โ€“3,365 million
โ‡— accelerating

Raised. The middle of the range increased $190 million to $3.52 billion, up 68.2% from last year by our math. Full-year operating margin, excluding one-offs, moved up 0.2 percentage points to a range of 23.5% to 24.5%.

Q4 Operating profit, excluding one-offs $1,118โ€“1,158 million
๐Ÿ … raised from $1,096โ€“1,136 million
โ‡˜ decelerating

Raised. The middle of the range rose $22 million to $1.14 billion, up 70.3% from a year ago and 4.7% above the third quarter by our math. Fourth-quarter operating margin, excluding one-offs, stays at 25.3% to 26.3% (25.8% at the middle), up 0.6 percentage points from the third quarter.

FY26 Diluted EPS, excluding one-offs $7.10โ€“7.20
๐Ÿ … raised from $6.65โ€“6.75
โ‡— accelerating

Raised. Management lifted the middle of the range by $0.45 to $7.15, or 70% growth from 2025, while GAAP diluted EPS rose from $5.87 to $6.29. Each quarterly raise this year has been larger than the last: +$0.33, +$0.35, +$0.45.

Q4 Diluted EPS, excluding one-offs $2.22โ€“2.28
๐Ÿ … raised from $2.17โ€“2.23
โ‡˜ decelerating

Raised. The middle of the range moved up $0.05 to $2.25, or 65% growth from a year ago, while GAAP diluted EPS rose from $2.00 to $2.08. Vertiv has beaten its quarterly profit-per-share outlook for five straight quarters by an average of $0.21 over the last four.

FY26 Free cash flow, excluding one-offs $2,600โ€“2,800 million
๐Ÿ … raised from $2,400โ€“2,600 million
โ‡˜ decelerating

Raised. The middle of the range moved up $200 million to $2.70 billion, up 43.1% from 2025 by our math. Because the company already generated $2.23 billion in the first nine months, the full-year plan leaves $470 million for the fourth quarter, down 48% from a year ago as inventory builds absorb cash.

โ“ Key Questions

Why does the fourth-quarter outlook assume zero earnout charges?

Contingent consideration charges for PurgeRite and other acquisitions cost $34.1 million in the third quarter and $96.1 million year to date. The full-year reconciliation keeps the year-to-date $96.1 million figure, implying zero fourth-quarter expense even as cooling demand accelerates.

Why does the fourth-quarter plan imply lower cash flow?

By our math, the raised $2.70 billion full-year free cash flow target leaves $470 million for the fourth quarter, down from $652 million in the third quarter and $910 million a year ago. Management did not explain whether inventory builds or slower customer deposits drive the drop.

How much of the third-quarter beat came from delayed shipments?

Third-quarter sales beat the middle of the company's plan by $563 million after supply-chain congestion held back second-quarter deliveries. Knowing how much revenue shifted between quarters is necessary to judge the true underlying run rate.

Why has underlying services growth lagged equipment sales so far?

Excluding acquisitions, services and spares grew 18.1% in the third quarter against 63.6% for physical products. Investors need to know whether warranties and maintenance contracts simply lag hardware installations by a year or if customers are buying fewer services per megawatt.
