UL Solutions (ULS) Q3 2026 earnings review
UL Solutions raises its sales plan, but deal costs rise
UL Solutions, the product safety testing and certification group, sped up its underlying sales growth instead of slowing down as its earlier plan implied. Sales from businesses owned a year ago rose 7%, led by industrial and consumer product testing, and finance chief Ryan Robinson lifted the full-year underlying growth target to 6.5%. The company also closed its $686 million purchase of Eurofins' electrical testing business the day after the quarter ended.
| Sales from businesses owned a year ago | +7.0% +6.6% last quarter; reported sales $823M (+5.1%) |
|---|---|
| Adjusted EBITDA margin | 28.6% +0.9 percentage points from a year ago |
| Profit per share, excluding one-offs | $0.62 +10.7% from a year ago |
| Full-year underlying sales outlook | Raised to ~6.5% from ~5% previously |
โ๏ธ Verdict: ๐ข Bullish
The story got better because third-quarter demand settled the debate over the second half, proving the old full-year plan was simply cautious. Lower service delivery costs also lifted segment profit margins. One caution: employee stock pay rose by half and deal bills increased, which pushed standard operating margin down slightly and kept the full-year Adjusted EBITDA margin target unchanged at 27%.
The question now is whether the Eurofins acquisition and higher laboratory spending dilute cash flow and margins into 2027. Optimists see new testing labs funded by rising cash flow, while skeptics point to heavy deal costs and employee stock pay eating into operating profit. The initial 2027 outlook next quarter will settle it.
๐ Bull Case
Core Testing Speeds Up and Lifts the Plan
UL Solutions tests and certifies products for safety, and its earlier full-year outlook pointed to a second-half slowdown. Instead, sales from businesses it owned a year ago sped up to 7.0% growth, beating what that prior plan implied. Chief executive Jennifer Scanlon linked the demand to the energy transition and electrification, while finance chief Ryan Robinson said, "Given our strong year-to-date results and continued momentum in key end markets, we are strengthening our outlook for organic revenue growth to approximately 6.5%."
- Industrial underlying sales: up 8.4% from a year ago, faster than 7.2% last quarter
- Consumer underlying sales: up 5.9% from a year ago, holding near last quarter's 6.2% pace
- Certification Testing: up 10.7% to $248 million, leading all service lines
- Ongoing Certification Services: up 7.1% to $270 million in recurring follow-up inspection fees
This matters because upfront certification testing brings new products into the system, which later generate recurring inspection fees. By our math, the raised full-year target points to 6.7% underlying growth in the fourth quarter, confirming that the earlier outlook was cautious.
What to watch: fourth-quarter Consumer and Industrial underlying growth when full-year results arrive. Holding near 6.7% against last year's high comparison would show that demand from power and electronics customers remains steady.
Lower Service Costs Lifted Segment Margins
UL Solutions started a restructuring plan last year to cut staff and exit weaker service lines, aiming for $25 million to $30 million in yearly profit savings by early 2027. Robinson credited "broad-based demand, operating leverage and productivity gains" for pushing the company's Adjusted EBITDA margin (profit before interest, taxes, depreciation, stock pay and one-offs) up 0.9 percentage points to 28.6%.
The direct cost of delivering testing services fell by 1.1 percentage points of revenue, to 48.6% from 49.7% a year ago. Because laboratory staff and facility costs grew much slower than sales, standard operating profit margins rose 0.5 percentage points in Industrial to 29.3% and 0.7 percentage points in Consumer to 12.5%.
What to watch: cost of revenue as a share of sales in the fourth quarter. Another drop before the restructuring plan finishes in the first quarter of 2027 would show that laboratory productivity is still improving.
Portfolio Reshaping Closes on Schedule
The safety science group spent 2026 trading out of peripheral software and into core laboratory testing. Having already sold its workplace safety software unit in April for $201 million, the company completed two major deals in October right after the third quarter ended.
On October 1, it bought the electrical and electronics testing business of Eurofins Scientific for $686 million in cash, calling it "the largest acquisition in the Companyโs history". Management said the deal will "strengthen the Companyโs TIC capabilities in electromagnetic compatibility, wireless testing, electrical safety, medical devices and other technologies". On October 30, it sold its stake in DQS Holding for $117 million and used the cash to pay down credit line borrowings.
What to watch: acquisition revenue in the fourth-quarter revenue table. That figure will give the first clean reading on how much the new laboratories add to quarterly sales.
๐ป Bear Case
Stock Pay and Overhead Cut Operating Margin
Robinson highlighted a record 28.6% Adjusted EBITDA margin, up 0.9 percentage points from a year ago. That headline figure leaves out stock-based pay for employees, which is a real cost to shareholders and has grown much faster than revenue all year.
In the third quarter, selling, general and administrative overhead rose 1.2 percentage points of revenue, to 31.6% from 30.4% a year ago. Stock-based pay jumped 53% to $23 million, up from $15 million last year, and deal costs took another 0.3 percentage points of sales. Because overhead grew faster than gross profit, standard operating margin actually fell 0.2 percentage points to 19.7%, and the $8 million jump in stock pay supplied 44% of the $18 million gain in Adjusted EBITDA.
What to watch: stock-based pay and overhead in the fourth quarter. If stock pay stays near $23 million a quarter, standard operating margins will keep lagging the headline profit measure.
Deal Costs Cap Fourth-Quarter Profit Margins
Even though third-quarter Adjusted EBITDA margin beat the implied second-half pace by a full percentage point, Robinson kept the full-year margin target unchanged at about 27.0%. The company does not strip out acquisition and integration bills when it calculates Adjusted EBITDA.
UL Solutions said the full-year 27.0% target includes about 2.0 percentage points of underlying margin gains, offset by about 0.9 percentage points of extra transaction costs compared with 2025. Because deal costs only reduced the third-quarter margin by 0.3 percentage points, the October closing of the Eurofins deal brings a much heavier bill in the fourth quarter, leaving the implied fourth-quarter Adjusted EBITDA margin near 26.6% by our math, down from 27.5% a year ago.
What to watch: the initial 2027 margin outlook when fourth-quarter results arrive. That target will show whether the Eurofins laboratories dilute profit margins after the one-time closing bills pass.
Risks this quarter didn't answer
Four standing concerns from earlier quarters received no new numbers in the third-quarter earnings release.
- Advisory business demand: folded into the Industrial segment this year; the quarterly filing or conference call will show if renewable energy and real estate consulting stopped shrinking.
- Multi-year capital spending: management previously split on whether capital spending stays near 8.5% of sales or drops back to 6โ8%; the 2027 outlook next quarter will settle it.
- China joint venture exposure: rules and trade tensions around UL-CCIC remain a listed risk, with geographic revenue details due in the quarterly filing.
- Alarm-system lawsuit: no update in the release on the class action over certified alarm units; the legal footnote in the quarterly filing will show any progress.
๐ Other Themes
Geopolitical Tension Could Delay Customer Testing
In its outlook commentary, UL Solutions warned that trade and geopolitical uncertainty has caused, and may continue to cause, some customers to "modify, delay or cancel plans to purchase services". The testing group said it cannot estimate future hits if manufacturers hold back new product launches, though third-quarter testing volumes showed no slowdown.
๐ฒ Other KPIs
Up 8.6% from $255 million a year ago, even after removing the workplace safety software unit sold in April. Contract liabilities โ cash customers have paid upfront for testing and software not yet delivered โ grew faster than both reported and underlying revenue, pointing to steady near-term work.
Up 41.3% from $109 million in the third quarter of last year by our math, subtracting first-half figures from nine-month totals. Nine-month free cash flow rose 24.6% to $395 million on higher operating profit and working capital timing, easily funding $61 million of third-quarter laboratory equipment and software spending.
Up from $303 million in June and $494 million at year-end 2025, while cash rose to $1,016 million. The testing company drew down its credit line right before September 30 to pay $686 million for the Eurofins testing business on October 1, then used $117 million from the DQS sale on October 30 to pay part of it back.
๐ฎ Guidance
Raised. Management lifted its full-year underlying sales growth target from roughly 5% to about 6.5%, which includes a 0.7 percentage point drag from exited businesses (down from 1.0 point previously). By our math, that leaves about 6.7% underlying growth for the fourth quarter, matching the first three quarters. UL Solutions has beaten its initial annual growth plan in each of the last three years.
Unchanged. The plan still calls for Adjusted EBITDA margin to reach about 27.0% this year, up from 25.9% in 2025. After reaching 27.2% over the first nine months and 28.6% in the third quarter, the target leaves about 26.6% for the fourth quarter by our math, weighed down by closing and integration costs for the Eurofins deal.
Unchanged. The company still plans to spend about 8.5% of revenue on laboratories and software this year, after raising the target from 7โ8% last quarter. With capital spending at 8.3% of sales over the first nine months (7.4% in the third quarter by our math), the plan points to a step-up to roughly 9.0% of sales in the fourth quarter.
Unchanged. The full-year tax rate forecast stays at roughly 26%. The rate was 26.9% in the third quarter and 25.3% over the first nine months, keeping the full-year target on track.
โ Key Questions
What will Eurofins E&E add to fourth-quarter sales and profit?
The $686 million acquisition closed on October 1, the first day of the fourth quarter. Management disclosed that full-year deal costs will hit margins by 0.9 percentage points, but did not state the acquired unit's fourth-quarter revenue or profit margin.
Will capital spending stay near 8.5% of sales in 2027?
Nine-month capital spending reached 8.3% of sales, up from 6.5% in 2025. Last quarter the chief executive called the 8.5% rate a one-year spike while the finance chief said it could last for a few years.
Why did stock-based pay jump 53% to $23 million?
Stock-based compensation has stayed at $23 million for two straight quarters, up from $15 million a year ago, causing standard operating margin to dip even as Adjusted EBITDA margin hit a record. Investors need to know the expected 2027 run rate.
How did the Advisory business perform inside Industrial?
Industrial underlying growth sped up to 8.4% from 7.2% last quarter. Because management folded the Advisory unit into Industrial this year, the release does not show whether renewable energy consulting recovered or if laboratory testing carried the whole gain.
