Ultra Clean Holdings, Inc. (UCTT) Q3 2026 earnings review

Ultra Clean's sales and margins jump, but inventory drains cash

Ultra Clean Holdings, which makes parts and subsystems for chip-making equipment, posted record sales and higher margins while burning cash on inventory. Revenue jumped 49% from a year ago, and operating margin excluding one-offs reached 9%, above what the company's own plan pointed to. Chief executive James Xiao forecast $800 million to $860 million in fourth-quarter sales as artificial-intelligence demand expands.

At a glance
Revenue$759.0M +48.8% from a year ago
Operating margin, excluding one-offs9.0% 7.0% last quarter
Third-quarter free cash flow-$61.8M by our math, on a $93.4M inventory build
Fourth-quarter revenue outlook$800–860M middle of the range: +63.8% from a year ago

⚖️ Verdict: 🟢 Bullish

The story got better because factory profit margins are scaling ahead of schedule. Operating margin excluding one-offs rose two percentage points in a single quarter, proving that existing factories can approach the 10% target as volume fills up, while a normal tax rate allowed reported profit to catch up. The bad news: inventory rose to $723 million and operating cash flow stayed negative at $42 million by our math, prompting the company to sell stock and draw on its credit line.

The question now is whether the $723 million inventory pile will convert into cash over the next two quarters or leave the company exposed if chip-tool orders slow. Either fourth-quarter deliveries drain the stockpile and turn cash flow positive, or working capital keeps absorbing cash and requires more borrowing. Fourth-quarter operating cash flow and inventory levels will tell.

🐂 Bull Case

🟢🟢 strengthening PRODUCT

Equipment Subsystems Drive Record Revenue and Outlook

Ultra Clean's Products division builds complex subassemblies and high-precision parts for companies that make chip-manufacturing tools. Chief executive James Xiao said the group grew "as we responded with speed and agility to scale production and meet accelerating customer demand." He added that "We are positioning UCT to capture more value from this next phase of AI-driven industry expansion."

  • Products revenue: $681.9 million, up 53.2% from a year ago and 19.1% from last quarter
  • Total revenue: $759.0 million, beating the $700–750 million plan
  • Fourth-quarter revenue outlook: $800–860 million, or $3.32 billion annualized at the middle of the range

That fourth-quarter plan matters because it brings the hardware supplier within reach of its $3.5 billion year-end capacity target. Even with an extra calendar week in the fourth quarter and an easy comparison against last year's trough, adding $71 million of sequential sales at the middle of the range shows chip-equipment orders are still accelerating.

What to watch: fourth-quarter prepared remarks on whether the $3.5 billion capacity target is ready on schedule. Completing the Singapore and Czech Republic factory expansions on time would keep the 2027 $4 billion goal on track.

🟢🟢 strengthening MARGIN

Operating Margin Hits 9% as Overhead Scales

Through an operating plan called UCT 3.0, Xiao said the company is "building a more agile and efficient company." Because factory and office overhead barely grew while sales jumped, operating margin excluding one-offs rose 2.0 percentage points from last quarter to 9.0%, approaching the 10% target management set for a $4 billion revenue pace.

On a reported basis, total operating expenses fell by 4.2 percentage points of revenue from a year ago to 9.8%. General and administrative costs (management and back-office overhead) dropped 3.0 percentage points to 6.6% of sales, while sales and marketing fell 0.9 percentage points and research and development fell 0.4 percentage points. Gross margin excluding one-offs also reached 17.3%, clearing management's 17% second-half goal.

What to watch: fourth-quarter operating margin excluding one-offs, where the earnings outlook points to roughly 9% on $830 million of sales. Holding or beating 9% would show that higher factory volume continues to lift profitability without needing a shift toward higher-margin services.

🟢 fading CASH

Reported Profit Catches Up as Taxes Normalize

For the past two quarters, high foreign tax charges and unrecognised US tax credits kept reported profit far below earnings excluding one-offs, causing the company to miss its own reported profit plan in the second quarter. In the third quarter, the effective tax rate dropped to 20.2% from 60.3% in the prior period.

The tax hit from unrecognised US tax losses fell to $0.1 million from $12.1 million in the second quarter, so reported profit per share jumped from $0.19 to $0.85, landing near the top of the $0.67–0.87 outlook. Management also forecast $1.02–1.26 in reported profit per share for the fourth quarter, narrowing the gap with earnings excluding one-offs to $0.09 per share.

What to watch: the fourth-quarter tax reconciliation table. Another quarter with minimal valuation-allowance charges would confirm that rising US factory utilization is generating enough domestic profit to absorb tax credits.

🐻 Bear Case

🔴🔴 persistent CASH contradicts narrative

Inventory Build Drains Cash for a Third Quarter

Management has described its heavy raw-material buying as a temporary investment that turns into sales over one to two quarters. Instead, the inventory pile grew by another $93.4 million this quarter to $723.3 million, up 89.2% from a year ago against a $6.6 million third-quarter addition last year, keeping operating cash flow deeply negative despite record profit.

  • Third-quarter operating cash flow: -$42.3 million by our math, after -$41.1 million in Q2 and -$33.3 million in Q1
  • Third-quarter free cash flow: -$61.8 million by our math, or -8.1% of revenue
  • Nine-month operating cash outflow: -$116.7 million, driven by a $332.4 million inventory outflow

Because the company carries only a 17.3% gross margin excluding one-offs, holding $723.3 million of stock leaves little room for error if chip-tool orders slow. Accounts payable also rose by $34.6 million this quarter to $335.2 million, meaning unpaid supplier bills cushioned what would have been an even larger cash drain.

What to watch: fourth-quarter operating cash flow and net new inventory. A fourth straight quarter of negative operating cash flow while revenue growth moderates to 9.4% sequentially would show that working capital is not converting on the one-to-two-quarter lag.

🔴 new CAPITAL ALLOCATION

Stock Sales and Debt Fund the Inventory Ramp

Because operations consumed $162.0 million of free cash flow over the first nine months of the year, Ultra Clean tapped outside financing in the third quarter to keep cash on the balance sheet. The company raised $34.0 million after fees by selling common stock through an at-the-market offering and borrowed $50.0 million on its revolving credit line.

Those inflows lifted cash by $15.0 million from last quarter to $270.9 million, but total debt rose by $35.7 million to $635.1 million, pushing net debt up by $20.7 million to $364.2 million by our math. Issuing new shares in the third quarter also reverses part of the $40.0 million stock buyback the company executed in the first quarter.

What to watch: fourth-quarter financing cash flows and diluted share count. Further credit-line draws or at-the-market stock sales would indicate that the capacity ramp cannot fund itself internally.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Five standing concerns — including whether the company is diversifying away from its top two customers or growing more dependent on them — received no update in the earnings release because the details live in the quarterly filing or conference call.

  • Customer concentration vs diversification: the quarterly filing will show whether Lam Research and Applied Materials rose above last quarter's 61.3% combined revenue share.
  • Purchase commitments: the filing's footnotes will show whether non-cancellable inventory purchase commitments grew beyond last quarter's $971.1 million.
  • Southeast Asia expansion and long-term model: the call will test whether management has committed capital for the $5 billion capacity phase or updated its margin targets.
  • Factory utilization and workforce scaling: last reported at 65% three quarters ago, any new utilization figure on the call will test the margin bridge to 20%.
  • International and China revenue mix: the filing's geographic table will show the revenue share exposed to export controls and tariffs.

⇗ accelerating

Uncollected customer bills rose 36.5% from a year ago and 31.0% from last quarter. Over the first nine months of the year, rising receivables absorbed $63.6 million of operating cash flow, though the balance is still growing slower than the 48.8% year-over-year rise in total revenue.

Capital expenditures (26Q3) $19.5 million
⇗ accelerating

By our math, cash spent on property, plant and equipment rose to $19.5 million in the third quarter (2.6% of sales), up from $16.2 million in the second quarter and $9.6 million in the first quarter as the company builds out cleanroom space across its global factories.

🔮 Guidance

Q4 Revenue $800–860 million
⇗ accelerating

New. The middle of the range ($830 million) points to 63.8% growth from a year ago and 9.4% from this quarter by our math. The comparison benefits from last year's trough ($506.6 million) and an extra 53rd fiscal week in Q4. Ultra Clean has beaten its revenue midpoint for four straight quarters by an average of 4.2%; if the pattern holds, Q4 revenue would reach $865 million by our math.

Q4 Diluted EPS, excluding one-offs $1.11–1.35
⇗ accelerating

New. The middle of the range ($1.23) represents a 7.0% rise from this quarter's $1.15 and more than five times the $0.22 reported a year ago by our math. The sequential gain is slightly slower than the 9.4% revenue step, implying operating margin holds near this quarter's 9.0% level.

Q4 Reported diluted EPS $1.02–1.26
⇗ accelerating

New. At the middle of the range ($1.14), reported profit per share rises 34.1% from this quarter's $0.85, swinging from a $0.07 loss a year ago by our math. The narrower gap against profit excluding one-offs indicates management expects a normal tax rate again in the fourth quarter.

❓ Key Questions

When will inventory stop draining operating cash flow?

Inventories jumped another $93.4 million to $723.3 million and operating cash flow was negative $42.3 million by our math for a third quarter, forcing $84 million in stock sales and credit-line draws.

Why issue $34 million in stock after buying back $40 million?

Ultra Clean repurchased $40.0 million of shares in the first quarter alongside its convertible note offering, then raised $34.0 million via an at-the-market share issuance in the third quarter.

What is current factory utilization across the global footprint?

Management last gave a utilization figure (65%) three quarters ago. With revenue approaching a $3.3 billion annualized pace, investors need the updated rate to test the path to a 20% gross margin.

How much of Q4's $830 million plan comes from the extra week?

Fiscal 2026 is a 53-week year with the extra week falling in the fourth quarter, which makes it harder to separate underlying equipment demand from calendar length in the 9.4% sequential growth plan.
