Townsquare Media (TSQ) Q3 2026 earnings review

Townsquare digital ad sales grow, but the company suspends dividends

Townsquare Media, an operator of local radio stations and digital ad services, beat its sales plan on election spending but ended its dividend. Revenue rose 4% from a year ago, or 1% excluding political ads, while cash profit before one-offs excluding political ads fell 8%. Chief executive Bill Wilson suspended the payout to save $14 million a year and trimmed the top end of the full-year cash profit plan.

โš–๏ธ Verdict: ๐Ÿ”ด Bearish

The story got worse because none of the digital units are turning sales into profit growth while high debt costs forced a dividend halt. Digital ad sales rose 13% yet segment profit slipped 2%, and Wilson dropped the goal of returning the subscription marketing unit to quarter-over-quarter growth in the fourth quarter. The good news: keeping the dividend cash stops the company from borrowing on its credit line to pay shareholders.

The question now is whether automated digital ad sales can ever lift profit margins, or if third-party ad space costs will keep eating the revenue gains. One side sees a growing 122-market partner network; the other sees low-margin ad resale replacing lost radio dollars. Fourth-quarter digital segment profit and credit line paydowns will tell.

Partner Ad Network Expands to 18 Media Groups

Townsquare Ignite, the division that sells digital ads across local websites and apps, grew revenue 12.7% from a year ago to $45.3 million. Growth sped up for a third straight quarter, led by a 22.5% rise in programmatic ads, which are automated ad sales. Within that unit, Media Partnerships sells Townsquare's ad tools to other publishers.

The company added two publishers this quarter, bringing the network to 18 partners and 122 markets across the United States, up from 16 partners and 115 markets in June. Chief executive Bill Wilson said "we expect Media Partnerships revenue to more than double in 2026" from last year's $6 million base, because white-label partners let the radio owner enter new cities without buying stations.

What to watch: full-year Media Partnerships dollar revenue in the fourth-quarter report. Clearing $12 million would show the partner network is scaling fast enough to support the multi-year $50 million goal.

๐ŸŸข fading GROWTH

Election Ad Spending Lifts the Full-Year Revenue Plan

Even-numbered years bring election ad spending to local radio stations, and buyers had worried this cycle was running behind the company's $8 million full-year target. Instead, third-quarter political revenue reached $2.9 million, up from $0.2 million a year ago. Wilson credited "political revenue that is tracking ahead of our expectations" for pushing total sales to $110.9 million, above the $108 million to $110 million outlook.

That election wave allowed management to lift the middle of its full-year revenue forecast by $3 million, to $431 million. Still, one quarter of strong campaign ad buying only fades the concern over the full-year target, because $4.9 million of nine-month political sales leaves over $3 million for the final month before the November vote.

What to watch: fourth-quarter political revenue in the full-year report. A reading above $3.1 million would mean campaign spending met the $8 million full-year target.

Townsquare Suspends Its Dividend as Debt Costs Bite

For over a year, Townsquare paid a $0.20 quarterly dividend while its debt load crept higher and cash generation fell short of the payout. This quarter, the board ended it. "Given these challenges, and the meaningful direct impact of higher interest rates on our floating-rate debt, we have made the decision, together with our Board, to suspend our quarterly dividend," Wilson said.

  • Annual cash saved by ending the dividend: about $14 million
  • Nine-month free cash flow: $3.0 million by our math, against $10.9 million of dividends paid
  • Credit line borrowings over nine months: $18.0 million, leaving $4.6 million in cash
  • Net debt to trailing Adjusted EBITDA: 5.43 times on $467.5 million of total debt

Stopping the payout ends a cash drain that forced the broadcaster to borrow on its credit line just to pay shareholders. Wilson said the company will keep the cash "for general corporate liquidity and to opportunistically pursue higher-return opportunities", but variable-rate debt still took $30.9 million of cash interest over nine months.

What to watch: credit line repayments and net debt in the fourth-quarter report. Using the saved cash to pay down the $18 million credit line draw would show the company is prioritizing debt reduction over new spending.

Digital Ad Sales Grow, but Profit Still Falls

Wilson said third-quarter results show the strength of the digital advertising platform, and Townsquare Ignite is supposed to replace lost radio profit. Yet while segment revenue rose $5.1 million, or 12.7%, from a year ago, its segment profit fell 1.7% to $8.5 million. Third quarter was supposed to be an easier comparison after a drop in search engine traffic hurt results a year ago.

Profit shrank because direct operating expenses in the digital ad unit โ€” the cost of buying ad space and paying the sales team โ€” rose 16.7% to $36.9 million. By our math, those costs took 81.3% of segment revenue, up 2.8 percentage points from 78.5% a year ago, as third-party ad buying replaced higher-margin ads on Townsquare's own websites.

What to watch: Digital Advertising segment profit margin in the fourth quarter. A further drop below 18.7% would confirm that automated ad sales add top-line growth without adding earnings.

Subscription Software Misses Its Fourth-Quarter Growth Target

Townsquare Interactive sells monthly website and marketing subscriptions to small businesses, and management had promised the unit would return to quarter-over-quarter revenue growth by the fourth quarter of 2026. Instead, third-quarter revenue fell 8.5% from a year ago and 0.6% from last quarter to $17.1 million, while Wilson dropped the fourth-quarter target.

He noted that "lower-than-anticipated sales velocity means it will not return to sequential revenue growth in Q4 2026 as we had projected", blaming smaller sales headcount as the company rebuilds its team. Bulls point to the unit's 36.3% segment profit margin, as lower operating expenses kept quarterly profit steady at $6.2 million, but cost cuts cannot grow earnings indefinitely while the customer base shrinks.

What to watch: quarter-over-quarter revenue change at Townsquare Interactive in the first half of 2027. Continued sequential drops would show the newly hired sales reps are still not offsetting customer cancellations.

๐Ÿ”ด persistent MACRO

Local Radio Ad Slump Will Worsen in Q4

Broadcast Advertising, which sells commercials on local radio stations outside the 50 largest US cities, still provides half of Townsquare's segment profit. Excluding election ads, radio revenue fell 5.2% from a year ago to $44.4 million, because local advertisers face "pressure from higher operating costs and interest rates" and are cutting back on traditional media.

Wilson warned that non-political radio declines will deepen in the fourth quarter, "partly as political advertising crowds out other inventory". Meanwhile, falling broadcast values triggered another $8.1 million non-cash write-down of intangible assets this quarter, taking nine-month write-downs to $43.3 million and eroding the asset base that backs the company's debt.

What to watch: Broadcast Advertising revenue excluding political ads in the first quarter of 2027, once election crowding ends. A drop worse than 5% would show local advertisers have permanently left radio rather than just waiting out the election.

Deferred revenue (26Q3) $9.17 million
โ‡„ reversing

Deferred revenue โ€” cash customers have paid upfront for marketing subscriptions and ads not yet delivered โ€” rose 12.1% from a year ago and 9.5% from last quarter. That reverses four straight quarters of year-over-year declines and adds $0.8 million of upfront customer balances since June.

Diluted share count (26Q3) 18.03 million
โ‡— accelerating

Weighted average basic and diluted shares rose 10.6% from 16.30 million a year ago, speeding up from a 9.8% year-over-year increase in the second quarter. Townsquare has not bought back shares since 2024, so employee stock grants are steadily diluting existing owners.

Accounts receivable (26Q3) $57.65 million
โ‡— accelerating

Uncollected customer bills grew 3.9% from $55.49 million a year ago, matching the 3.9% rise in quarterly net revenue. Since December, receivables have climbed $5.6 million as seasonal third-quarter and election ad billings built up, tying up $8.6 million of operating cash over nine months.

โ‡˜ decelerating

New. The plan calls for 1.4% year-over-year growth at the middle of the range, slowing from 3.9% in the third quarter. By our math, the $108 million middle sits $1.1 million above what the prior full-year outlook had left for the fourth quarter, helped by peak election ad spending before November.

Q4 2026 Adjusted EBITDA $23.0โ€“25.0 million
โ‡— accelerating

New. Management expects operating cash profit before one-offs to grow 11.5% from a year ago at the $24 million middle of the range, up from 2.7% growth in the third quarter. High-margin political ads carry the fourth-quarter jump against a non-election comparison year, though the midpoint sits $0.3 million below what the prior full-year plan implied.

Cut. Townsquare trimmed the top end of its full-year cash profit range by $1 million, lowering the middle of the range by $0.5 million to $88.0 million, essentially flat against last year's $88.1 million. It is the second straight trim to the midpoint: $0 million in Q1, -$1.5 million in Q2, and -$0.5 million in Q3.

โ“ Key Questions

Why is digital ad profit falling while sales grow 13%?

Digital Advertising added $5.1 million of revenue from a year ago, yet its segment profit fell $0.2 million because direct operating costs jumped 16.7%. Investors need to know how much of that cost rise is third-party ad inventory versus new sales hires.

When will Townsquare Interactive return to quarter-over-quarter revenue growth?

Management dropped its target for sequential revenue growth at the subscription marketing unit in the fourth quarter of 2026. The company has not given a new timeline, current subscriber numbers, or how many sales reps it still needs to hire.

Will the $14 million of saved dividend cash pay down the credit line?

Townsquare borrowed $18 million on its credit facility over the first nine months while paying $10.9 million in dividends. Management cited both corporate liquidity and new growth opportunities for the saved cash, leaving unclear how much debt it will repay in Q4.

How are website traffic and AI search affecting owned digital properties?

The press release gave automated ad growth (+22.5%) and partner counts (18), but said nothing about audience traffic or remnant ad sales on Townsquare's own 400 local websites, which suffered from search engine changes last year.
