TriplePoint Venture Growth BDC Corp. (TPVG) Q3 2026 earnings review
TriplePoint's lending profit falls, but its manager extends fee relief
TriplePoint Venture Growth, a lender to venture-backed tech companies, saw its core profit drop well below its dividend while loan markdowns trimmed book value. Net investment income fell to $0.16 per share against a $0.23 regular payout because the loan portfolio shrank and borrowing costs took a bigger bite of revenue. Chief executive Jim Labe pointed to long-term book value growth, but $13 million in fresh debt markdowns pushed net asset value down 4% from last quarter to $8.32 per share.
| Total investment income | $20.2M -11.0% from a year ago |
|---|---|
| Net investment income per share | $0.16 $0.23 regular quarterly distribution |
| Net asset value per share | $8.32 -4.0% from last quarter |
| 2027 incentive fee outlook | Waived extended in full through end of 2027 |
โ๏ธ Verdict: ๐ด Bearish
The story got worse because lending stalled during the quarter and credit losses cut into the asset base faster than fee relief could offset. On the bright side, the company's external manager extended its full incentive fee waiver through 2027, and a $44 million loan sale lowered debt levels enough for new deal commitments to rebound.
The question now is whether October's lending pickup can rebuild the portfolio fast enough to cover the dividend before undistributed reserves run low. Either the new commitments turn into net portfolio growth, or early loan payoffs keep shrinking the interest-earning base. Fourth-quarter ending debt investments and the February 2027 note refinancing terms will settle it.
๐ Bull Case
Adviser Extended Its Fee Waiver Through 2027
TriplePoint Venture Growth BDC Corp., a lender to venture-backed technology companies, relies on fee relief from its external manager to support its profit. The manager, TriplePoint Advisers LLC, previously agreed to waive its quarterly income incentive fee through the end of 2026. After the third quarter closed, the manager amended that agreement to "waive, in full, its quarterly income incentive fee through the end of fiscal year 2027".
That extension removes the risk of a sudden fee drag in January, because the waiver saved the lender $3.2 million over the first nine months of 2026. Without the fee due in the third quarter, the board also has $36.9 million, or $0.90 per share, of undistributed taxable earnings to help cover future payouts.
What to watch: net investment income per share in the fourth quarter. A reading closer to the $0.23 regular distribution would mean the fee waiver and October loan prepayments are enough to stabilize dividend coverage.
Deal Allocations and Balance Sheet Cushion Improved
Chairman and chief executive Jim Labe said the venture lender continues to "advance our sector rotation and diversification strategy, as we invest in companies across AI and other attractive sectors". In the first half of 2026, high debt levels kept the company from taking much of its sponsor platform's deal flow. In the third quarter, it sold its investment in Prodigy Investments Limited for $43.8 million in cash.
- Gross leverage ratio (debt divided by net assets): 1.18x, down from 1.26x last quarter
- Share of sponsor term sheets allocated to the company in Q3: 40.6% ($43.0 million of $106.0 million), by our math
- Share allocated after quarter-end: 48.0% ($60.0 million of $125.0 million), by our math
Selling the Prodigy loan allowed the company to pay down $45.0 million on its credit line, so its balance sheet now has room to accept new loans again. In ADDITION, president and chief investment officer Sajal Srivastava noted that five active debt borrowers raised $1.5 billion in private capital during the quarter, which improves their cash buffers.
What to watch: new debt commitments closed in the fourth quarter beyond the $60.0 million already announced. Continued allocations near half of the sponsor's pipeline would confirm the balance sheet cap has lifted.
๐ป Bear Case
Core Profit Fell Further Below the Dividend
Net investment income, the profit from lending after expenses that funds shareholder payouts, dropped 36.1% from a year ago to $6.6 million, or $0.16 per share. That leaves a $0.07 per share gap below the $0.23 regular quarterly distribution, wider than the $0.02 gap in the second quarter. Total investment income fell 11.0% to $20.2 million as the loan book shrank.
- Interest expense and fee amortization: 39.0% of investment income, up 9.1 percentage points from a year ago by our math
- Base management fees: 17.7% of investment income, up 2.8 percentage points from a year ago by our math
- Payment-in-kind interest (non-cash interest added to loan principal): 37.4% of net investment income, by our math
Profit fell much faster than revenue because borrowing costs rose after the lender replaced cheaper notes earlier this year with higher-rate debt. Over a third of core profit also came from non-cash payment-in-kind interest rather than cash collections, which keeps an extra interest rate penalty active on its 2028 notes.
What to watch: interest expense in the fourth quarter after the October loan repayments. If borrowing costs do not fall enough to lift profit back above $0.20 per share, the company will have to draw down its undistributed earnings reserve to pay the dividend.
Loan Losses and Markdowns Cut Net Asset Value
Labe said the team is "capitalizing on market opportunities that enhance our earnings power and grow NAV over the long term". In the third quarter, however, net asset value (NAV, the book value of the portfolio minus debt) fell 4.0% from last quarter to $8.32 per share. The drop happened because credit losses and loan markdowns outweighed $5.4 million of valuation gains on warrants and equity.
- Net realized losses on investments: $26.4 million, from selling one portfolio company position and writing off another loan
- Unrealized losses on existing debt investments: $13.0 million in new fair value markdowns
- Credit downgrades: two borrowers with $33.8 million in principal moved from White (grade 2) to Yellow (grade 3)
While existing write-downs reversed when the lender locked in the $26.4 million realized loss, the $13.0 million of fresh markdowns on remaining loans cut directly into book value. In addition, paying $0.35 per share in regular and supplemental distributions while losing $0.04 per share from operations drained net assets further.
What to watch: the share of debt investments rated Yellow or worse in the fourth quarter, currently 27.4% by our math. Further downgrades into the Yellow or Orange buckets would mean credit stress is still eroding book value.
Third-Quarter Loan Fundings Stalled Before an October Rebound
A lender must fund new loans faster than old ones pay off to grow its interest-earning portfolio. During the third quarter, the company funded only $0.7 million in debt investments, missing its standing $25 million to $50 million quarterly target by 98.1% at the middle of the range, by our math. As a result, the total investment portfolio at fair value shrank by $63.4 million to $717.3 million.
Activity picked up between October 1 and November 3, as the venture lender funded $57.4 million in new investments. However, borrowers also paid back $72.6 million of loan principal early during those same five weeks. Although those early payoffs bring in over $2.0 million of accelerated fee income for the fourth quarter, net loan repayments of $15.2 million mean the earning asset base is still shrinking.
What to watch: ending debt investment portfolio at cost in the fourth quarter, which stood at $665.3 million in September. Another drop would show that early loan payoffs are still outrunning the rebound in new lending.
Risks this quarter didn't answer
Four standing concerns received no update or resolution in the third-quarter earnings release.
- Unused share buyback: the company repurchased zero shares under its $12.5 million authorization through September 30, while issuing new shares below book value.
- February 2027 debt maturity: $124.9 million of notes come due in four months, and the release gave no refinancing plan beyond $150.0 million of credit line availability.
- Legacy consumer borrowers: the release did not name which companies were written off or downgraded, leaving the status of troubled 2020โ2022 consumer loans unreadable until the quarterly filing.
- AI software disruption: without a conference call transcript or loan schedule, management's defense of enterprise software borrowers against AI competition could not be tested.
๐ Other Themes
Lower Prime Rate Trimmed Loan Yields
Most of the company's venture loans carry floating interest rates tied to the US Prime rate. The weighted average annualized yield on debt investments slipped to 12.4% in the third quarter from 12.9% in the second quarter and 13.2% a year ago, which the company said was in part due to a lower Prime rate. New loans funded in the quarter carried an 11.2% yield at origination.
๐ฒ Other KPIs
Unfunded commitments โ approved loan credit lines that borrowers have not yet drawn down โ rose 22.0% from last quarter, reversing three straight quarters of declines, though they remain down 34.9% from a year ago by our math. Of the total, $54.0 million will expire before the end of 2026 if borrowers do not draw the cash.
Total debt fell 10.1% from last quarter by our math, as the venture lender used cash from the Prodigy loan sale to pay down $45.0 million on its revolving credit facility. That reduced the credit line balance to $150.0 million alongside $249.3 million of senior unsecured notes.
Share count rose 1.0% from a year ago and 0.3% from last quarter. Ending common shares reached 40.84 million, up 352,000 shares since December, because the company issued new stock through its dividend reinvestment plan while leaving its share buyback program unused.
๐ฎ Guidance
New. The board declared a $0.23 per share regular payout for the fourth quarter, payable December 30, 2026, matching the quarterly rate held since mid-2025. Third-quarter net investment income of $0.16 per share covered 69.6% of this payout by our math, leaving the rest to be funded by undistributed taxable earnings or fourth-quarter prepayment fees.
Unchanged. In August, the board declared $0.12 per share in supplemental payouts from earlier equity gains, split into $0.06 paid in September and $0.06 payable on December 30, 2026. The company ended September with $0.90 per share in undistributed taxable spillover income.
Raised. TriplePoint Advisers LLC extended its full waiver of quarterly income incentive fees for another year, through the end of fiscal year 2027. The waiver saved the company $3.2 million in the first nine months of 2026, though low earnings meant no incentive fee was earned in the third quarter anyway.
โ Key Questions
How will the company refinance the $125 million February notes?
With $124.9 million of 2027 Notes maturing in four months and only $18.0 million in cash, investors need to know how much of the $150.0 million credit line is actually drawable under borrowing-base rules and what interest rate new notes will carry.
Why has the $12.5 million share buyback gone completely unused?
The board authorized a $12.5 million repurchase program in May 2026 to buy shares below net asset value, yet the company bought zero shares through September while issuing new shares through its dividend plan.
Which borrowers drove the $26.4 million loss and new downgrades?
The release noted one borrower sale, one debt write-off, and two downgrades totaling $33.8 million into the Yellow watch-list category, but did not name the companies or say whether legacy consumer loans were responsible.
Will October's $72.6 million in loan prepayments shrink the portfolio again?
Even though loan fundings rebounded to $57.4 million in October, early payoffs of $72.6 million exceeded new lending by $15.2 million, raising the question of when the interest-earning debt book will bottom out.
