Gentherm (THRM) Q3 2026 earnings review

Gentherm completes the Modine merger, but its core profit falls

Gentherm, a maker of car seat heaters and hospital warming devices, closed its biggest merger while its existing business slowed down. Third-quarter sales grew 4% excluding currency shifts, less than half the first-half pace, and profit per share excluding one-offs fell by more than half to $0.33 on higher material costs and taxes. Chief executive Bill Presley raised the full-year outlook to include Modine Performance Technologies, which joined the company on October 1.

At a glance
Sales excluding currency shifts+4.4% from a year ago ($405.1M reported)
Profit per share, excluding one-offs$0.33 -55% from a year ago
Cash flow, excluding one-offs$43.6M after $15.8M in the entire first half
Full-year revenue outlookRaised $275M middle of the range: $1.875B with Modine

โš–๏ธ Verdict: โšช Neutral

The story is unchanged because closing the Modine deal and collecting $44 million of third-quarter cash offset a drop in profit margins. Completing the merger on time allowed finance chief Jon Douyard to buy back $60 million of shares in October, removing two major doubts from the first half. The bad news: before adding Modine, the company's prior plan pointed to almost zero fourth-quarter sales growth for the original business, by our math.

The question now is whether the second-half slowdown in core car sales is a temporary pause between vehicle launches or a lasting drop in demand. If new massage seat launches carry the business, core sales will beat vehicle production by double digits; if older valve and cable programs shrink faster, legacy growth will stall. Fourth-quarter results will settle it if management separates legacy Gentherm sales from the new Modine unit.

๐Ÿ‚ Bull Case

๐ŸŸข๐ŸŸข CAPITAL ALLOCATION

Modine Deal Closes and Buybacks Begin

Gentherm makes heating and cooling systems for car seats and hospitals. On October 1, the Michigan supplier completed its merger with Modine Performance Technologies, a maker of cooling parts for heavy trucks and power generators. Completing the deal removes the risk of a $45 million breakup fee. Chief executive Bill Presley said, "With the completion of the transaction, we are fundamentally a different company."

After waiting for the deal to close, finance chief Jon Douyard started returning cash to owners. The business paid a $63.5 million special dividend on October 7. Douyard also said, "Since closing, we have repurchased $60 million and we remain committed to returning capital to shareholders." About $340 million remains under the July buyback plan.

What to watch: total debt and cash after the October merger and cash payouts. The fourth-quarter balance sheet will show whether net debt stays near the company's target of one times annual cash profit.

๐ŸŸข strengthening GROWTH

Massage Seat Systems Lead Car Growth

Gentherm's main growth engine is its Lumbar and Massage Comfort Solutions line, which uses air bladders to support and massage drivers. The company also launched Puls.A, a new pulsating massage system, during the third quarter. Even though car makers built fewer vehicles in Gentherm's main markets, drivers and car brands kept ordering more comfort features per vehicle.

  • Lumbar and massage revenue: $70.9 million, up 27.1% from a year ago
  • Climate Control Seats revenue: $215.6 million, up 7.1% from a year ago
  • Core car climate and comfort growth: 8.5% excluding currency shifts, beating car production by 12 percentage points

This product mix matters because comfort systems carry almost all of the company's car growth while older valve and cable lines shrink. By our math, the lumbar and massage line added $15.1 million of new sales, which equals 83% of the entire company's $18.2 million revenue gain this quarter.

What to watch: lumbar and massage revenue in the fourth quarter. Another reading near $70 million would keep the product line on track to pass $300 million in yearly sales by 2027.

๐ŸŸข fading CASH

Third-Quarter Cash Collection Eases Full-Year Doubt

Entering the quarter, cash generation was a major concern because Gentherm produced only $15.8 million of free cash flow, excluding one-offs, across the first six months of the year. Customer bills had piled up, leaving almost the entire full-year target of $85 million to $100 million to be collected in the second half.

Collections improved sharply in the third quarter. The thermal supplier generated $33.7 million of operating cash flow and $43.6 million of free cash flow, excluding one-offs, after adding back $11.9 million of cash merger bills and $5.4 million of restructuring payments. That brought the nine-month cash figure to $59.5 million, which puts the original full-year target within reach.

What to watch: fourth-quarter free cash flow, excluding one-offs, against the updated $100 million to $120 million full-year plan. By our math, Gentherm and its new Modine unit need $50.5 million in the final quarter to hit the middle of the range.

๐ŸŸข strengthening PRODUCT

Healthcare Sales Jump on Device Deal

Gentherm is trying to sell its heating and cooling technology outside the car industry, focusing on hospitals and home furniture. On July 1, the company bought Innovative Medical Equipment, the maker of the ThermaZone device for patient temperature therapy. It also launched the ThermAffyx system, which warms patients and holds them safely on operating tables.

Those moves lifted Medical segment revenue by 14.6% from a year ago to $14.5 million, after sales fell 1.4% in the first half. Two related items were not in the release: sales in China, which drove first-half car growth, and new furniture contracts. The quarterly filing will show whether China growth stayed strong.

What to watch: Medical segment profit or loss in the quarterly filing's footnote tables. Growing sales only help the company if the healthcare division stops losing money.

๐Ÿป Bear Case

๐Ÿ”ด๐Ÿ”ด strengthening MACRO

Underlying Growth Slowed Before the Merger

Before adding Modine in October, Gentherm's own sales growth was slowing down. Total product revenue rose 4.7% from a year ago, or 4.4% excluding currency shifts, down from 11.0% growth in the second quarter. Management's outlook continues to assume that car makers will cut light vehicle production at a low single-digit rate this year.

  • Valve Systems revenue: $21.6 million, down 11.8% from a year ago
  • Other Automotive revenue (cables and batteries): $22.6 million, down 28.0% from a year ago
  • Standalone Q4 growth implied by the July outlook: about 0.6% by our math

In July, the company raised its full-year revenue plan to $1.6 billion at the middle of the range. Because Gentherm has now booked $1.215 billion through September, that July plan left about $385 million for the fourth quarter, by our math. The new outlook adds "the expected contribution from Modine Performance Technologies in the fourth quarter", which hides whether the original business is standing still.

What to watch: whether management separates legacy Gentherm sales from Modine sales in the fourth-quarter report. Without that split, investors cannot tell if core car growth stalled at year-end.

๐Ÿ”ด๐Ÿ”ด persistent MARGIN contradicts narrative

Material Costs and Taxes Cut Profit

Presley said, "Our third quarter results were in line with expectations as we made continued progress on growth and operational excellence initiatives, while completing the Modine Performance Technologies combination on October 1." Yet profitability dropped across the income statement. Gross margin fell 1.3 percentage points from a year ago to 23.3%, which Gentherm blamed on "foreign exchange, higher net material costs and inflation, partially offset by strong operating leverage".

Overhead and taxes hurt the bottom line even more. Selling, general and administrative expenses (overhead and deal bills) rose 1.7 percentage points of revenue to 12.7%, including $6.5 million of merger costs and $4.8 million of restructuring. Non-deductible deal bills pushed income tax expense to $13.4 million on $10.8 million of pre-tax profit. That left a GAAP net loss of $2.6 million, while profit per share excluding one-offs fell 55% to $0.33.

What to watch: gross margin in the fourth quarter. A rebound above 24% would show that Gentherm has finally convinced car makers to reimburse it for higher material costs.

๐Ÿ”ด persistent DISCLOSURE

Risks this quarter didn't answer

Two standing concerns from prior quarters could not be checked because the details live in the quarterly filing rather than the press release.

  • Warranty and recall reserves: Gentherm's warranty reserve nearly doubled in the first half on older product claims, and two government recall inquiries remain open; the filing's warranty footnote will show if reserves rose again.
  • Medical division losses: the healthcare unit lost $3.3 million in the first half despite strategic investments; the filing's segment table will show whether third-quarter sales growth reduced that loss.

โ“ Key Questions

Did the standalone Gentherm outlook change in Q4?

The company raised its full-year revenue plan by $275 million at the middle of the range to include Modine. Management did not say whether all $275 million comes from Modine or if the forecast for legacy Gentherm moved.

Why did the tax bill exceed pre-tax profit?

Gentherm recorded $13.4 million of income tax expense on $10.8 million of pre-tax income, which cut profit per share excluding one-offs bymore than half to $0.33. Investors need to know how much of that tax spike came from non-deductible merger bills.

Did the Medical division make a profit in Q3?

Healthcare sales jumped 14.6% to $14.5 million after the July acquisition and product launch. Because segment profit only appears in the quarterly filing, it is not yet clear if the division narrowed its $3.3 million first-half operating loss.

How much inflation cost has been recovered from car makers?

Gross margin slipped 1.3 percentage points from a year ago to 23.3%, partly due to higher material costs. Management previously expected customer reimbursements in the fourth quarter to lift margins, and investors need an update on those negotiations.
