Teads Holding Co. (TEAD) Q3 2026 earnings review

Teads web ad sales drop, and new borrowings prop up cash

Teads is shrinking fast in its core web-advertising business while its Connected TV expansion slows down. Third-quarter revenue dropped 26% from a year ago to $235 million, pushing Adjusted EBITDA into an $8 million loss and triggering a $272 million write-off of all remaining goodwill. Chief executive David Kostman pointed to 37% growth in Connected TV and noted early fourth-quarter trend improvements, but the company kept its financial outlook suspended.

At a glance
Revenue$235.1M -26% from a year ago
Gross profit excluding traffic costs (Ex-TAC)$93.5M -28% from a year ago
Adjusted EBITDA-$8.1M +$19.2M a year ago
Full-year 2026 outlookSuspended unchanged from Q2 suspension

โš–๏ธ Verdict: ๐Ÿ”ด๐Ÿ”ด Very Bearish

The story got worse because operating profit turned negative and cash stayed near $90 million only through $46 million of new credit-line borrowings. Connected TV growth also slowed from 67% last quarter, covering less than a tenth of the open-internet decline by our math. One positive: management delivered its promised third-quarter cost step-down, cutting core operating expenses by 13% from the second quarter.

The question now is whether holiday brand spending and cost cuts can generate enough cash to cover the ~$63 million in annual bond interest without a debt restructuring. Either fourth-quarter Enterprise spending rebounds enough to restore positive cash flow, or mounting credit-line draws will force a balance-sheet overhaul before the February coupon. The third-quarter 10-Q filing and fourth-quarter cash balance will settle it.

Operating Expenses Stepped Down Across Every Line

Teads promised a lower cost base for the third quarter as it reorganised its teams and embedded automation tools across its ad platform. The company delivered that reduction across all three operating expense lines, even though the revenue drop was steeper than the cost cuts.

  • Core operating expenses (research, sales, and general overhead): $96.2 million, down 12.5% from $110.0 million last quarter by our math
  • Sales and marketing: $62.5 million, down from $70.3 million in Q2 and $68.7 million a year ago
  • General and administrative overhead: $23.3 million, down from $28.4 million in Q2 and $32.0 million a year ago
  • Short-term bank overdraft: paid down by $4.4 million during the quarter to $2.8 million

Because revenue fell faster than expenses, sales and marketing still rose by 5.0 percentage points as a share of revenue from a year ago. What to watch: fourth-quarter operating expenses alongside chief executive David Kostman's push to "optimize our cost structure". Further sequential drops will show whether the December restructuring is still yielding savings.

New Smart-TV Partnerships and AI Buying Tools

To reduce its reliance on web browsers, Teads sells video ads on Connected TV (CTV), which are internet-connected television sets. The company expanded its partnership with smart-TV platform Whale TV across more than 100 countries and became the launch ad-buying platform for Telly's Dual-Screen TVs via Magnite.

The group also upgraded Teads Ad Manager, its self-serve software where advertisers plan and buy campaigns. The software now uses Model Context Protocols (MCP), a standard that lets artificial intelligence agents run tasks across different software tools, "bridging upper-funnel CTV branding with lower-funnel conversions in one agentic platform". Large brands including BMW Group, Lenovo, Shell, and Kia renewed their joint business partnerships during the quarter.

What to watch: whether these smart-TV screen deals lift fourth-quarter Connected TV revenue above the roughly $28 million mark from Q3. Holiday ad budgets usually make the fourth quarter the strongest period of the year for brand spending.

New Credit Draws Masked a Deep Cash Burn

Teads carries $628.2 million in principal of 10% senior secured notes from its 2025 merger, requiring about $31.4 million in cash interest every February and August. Management previously indicated an operating cash floor of $70 million to $80 million. Cash ended the third quarter at $90.3 million, which looks stable against $91.0 million in June only because the company tapped two credit lines.

  • Cash and cash equivalents: $90.3 million, or $44.5 million without this quarter's new credit draws by our math
  • New borrowings in Q3: $30.9 million from the accounts receivable facility and $15.0 million from the revolving credit line
  • Total debt obligations: $657.2 million, up from $614.5 million last quarter
  • Free cash flow: -$33.1 million after paying $31.7 million in cash interest, or -$1.4 million before interest payments

Even before paying interest, the business burned $1.4 million in cash, compared with generating $3.1 million a year ago. With core operating profit before depreciation and one-offs (Adjusted EBITDA) at -$8.1 million, operations are not funding the debt service. What to watch: net debt and remaining credit line availability when the February 2027 interest payment of ~$31.4 million comes due. Another negative cash quarter would force further borrowing or a debt restructuring.

Open-Internet Erosion Pushed Operating Cash Profit Below Zero

"Like many companies across our sector, we are navigating the significant headwinds currently impacting the open internet," chief executive David Kostman said. Readers increasingly use artificial intelligence answer engines instead of clicking links to news and lifestyle websites, which shrinks the page views where Teads places its ads.

That traffic loss hit every profit line this quarter. Revenue dropped 26.3% from a year ago to $235.1 million. Gross profit excluding traffic acquisition costs (Ex-TAC gross profit โ€” what Teads keeps after paying websites for ad space) fell 28.4% to $93.5 million. Standard gross margin fell 7.3 percentage points to 25.9%, because payments to publishers rose 3.9 points as a share of revenue and other cost of revenue rose 3.4 points (including a $6.4 million write-down of a publisher agreement).

As a result, Adjusted EBITDA fell from a $19.2 million profit a year ago to an $8.1 million loss. Kostman noted "some improvement in trends in the early part of the fourth quarter". What to watch: fourth-quarter Ex-TAC gross profit against last year's $151.8 million. A smaller percentage drop will show whether the fourth-quarter trend improvement is real or just an easier comparison.

๐Ÿ”ด persistent GROWTH contradicts narrative

Connected TV Growth Slowed Against an Easy Comparison

"In the third quarter, our Connected TV revenue grew 37% year-over-year, outperforming the broader market through our leading position on the CTV HomeScreen," Kostman said. Connected TV is the centrepiece of the company's turnaround plan, and management also tracks omnichannel adoption, which measures the share of branding revenue coming from clients who buy across multiple screen types.

Despite Kostman's upbeat framing, both growth indicators stepped back from the second quarter. Connected TV growth slowed from 67% in Q2 to 37% in Q3, even though last year's third quarter (40% growth) was the easiest comparison of the past year. Connected TV made up 12% of revenue, or about $28.2 million by our math, down from 13% (about $37.0 million) in Q2. Omnichannel campaigns accounted for 15% of branding revenue, slipping from 16% in Q2.

By our math, revenue outside Connected TV fell 30.6% from a year ago to $206.9 million, so television growth covered less than one-tenth of the web decline. What to watch: whether omnichannel adoption reaches management's previously stated 18% full-year target in Q4. Missing that target would indicate that big brands are not expanding cross-screen budgets fast enough.

Goodwill Wiped Out While Outlook Remains Suspended

Less than two years after Outbrain acquired Legacy Teads, the company wrote off the rest of its acquisition goodwill. Teads recorded a $272.4 million non-cash goodwill impairment in Q3, following a $352.1 million write-down in Q4 2025, reducing carrying goodwill from $281.0 million at year-end to zero.

That charge pushed the GAAP net loss to $325.5 million and left stockholders' equity in a deficit of $318.2 million. Excluding one-offs, adjusted net loss more than tripled to $46.7 million ($0.48 per share). Meanwhile, Teads stated that "we have suspended guidance, including our full-year 2026 Adjusted EBITDA guidance, and we are not providing guidance at this time". What to watch: whether incoming finance chief Michael Coyle reinstates an annual outlook in early 2027, which would signal stabilising ad demand.

๐Ÿ”ด persistent DISCLOSURE

Risks this quarter didn't answer

Several standing risks from prior quarters could not be tested because the detailed breakdowns live in the quarterly Form 10-Q filing or conference call rather than the earnings release.

  • Enterprise vs Direct Response Ex-TAC split: the release states CTV is ~12% of total revenue and ~20% of Enterprise (implying Enterprise is ~60% of revenue, or ~$141 million by our math), but gives no Ex-TAC profit split to test management's prior forecast of second-half Enterprise Ex-TAC growth.
  • Publisher page-view erosion: the release cites open-internet headwinds but does not update the 21% year-over-year page-view drop disclosed in the Q2 10-Q.
  • Regional execution and Middle East risk: the release includes no geographic revenue table to check lagging US performance, and lists Israel and Iran conflict risks only in standard legal boilerplate.

๐Ÿ’ฒ Other KPIs

Accounts receivable, net (26Q3) $237.0 million
โ‡˜ decelerating

Uncollected customer bills fell 30.8% from $342.4 million at the end of 2025 and 16.0% from $282.2 million in Q2, shrinking alongside lower sales. Collecting older bills brought in $42.9 million of operating cash this quarter, while the charge for unpaid bad debts dropped to $2.0 million from $4.2 million a year ago.

Deferred revenue (26Q3) $11.9 million
โ‡˜ decelerating

Deferred revenue โ€” cash customers have paid upfront for advertising not yet delivered โ€” fell 20.2% from $15.0 million in Q2 and 20.0% from $14.9 million at year-end. Though small relative to quarterly sales, the drop shows fewer advance client prepayments heading into the fourth quarter.

Diluted share count and capital spending (26Q3) 98.3 million shares
โ‡’ stable

Diluted weighted average shares rose 3.3% from 95.1 million a year ago due to employee stock awards, with no share buybacks. Capital spending plus capitalised software development was $5.2 million (2.2% of revenue), bringing the nine-month total to $17.4 million ($2.3 million equipment, $15.1 million software).

๐Ÿ”ฎ Guidance

Full-Year 2026 Financial Outlook Suspended
๐Ÿ † unchanged from Suspended (withdrawn in Q2 2026 from ~$100M Adjusted EBITDA)
โ‡˜ decelerating

Unchanged. Teads reiterated that its financial outlook, including full-year 2026 Adjusted EBITDA, remains suspended. Through the first nine months of 2026, Adjusted EBITDA stands at -$0.4 million compared with $56.8 million in the first nine months of 2025, confirming why the original $100 million annual target set at the start of the year was abandoned.

โ“ Key Questions

Did Enterprise Ex-TAC gross profit grow in Q3?

Management previously forecast that Enterprise Ex-TAC gross profit would return to year-over-year growth in the second half of 2026. The release omits the customer-type Ex-TAC breakdown needed to verify whether Enterprise grew or shrank.

How fast did publisher page views fall in Q3?

In the second quarter, premium publisher page views fell 21% from a year ago as AI search summaries reduced web referral traffic. Investors need the third-quarter page-view figure to see whether web inventory erosion is stabilising.

How much borrowing capacity remains under debt covenants?

Teads drew $30.9 million on its receivables facility and $15.0 million on its revolver in Q3. With the revolver previously capped at $40 million by a covenant and another ~$31.4 million bond coupon due in February, remaining liquidity headroom is critical.

Why did Connected TV revenue drop sequentially from Q2?

Connected TV revenue was 12% of Q3 sales (~$28.2 million by our math), down from 13% of Q2 sales (~$37.0 million), while year-over-year growth slowed from 67% to 37%. Management did not explain what caused the sequential pullback.
