Repligen (RGEN) Q3 2026 earnings review
Repligen lifts its full-year plan, but a write-down erases profit
Repligen, a maker of tools used to manufacture biologic drugs, kept its underlying growth pace and beat its own margin warning. Sales from businesses owned a year ago rose 12.5%, while operating margin excluding one-offs reached 16% on tighter overhead and research spending. Chief executive Olivier Loeillot raised the full-year outlook after closing the BioLife acquisition in October, which by our math points to 21% reported sales growth in the fourth quarter.
| Sales from businesses owned a year ago | +12.5% +18% a year ago |
|---|---|
| Operating margin, excluding one-offs | 15.9% 14.2% a year ago |
| Accounting operating loss (GAAP) | -$29.5M $41.2M intangible write-down |
| Full-year revenue outlook | Raised $24M middle of the range: 15% growth |
โ๏ธ Verdict: ๐ข Bullish
The story got better because underlying demand held up against the toughest comparison of the year and cost controls prevented the third-quarter margin dip management had warned about. One caution: the company booked an unexplained $41 million intangible asset write-down that pushed accounting results into a loss, and share dilution from BioLife means the deal adds $24 million to the revenue plan but only 1 cent to per-share profit.
The question now is whether fast-growing smaller product lines are still masking flat filtration sales and how much profit BioLife adds on its own. One view is that the equipment order book and cell-therapy deal set up a stronger 2027; the other is that unquantified orders and heavy share dilution hide weak returns. The third-quarter filing's product breakdown and February's 2027 outlook will decide.
๐ Bull Case
Operating Margin Beat the Company's Cautious Warning
Repligen makes tools and consumables used to manufacture biologic drugs. Three months ago, management warned that a shift in product mix would make the third quarter the lowest gross margin period of the year, and that operating margin, excluding one-offs, would stay near last year's 14.2%. Gross margin did dip to 53.0%, down 0.3 percentage points from a year ago and 0.9 points from the second quarter.
Operating profit, excluding one-offs, beat that warning anyway, rising 24% to $33.3 million, or 15.9% of sales. That is 1.7 percentage points above last year. By our math, operating expenses excluding one-offs dropped by 2.0 percentage points of revenue, as research and development fell 0.6 points to 6.9% of sales and overhead grew slower than revenue. The bioprocessing group also raised its full-year operating margin target to 16.0%โ16.3%.
What to watch: Fourth-quarter operating margin, excluding one-offs, which the full-year outlook implies at 16.6% by our math. Hitting that mark after absorbing BioLife Solutions in October will show whether the early cost cuts are sticking.
Underlying Sales Kept Pace Against Harder Comparisons
The second half of 2026 compares against Repligen's strongest quarters of 2025, when sales from businesses owned a year ago jumped 18% in the third quarter and 14% in the fourth. Even against that higher bar, third-quarter underlying sales rose 12.5%, matching the first half's 12% pace. Reported revenue grew 10.9% to $209.3 million, held back by the March sale of the Polymem filtration business.
Chief executive Olivier Loeillot said "end-market demand continues to improve, with healthy trends in consumables and services complemented by a growing capital equipment order book." The Waltham-based company tightened its full-year underlying growth plan to 12%โ13%, up from 10.5%โ13.5%, which by our math points to 13.3% underlying growth in the fourth quarter.
What to watch: Fourth-quarter underlying revenue growth against the 13.3% rate implied by the full-year outlook. Clearing that bar will prove the bioprocessing recovery is accelerating into 2027 without relying on easy comparisons.
Positives this quarter didn't test
Three standing growth drivers had no numbers in the earnings release because Repligen reports product-line and regional figures in its quarterly filing and conference call.
- Fast-growing product lines: Proteins and process analytics made up 28.0% of product sales last quarter; the quarterly filing's revenue table will show if they stayed above 28%.
- Asia-Pacific and China demand: Regional sales grew about 40% last quarter, and the company opened a new training center in Seoul on October 23; the filing's geographic table will give third-quarter growth.
- Large hardware orders from drugmakers building US factories: Management expected confirmation of a third project win this quarter; the conference call transcript will show if it closed.
๐ป Bear Case
BioLife Deal Barely Lifts Per-Share Profit
Repligen closed its purchase of BioLife Solutions on October 6, paying about $564 million in cash and 7.2 million shares to add tools for preserving cells during manufacturing. Loeillot said "we have already taken actions to realize a sizable portion of our expected operating expense synergies," and the company raised its full-year revenue outlook by $24 million at the middle of the range.
- Implied BioLife fourth-quarter revenue: about $26 million by our math, based on the "2.5 point tailwind from inorganic growth" after the Polymem sale
- Full-year operating profit outlook, excluding one-offs: raised $6 million at the middle of the range, to $135โ$139 million
- Full-year profit per share outlook, excluding one-offs: raised 1 cent at the middle of the range, to $2.05โ$2.09
- Full-year other income outlook: cut by $1 million to about $18 million as cash leaves the balance sheet
The per-share profit plan barely moved because issuing 7.2 million shares raises the fourth-quarter share count to about 62.6 million by our math, up 10% from the third quarter, while paying out cash cuts interest income. That leaves fourth-quarter profit per share implied at $0.52, below the $0.53 earned in the third quarter.
What to watch: Standalone profit margins for BioLife and the 2027 outlook in February. Management promised at least $20 million of cost savings and 5 cents of per-share profit addition in 2027, which requires overcoming heavy stock-compensation costs and a 12% higher share count.
Impairment and Restructuring Wipe Out Reported Profit
While Repligen highlighted record sales and rising margins excluding one-offs, its accounting results swung to an operating loss of $29.5 million, or minus 14.1% of revenue, compared with a $16.8 million profit a year ago. The gap between accounting profit and management's preferred measure reached $62.8 million, or 30.0% of third-quarter revenue by our math.
- Intangible asset write-down: $41.2 million, or 19.7% of revenue, with the affected product line left unnamed in the release
- Acquisition and divestiture costs: $8.1 million, up from $4.4 million a year ago ahead of the BioLife close
- Transformation Office and restructuring charges: $5.2 million combined to "simplify the global manufacturing footprint"
The $41.2 million write-down means a past acquisition is not generating the cash flows Repligen projected when it bought the asset. In addition, restructuring and transformation charges have appeared in every quarter of 2026, totaling $12.5 million over nine months, so treating them as one-offs overstates ongoing cash earnings.
What to watch: The intangible assets footnote in the third-quarter filing, which will name the impaired business, and fourth-quarter deal and restructuring charges after BioLife enters the accounts.
Risks this quarter didn't answer
Five standing concerns could not be tested from the earnings release alone.
- Unquantified order book: Loeillot cited "a growing capital equipment order book," but for a third straight quarter gave no order growth rate or ratio of orders to sales; the call Q&A is the next test.
- Filtration customer recovery: Whether two large customers finished working down inventory and preparing factory sites lives in the filing's filtration product line number.
- Proteins customer concentration: The third-quarter filing's proteins revenue line will show whether first-half growth of 29% slowed sharply against a harder comparison.
- China tariff and trade exposure: The filing's regional table and call commentary will update progress on local filter manufacturing in China for 2027.
- 2028 convertible debt: $555.6 million of notes mature in December 2028, while pro forma cash drops to about $300 million after the October 6 BioLife payment.
๐ฒ Other KPIs
Cash from operations over the first nine months rose 13.6% from a year ago to $104.2 million. Capital spending on factories and software was $16.3 million, or 2.7% of sales, leaving $87.9 million of free cash flow, up 18.3%. By our math, third-quarter free cash flow was $37.8 million, or 18.1% of revenue.
Cash and short-term investments climbed $52.6 million in the quarter and 12.4% from year-end 2025 to $863.0 million, leaving $307.4 million of net cash above the $555.6 million of convertible notes. Repligen shifted $65.6 million out of marketable securities into cash ahead of the October 6 BioLife closing, which uses about $564 million of cash.
Inventories fell by $4.4 million from the second quarter to $182.2 million, up 6.9% since year-end 2025 against nine-month revenue growth of 12.5%. Accounts receivable โ bills customers have not yet paid โ dropped 4.6% from year-end to $151.2 million, adding $3.4 million to operating cash flow over the nine months.
๐ฎ Guidance
Raised. The middle of the range moved up $24 million to $848 million, or 14.5%โ15.5% growth. Adding BioLife from October 6 brings a 2.5 percentage point net M&A boost for the year, adding about $26 million in Q4 after the Polymem sale. By our math, that implies $240.3 million of Q4 revenue, up 21.4% from a year ago.
Raised. Management lifted the bottom of the range by 1.5 percentage points and trimmed the top by 0.5 points, moving the middle of the range up from 12.0% to 12.5%. By our math, hitting the middle of the range implies 13.3% underlying sales growth in the fourth quarter, up from 12.5% in the third quarter.
Unchanged. The bioprocessing supplier kept its full-year gross margin target at 53.95% at the middle of the range, even after adding higher-margin BioLife consumables for the fourth quarter. With nine-month gross margin at 54.1%, the outlook implies about 53.6% in the fourth quarter by our math, up from 53.0% in the third quarter.
Raised. The middle of the range rose by $6 million to $137 million, up 34.5% from 2025. It is the third raise this year, and each move is larger than the last: +$2 million in Q1, +$3 million in Q2, and +$6 million in Q3. By our math, that leaves $39.8 million for Q4, up 33.8% from a year ago.
Raised. Repligen lifted the range by 0.3 percentage points following the third-quarter margin beat and the addition of BioLife. It is the third straight raise after 0.3-point increases in both Q1 and Q2. With nine-month margin at 16.0%, the middle of the range implies 16.6% in the fourth quarter by our math.
Raised. Management moved the target from a 20.8% midpoint to about 21%, matching the 21.0% delivered across the first nine months of 2026 and up from 19.0% in 2025. This measure โ profit before interest, taxes, depreciation and amortization โ is the yardstick for the company's goal of reaching a 30% margin by 2030.
Raised. The middle of the range moved up $3.5 million to $120.5 million, or 24.3% growth over 2025. That is smaller than the $6 million increase in operating profit because lower cash balances after the BioLife payment reduce interest income and the higher profit increases taxes. By our math, it leaves $32.7 million for Q4.
Raised. The bottom of the range rose 2 cents, lifting the middle of the range by 1 cent to $2.07. It is the third raise this year (+$0.04, +$0.05, +$0.01), slowed by new shares issued for BioLife. By our math, the plan leaves $0.52 for Q4, up 6.1% from a year ago.
Cut. The company trimmed expected net interest and investment income by $1 million to about $18 million. Paying out roughly $564 million of cash on October 6 to close the BioLife acquisition reduces the cash pile earning interest during the fourth quarter.
Unchanged. Management kept its full-year tax rate assumption on profit excluding one-offs at roughly 22%.
โ Key Questions
Which business caused the $41 million intangible asset write-down?
Repligen booked a $41.2 million intangible impairment in the third quarter, pushing accounting operating margin to minus 14.1%. The release does not name the acquired product line or explain why its expected cash flows fell while overall bioprocessing demand is recovering.
What were exact order growth and book-to-bill in Q3?
Chief executive Olivier Loeillot cited "a growing capital equipment order book," but for a third straight quarter gave no numbers. Because the 2027 hardware recovery rests on orders booked today, investors need the actual order growth rate and book-to-bill ratio.
How did filtration and proteins perform in the third quarter?
Last quarter, fast-growing proteins and analytics supplied 76% of dollar growth while filtrationโnearly half of salesโwas flat. The earnings release omits product-line figures, leaving open whether filtration recovered or proteins slowed against a tougher third-quarter comparison.
How much operating profit is BioLife adding in Q4?
By our math, the updated outlook includes about $26 million of fourth-quarter revenue from BioLife and raises operating profit by $6 million, yet lifts per-share profit by just 1 cent at the midpoint. Management has not split out BioLife's standalone profit contribution.
