Ribbon Communications (RBBN) Q3 2026 earnings review

Ribbon sales rebound from last quarter, but full-year targets fall

Ribbon Communications, a maker of telecom voice software and fiber-optic network gear, grew sales from last quarter while its cash balance shrank. Revenue rose 14% from the second quarter to $219 million as fiber hardware orders shipped and purchases by its largest phone-company customer rebounded. However, gross margin excluding one-offs missed the company's plan at 50.3%, and chief executive Bruce McClelland trimmed the full-year outlook for a second straight quarter.

At a glance
Revenue$218.7M +1.6% from a year ago
Gross margin, excluding one-offs50.3% missed 51.0โ€“52.0% outlook
Total cash and restricted cash$42.4M $45.5M last quarter (with $15M credit line drawn)
Full-year Adjusted EBITDA outlookCut $9M middle of the range: $74.0M (-31% from 2025)

โš–๏ธ Verdict: ๐Ÿ”ด Bearish

The story got worse because higher third-quarter shipments did not bring the cash generation or full-year profit recovery the company planned. Instead of rebuilding cash in the third quarter, Ribbon burned $14 million in operating cash by our math, drew $15 million on its credit line, and cut its full-year profit target by 11%. One bright spot: both operating divisions grew from last quarter, proving that first-half hardware orders are turning into deliveries.

The question now is whether fourth-quarter collections and profit can bring net debt back under the year-end bank limit. If the fourth quarter hits its $43.5 million profit midpoint, the ratio of net debt to profit will drop comfortably below 4.0 times; if customers delay payments or shipments slip, Ribbon could face its lenders again. Year-end cash and fourth-quarter gross margin will decide it.

๐Ÿ‚ Bull Case

๐ŸŸข strengthening GROWTH

Optical Hardware Orders Turned Into Record Sales

IP Optical Networks, the unit that sells hardware to move data across fiber-optic lines, turned its first-half order backlog into revenue. Chief executive Bruce McClelland said the unit had "a record third quarter sales for the business, growing 5% year over year and included two new U.S. Tier 2 Internet Service Provider customers".

Sales in the division rose 17% from last quarter to about $95.8 million by our math. Ribbon also helped Indonesian network operator PT Jala Lintas Media add capacity on subsea and city fiber routes to Singapore. That shipment pace shows component shortages did not stop second-half deliveries.

What to watch: the IP Optical order-to-sales ratio in the quarterly filing or call remarks. A reading at or above 1.0 would show the unit is replacing the backlog it just shipped.

๐ŸŸข fading GROWTH

Sales to the Largest Customer Rebounded 50%

Cloud and Edge, which sells software and hardware to manage voice calls and network traffic, grew 11% from last quarter to about $123 million by our math. Slower rollouts at major US phone companies had dragged the segment down in the first half.

McClelland pointed to "Service Provider revenue growing 15% sequentially supported by a 50% increase in sales to our largest customer, along with further growth in the Enterprise and Government market segments". French airport telecom operator HubOne also chose Ribbon's software to unify its voice traffic. Even after the rebound, segment revenue remained down about 1% from a year ago by our math.

What to watch: the major-customer note in the third-quarter filing. It will show what share of revenue the largest customer reached and whether government defense projects stayed near 10% of sales.

๐Ÿป Bear Case

๐Ÿ”ด๐Ÿ”ด persistent GROWTH

Ribbon Cut Its Full-Year Plan Again

"This progress clearly supports the second-half improvement we expected, with positive trends in both operating segments and stronger results projected for the fourth quarter," McClelland said. Yet for the second quarter in a row, the company lowered its full-year targets.

  • Full-year revenue outlook: cut to $807โ€“821 million, down $11 million at the middle of the range
  • Full-year Adjusted EBITDA (operating profit before depreciation, amortization, stock pay and one-offs) outlook: cut to $70.5โ€“77.5 million, down $9 million at the middle
  • Fourth-quarter revenue outlook: $233โ€“247 million, below the $247.6 million the prior plan implied by our math

Third-quarter revenue of $218.7 million and Adjusted EBITDA of $26.8 million both landed below the middle of their ranges. Because the third quarter fell short of the midpoint and the fourth-quarter forecast is smaller than previously implied, the full-year profit target now sits 34% below the original plan set at the start of the year.

What to watch: fourth-quarter revenue against the $240 million midpoint. Landing below that mark would leave second-half sales under $455 million and confirm that delayed telecom projects slipped into 2027.

๐Ÿ”ด๐Ÿ”ด persistent CASH contradicts narrative

Cash Fell and Credit Line Borrowing Rose

"We continue to focus on expanding margins, maintaining strong cost discipline, and further strengthening our balance sheet," finance chief Rick Marmurek said. The balance sheet and cash flow statement moved the other way during the quarter.

  • Total cash and restricted cash: $42.4 million, down from $45.5 million in June and $98.1 million at year-end
  • Revolving credit line debt: $15.0 million drawn at quarter-end, compared with zero at year-end
  • Third-quarter operating cash flow: $14.4 million burned by our math, bringing the nine-month burn to $47.9 million
  • Net debt to trailing 12-month Adjusted EBITDA: 4.3 times by our math, up from 4.0 times in June

Sequential profit growth did not turn into cash because unpaid customer bills and inventory both grew this year. Higher net debt matters because the company's bank cap steps back down to 4.0 times in the fourth quarter, and borrowing costs rise when debt sits above 3.75 times.

What to watch: year-end cash and the revolving credit line balance in the fourth-quarter report. Paying off the $15 million credit line requires fourth-quarter collections to reverse nine months of cash burn.

๐Ÿ”ด persistent MARGIN

Hardware Mix Pushed Gross Margin Below Plan

Ribbon's gross margin missed its own target in the third quarter. Gross margin excluding one-offs was 50.3%, below the 51% to 52% plan and down 2.3 percentage points from a year ago. GAAP gross margin fell 1.9 percentage points from a year ago to 48.2%, missing the 49.5% plan.

The drop came from what the company sold. Product revenue grew 10.3% from a year ago while higher-margin service revenue fell 7.6% by our math, so the cost of making products rose by 3.3 percentage points of total revenue. Operating expenses excluding one-offs stayed flat at $88 million, which kept the margin miss from causing a deeper profit shortfall.

What to watch: IP Optical gross margin in the third-quarter filing. A reading below 34.5% would show that fast-growing fiber hardware continues to dilute overall profitability.

๐Ÿ”ด persistent DISCLOSURE

Risks this quarter didn't answer

Four standing concerns and watch items cannot be read from the earnings release alone and await the conference call or quarterly filing.

  • IP Optical profitability: segment Adjusted EBITDA (which lost $6 million last quarter) and segment gross margin are not in the release; the filing's segment footnote will show both.
  • Order backlog and book-to-bill: the release gave no third-quarter order-to-sales ratio or dollar backlog to test whether orders kept pace with record shipments.
  • Component inflation and tariffs: the release did not size the roughly $2 million per quarter of component cost pressure or Mexican manufacturing tariff exposure.
  • Remaining contract obligations: the multi-year customer contract backlog ($155 million in June) is only updated in the quarterly filing.

AI Voice and Data Center Pipeline

Looking to 2027, McClelland pointed to "the adoption of voice-enabled Enterprise AI applications, new solutions to mitigate AI-generated voice-phishing cyber-attacks, and broader demand for data center fiber infrastructure". Following earlier cloud partnerships with Amazon Web Services and Salesforce, Ribbon did not report any revenue, call volume or order numbers for these artificial intelligence voice tools this quarter.

๐Ÿ’ฒ Other KPIs

Total deferred revenue (26Q3) $149.3 million
โ‡˜ decelerating

Deferred revenue โ€” cash customers have paid for services not yet delivered โ€” fell $3.6 million from last quarter and sits 4.3% below year-end 2025 by our math. Compared with a year ago, the balance is up 9.4%. The year-to-date drop drained $6.8 million from operating cash flow over the first nine months.

Accounts receivable (26Q3) $246.2 million
โ‡— accelerating

Unpaid customer bills rose 6.2% from $231.9 million at the end of 2025, outpacing the 1.6% year-over-year revenue gain. The build-up in unpaid bills tied up $15.3 million of operating cash over the first nine months of 2026, compared with a $34.3 million cash inflow in the same period last year.

Property and equipment purchases (9M 26) $8.5 million
โ‡˜ decelerating

Spending on property and equipment over the first nine months fell by nearly two-thirds from $23.4 million a year ago, taking 1.5% of revenue by our math.In the third quarter alone, capital spending was $1.1 million by our math, down from $4.3 million in the second quarter, which cushioned free cash flow.

Diluted share count (26Q3) 178.9 million
โ‡— accelerating

GAAP diluted shares rose 1.3% from 176.6 million a year ago and 0.9% from last quarter. Ribbon spent $824,000 on share buybacks in the first nine months โ€” unchanged from the first half, meaning the telecom supplier bought back no shares in the third quarter while conserving cash.

๐Ÿ”ฎ Guidance

Q4 2026 Revenue $233โ€“247 million
โ‡— accelerating

New. The plan calls for $240 million at the middle of the range, up 9.7% from the third quarter and up 5.6% from a year ago by our math. That midpoint is $7.6 million below what last quarter's full-year outlook implied for the fourth quarter. Over the last four quarters, actual revenue averaged 1.8% below the middle of the plan.

FY 2026 Revenue $807โ€“821 million
๐Ÿ ‡ cut from $810โ€“840 million
โ‡˜ decelerating

Cut. Management lowered the middle of the full-year range by $11 million to $814 million, which means full-year sales will fall 3.6% from 2025 by our math. Across four quarters, the company held its initial $857.5 million midpoint once and then cut it twice: $0M, -$32.5M, -$11.0M.

Q4 2026 Gross margin, excluding one-offs 53.5โ€“54.5%
โ‡— accelerating

New. The outlook sets a 54.0% middle of the range, a 3.7 percentage point jump from the third quarter, though still 1.4 points below the fourth quarter of 2025. GAAP gross margin is forecast at 52.1%, up from 48.2% in the third quarter.

FY 2026 Gross margin, excluding one-offs 50.1โ€“50.5%
๐Ÿ ‡ cut from 51.0โ€“52.0%
โ‡˜ decelerating

Cut. The middle of the range dropped by 1.2 percentage points to 50.3%, down from 52.3% in 2025. It is the second cut this year after the target started at 53.0%, reflecting a heavier mix of lower-margin optical hardware and third-quarter margin pressure. Full-year GAAP gross margin was also cut from 49.3% to 48.0%.

Q4 2026 Adjusted EBITDA $40.0โ€“47.0 million
โ‡— accelerating

New. The $43.5 million midpoint is up 62% from the third quarter and up 8.5% from $40.1 million a year ago by our math. Hitting that target requires fourth-quarter GAAP operating income to reach $20.7 million, up from $5.6 million this quarter.

FY 2026 Adjusted EBITDA $70.5โ€“77.5 million
๐Ÿ ‡ cut from $78.0โ€“88.0 million
โ‡˜ decelerating

Cut. The middle of the range fell by $9 million to $74.0 million, a 30.6% drop from 2025 by our math. Across four quarters, the midpoint moved from $112.5 million at the start of the year down twice: $0M, -$29.5M, -$9.0M. Full-year GAAP operating loss is now projected at $18.8 million versus $9.8 million previously.

โ“ Key Questions

Why did cash fall while credit line debt rose?

Management previously expected cash to rise in the second half as earnings grew. Instead, cash dropped by $3.1 million and Ribbon borrowed $15 million on its credit line. Investors need to know how much cash the fourth quarter will generate.

Where does net leverage stand against the bank cap?

By our math, net debt rose to 4.3 times trailing 12-month Adjusted EBITDA, while the temporary 4.5 times bank cap steps back down to 4.0 times in December. Did the fourth-quarter outlook cut narrow the cushion for the year-end test?

Did IP Optical make a profit on record sales?

IP Optical sales rose 17% from last quarter to a record high, yet overall gross margin missed the plan. Did the optical unit reach positive Adjusted EBITDA after losing $6 million in the second quarter, and what was its gross margin?

What was the third-quarter order-to-sales ratio?

In the first two quarters, management highlighted IP Optical order-to-sales ratios of 1.5 and 1.6 times. The third-quarter release omitted that figure. Did new bookings exceed shipments again, or did the division burn through its backlog?
