Novavax (NVAX) Q3 2026 earnings review
Novavax lands $125 million from Sanofi, and losses shrink
Novavax, the maker of the Nuvaxovid COVID-19 vaccine and the Matrix-M vaccine ingredient, earned its biggest partner payment of the year while cutting operating costs. Third-quarter revenue dipped 3% to $68 million as Sanofi clinical reimbursements wound down, but underlying supply and partner sales more than doubled by our math, and cost cuts narrowed the net loss to $31 million. In October, partner Sanofi started a European late-stage trial for its combined flu and COVID-19 shot, triggering a $125 million payment that lifted Novavax's full-year revenue outlook to $400 million.
| Revenue excluding reimbursements and SK one-off | $53.5M +117% from a year ago by our math |
|---|---|
| Total revenue | $68.3M -3.0% from a year ago |
| R&D and SG&A, excluding reimbursements | $72.3M -14.0% from a year ago |
| Full-year revenue outlook | Raised $145M middle of the range: $400M (includes $125M Sanofi milestone) |
โ๏ธ Verdict: ๐ข Bullish
The story got better because Sanofi moved the combination vaccine into late-stage testing and confirmed plans to start a US trial in 2027, removing the main near-term milestone uncertainty. One caution: the press release did not disclose how much royalty revenue Sanofi generated during the fall COVID-19 vaccination season, and by our math roughly $135 million of transition and direct vaccine revenue will disappear from the baseline outlook in 2027.
The question now is whether growing vaccine royalties and new Matrix-M licensing deals can replace the Sanofi transition revenue that ends this year. If Sanofi's commercial push and partner experiments produce new upfront payments, the path to 2028 profitability holds; if not, cash burn will return once the October milestone is spent. The third-quarter filing's royalty breakdown and the initial 2027 outlook will show the balance.
๐ Bull Case
Sanofi Starts European Trial and Triggers $125M
Novavax relies on French drugmaker Sanofi to develop and sell a combined COVID-19 and flu shot called CIC, which pairs Novavax's Nuvaxovid COVID-19 vaccine with Sanofi's flu shot. "Our partner Sanofi initiated their Phase 3 influenza-COVID-19 combination vaccine trial vaccine trial in Europe, triggering a $125 million milestone payment," chief executive John C. Jacobs said.
The vaccine developer earned that $125 million payment in October and added it to the 2026 revenue outlook, lifting the middle of its full-year target by $145 million to $400 million. Sanofi also confirmed "their intent to initiate a U.S. Phase 3 CIC trial in 2027 to support U.S. approval". That step keeps alive a separate $225 million payment due upon the first US commercial sale, plus royalties in the high single digits to low teens.
What to watch: Sanofi's formal start of the US Phase 3 trial in 2027. Starting that study on schedule would keep the $225 million launch payment and Novavax's 2028 profit target on track.
Cost Cuts Narrow the Operating Loss
Novavax is shrinking its research and administrative staff as Sanofi takes over commercial duties for Nuvaxovid. Research and development spending fell from 139.5% of revenue a year ago to 76.8% this quarter, down 62.7 percentage points, because of the "near completion of Sanofi clinical support for Nuvaxovid". Selling, general and administrative overhead dropped 10.3 percentage points to 34.6% of revenue under the "ongoing general administrative cost reduction program".
Excluding partner reimbursements, combined research and overhead costs fell 14.0% from a year ago to $72.3 million, and the net loss narrowed from $76.6 million (excluding last year's one-off impairment and debt charges by our math) to $31.4 million. What to watch: fourth-quarter research and overhead spending excluding reimbursements, which the full-year outlook puts at $81.4 million by our math. Holding at or below that level would keep the 2027 cost target within reach.
Underlying Partner and Supply Revenue Doubled
Headline revenue fell 3.0% from a year ago to $68.3 million, but that comparison is distorted by pass-through research reimbursements from Sanofi that are winding down. Those reimbursements dropped from $45.8 million a year ago to $3.8 million this quarter, while third-quarter revenue also included $11 million of non-cash royalties from past vaccine sales by South Korean partner SK bioscience.
- Revenue excluding reimbursements and SK non-cash royalties: $53.5 million, up 117% from $24.6 million a year ago by our math
- Product supply sales to partners: $25.7 million, up 91.1% from a year ago
- Full-year outlook for partner royalties, milestones and supply sales: raised by $20 million across categories
The underlying rise came from shipping Nuvaxovid doses to Sanofi and selling Matrix-M, an ingredient that boosts immune response, to partners like Serum Institute and Takeda. What to watch: fourth-quarter supply sales against the raised $50โ60 million annual plan. Continued reorders from Serum and Takeda would show durable demand for Matrix-M outside the US COVID-19 market.
๐ป Bear Case
US Combination Trial Waits Until 2027
"Over time, we believe this strategy can build a robust and profitable Novavax, with multiple partners and products, diversified revenue streams and a meaningful impact on global health," Jacobs said. Reaching profitability depends heavily on when Sanofi launches the combined flu and COVID-19 vaccine in the United States, which triggers a $225 million payment and larger royalty streams.
While Sanofi started its European Phase 3 trial in October, the US Phase 3 trial will not begin until 2027. At the same time, two major accounting and cash revenue lines from the 2024 Sanofi agreement are disappearing after 2026. Novavax disclosed that partner research reimbursements will fall from $60 million in 2026 to $5 million in 2027, and upfront payment amortization will drop from $40 million to under $5 million.
Novavax also plans to drop direct Nuvaxovid sales ($40โ50 million this year) from its 2027 framework. By our math, that removes roughly $135 million of annual framework revenue next year before the US combination shot even finishes clinical testing. What to watch: the initial 2027 revenue outlook early next year. A big drop in baseline revenue without new licensing upfronts would widen the gap to profitability.
Cash Fell $97M Before the October Milestone
Novavax ended September with $627.0 million in total cash, marketable securities and restricted cash, down from $723.9 million in June and $750.5 million at the end of 2025. By our math, the balance dropped by $97.0 million during the third quarter alone, more than three times the quarter's $31.4 million net loss, while long-term debt stood at $292.1 million.
The $125 million Sanofi trial payment arrived in October and will replenish cash in the fourth quarter, but ongoing operating losses and legacy vaccine refund obligations continue to drain reserves between milestone events. What to watch: the year-end cash balance in the annual report. If fourth-quarter cash rises by much less than the $125 million payment, underlying cash burn remains above the reported net loss.
Risks this quarter didn't answer
Four standing concerns from earlier quarters received either no update or an incomplete breakdown in the third-quarter release.
- Sanofi COVID-19 royalties: total Sanofi licensing revenue fell 60% to $19 million (including $3.8 million of reimbursements), and the release did not separate actual US vaccine royalties from upfront amortization; the quarterly filing will show the exact royalty figure.
- Matrix-M research agreements: management noted experiments in infectious disease and cancer, but announced zero new paid commercial licenses; a second signed license with an upfront payment is needed to prove the pipeline converts.
- Manufacturing handoff to Sanofi: completion is still set for mid-2027 after slipping earlier this year, leaving the $75 million payment three quarters away.
- Australia vaccine contract: the company raised its Nuvaxovid sales target by $5 million to $40โ50 million, but gave no update on Australian regulatory approval or potential refund liabilities in the release; the quarterly filing's deferred revenue note will update this.

C. difficile Vaccine Advances Toward 2027 Trials
Novavax is developing its own vaccine against C. difficile, a bacteria that causes severe gut infections, using its Matrix-M immune-boosting ingredient. The biotechnology group presented preclinical animal study data at a medical symposium in September and plans to begin human clinical trials as early as 2027, making it the lead internal pipeline program.
๐ฒ Other KPIs
Working capital โ short-term assets minus short-term liabilities โ fell 14.2% from $440.5 million last quarter and is down from $518.3 million at the end of 2025. The steady decline reflects cash used in operations and ongoing settlements of pandemic-era vaccine advance purchase agreements.
The weighted average diluted share count rose 1.6% from 162.4 million a year ago and edged up from 164.6 million in the second quarter. Novavax has avoided large stock offerings over the past year by funding itself through partner milestone payments, asset sales and debt.
๐ฎ Guidance
Raised. The vaccine maker lifted the middle of its full-year revenue framework by $145 million to $400 million. The increase comes from adding the $125 million Sanofi European trial milestone earned in October, plus $5 million raises to Nuvaxovid sales ($40โ50 million), partner supply sales ($50โ60 million) and licensing revenue ($170โ180 million). It is the third raise since the initial $195 million preview: +$55M, +$0M, +$5M, +$145M.
Improved. Novavax lowered the middle of its total research and overhead spending plan by $5 million to $385 million, down 23.0% from 2025 by our math. Because the company has spent $297.7 million through nine months, the outlook leaves $87.3 million for the fourth quarter by our math, down 20.6% from $110.0 million in the fourth quarter of 2025.
Unchanged at the middle of the range. Management narrowed the band around the same $325 million midpoint, which represents a 20.4% reduction from 2025. With $243.6 million spent in the first three quarters, the plan leaves $81.4 million for the fourth quarter by our math, up from $72.3 million in the third quarter and nearly even with $81.9 million a year ago.
Lowered to the bottom of the prior range. Reimbursements from Sanofi for clinical support and technology transfer are now set at $60 million, down from $65 million at the prior midpoint and $75 million at the start of the year. After $54.1 million in the first nine months, by our math only $5.9 million remains for the fourth quarter, and just $5 million is planned for all of 2027.
โ Key Questions
How much did Sanofi pay in Q3 COVID-19 royalties?
Total Sanofi licensing revenue was $19 million in the third quarter, including $3.8 million of research reimbursements, but the release did not break out actual vaccine royalties. That figure is the best gauge of Sanofi's first full US selling season.
When will Matrix-M research deals turn into paid licenses?
Novavax signed several research agreements earlier in 2026 allowing drugmakers to test its Matrix-M ingredient in infectious diseases and cancer, but has not announced a commercial license since Pfizer in January. With Sanofi transition revenue ending in 2027, new upfronts are needed.
What caused the $97 million third-quarter cash drop?
Cash and marketable securities fell by $97 million in the third quarter, more than triple the $31 million net loss. Investors need to know how much went to fixed government vaccine refunds versus normal working capital swings.
Has Australia approved the updated vaccine to avoid refunds?
Novavax raised its 2026 Nuvaxovid sales target by $5 million to $40โ50 million, which previously depended on second-half deliveries to Australia. The release did not say whether Australian regulators approved the doses or if the refund risk has cleared.
