Strategy (MSTR) Q3 2026 earnings review

Strategy builds its cash reserve, but bitcoin per share shrinks

Strategy, the business software maker and largest corporate holder of bitcoin, spent the third quarter defending its preferred stock at the expense of common shareholders. The company raised $5.4 billion by selling common shares, but used nearly 90% of that cash by our math to build a $5.1 billion dollar reserve and buy back $2.0 billion of its flagship STRC preferred stock. Chief executive Phong Le said the moves returned STRC to health, yet common share count grew while the bitcoin pile barely moved.

At a glance
BTC Yield (per-share bitcoin growth YTD)-3.7% down from +4.5% in late July
US dollar cash and reserve coverage3.4 years $5.07B pool, up from 2.1 years in July
STRC preferred stock repurchased YTD$2.04B at $97.39 average price; new sales $0
Software subscription revenue$68.6M +49% from a year ago

⚖️ Verdict: 🔴 Bearish

The story got worse because the company's main gauge of per-share bitcoin growth turned negative for the year, dropping to minus 3.7%. Preferred stock sales remained frozen at zero as STRC stayed below its $100 target, and the company sold 5,552 bitcoins below cost to help pay dividends and buybacks. On the positive side, the enlarged cash buffer now covers more than three years of dividend and interest payments.

The question now is whether switching STRC to daily dividends in November will lift its price to $100 so preferred stock sales can restart. If it works, Strategy can buy bitcoin without issuing common shares; if it fails, common shareholders face more dilution as the remaining buyback money runs out and $1 billion of debt comes due within a year. Fourth-quarter preferred stock sales and the STRC trading price will settle it.

🐂 Bull Case

🟢🟢 strengthening CAPITAL ALLOCATION

Cash Reserves Now Cover Three Years of Payments

Strategy, the enterprise software maker and largest corporate holder of bitcoin, has made its cash buffer the main test of credit health. Chief executive Phong Le said the company grew its US dollar assets to $5.07 billion, which includes a $4.83 billion reserve and $242.4 million in cash. That pool now covers 3.4 years of preferred stock dividends and debt interest, up from 2.1 years in July.

The coverage period lengthened for two reasons. First, the business raised $5.41 billion by selling common stock and parked most of the cash in short-term investments, which generated $47.1 million in interest income during the quarter. Second, buying back $2.10 billion in face value of its flagship preferred stock cut the yearly dividend bill to about $1.49 billion by our math, down from $1.76 billion in July.

What to watch: the US dollar asset balance in the fourth quarter. Holding coverage above three years without further common stock sales would show the cash buffer is stable.

🟢 strengthening GROWTH

Cloud Subscriptions Carry the Software Business

Outside its digital asset treasury, Strategy sells business analytics software. Total software sales slipped 2.5% from a year ago to $125.4 million because customers are moving away from upfront product licenses, which fell 78.0% to $3.8 million, and on-premise product support, which dropped 26.3% to $37.7 million. Cloud subscription services moved the other way, rising 49.2% from a year ago to $68.6 million.

Subscriptions now bring in more than half of all software revenue, lifting gross margin by 1 percentage point to 71.5% as cost of revenues fell. What to watch: subscription revenue growth in the fourth quarter. Keeping growth near 50% would allow cloud gains to overtake the decline in legacy support contracts.

🐻 Bear Case

🔴🔴 persistent CAPITAL ALLOCATION contradicts narrative

Common Share Sales Turn Bitcoin Per Share Negative

Strategy judges its treasury model by whether it grows bitcoin per assumed diluted share, a rate of change it calls BTC Yield. In the third quarter, that measure ran in reverse. Year-to-date BTC Yield fell to negative 3.7% as of October 25, down from positive 4.5% in late July, costing common shareholders 24,947 bitcoin in per-share terms.

  • Common stock raised: $5.41 billion in the third quarter, plus $58.7 million in October
  • Proceeds used to buy bitcoin: $588.1 million, or 10.9% of the third-quarter raise by our math
  • Net bitcoin added in Q3: 1,666 coins (7,218 purchased minus 5,552 sold), or 0.2% growth
  • Class A common shares: up 14.3% in the quarter to 402.3 million

Because the company used $4.82 billion of common stock proceeds by our math to build cash reserves and buy back preferred stock rather than buy bitcoin, the share count grew seventy times faster than the coin pile. What to watch: Bitcoin Per Share in Satoshis (one hundred-millionth of a bitcoin) in the quarterly filing. A second straight quarterly drop would confirm that supporting the preferred stock is diluting common holders.

🔴🔴 persistent GROWTH contradicts narrative

Preferred Buybacks Tripled while Issuance Remains Frozen

"Strategy demonstrated its commitment to returning STRC to health," chief executive Phong Le said, while executive chairman Michael Saylor pointed to "STRC returning to strength". STRC, or Variable Rate Series A Perpetual Stretch Preferred Stock, is the company's main fixed-income security designed to raise money for bitcoin purchases without adding common shares. Management previously paused new sales until the stock trades near its $100 stated value.

The numbers show the funding channel is still shut. Strategy raised zero dollars from STRC and its other preferred stocks in the third quarter and through October 23, down from $5.46 billion in the second quarter. Instead of raising money, the board tripled its preferred stock buyback authorization from $1.0 billion to $3.0 billion. The company spent $2.04 billion year to date to buy back 21.0 million STRC shares at an average price of $97.39.

Even after $2 billion of support, the release notes that "while STRC trades below $100 per share, the Company intends to be a regular and disciplined purchaser". What to watch: preferred stock sales on the company website dashboard. Until STRC holds $100 without buybacks, the non-dilutive funding engine remains off.

🔴 persistent CASH

A $1 Billion Debt Wall Nears Maturity

While the cash reserve is built to pay preferred dividends and interest, a large debt maturity has moved within the one-year window. Current portion of long-term debt jumped to $1.05 billion on September 30 from $39.8 million three months earlier, as convertible notes due in September 2027 became current liabilities. Total debt was unchanged at $6.72 billion.

At the same time, Strategy is selling bitcoin below cost to pay its bills. In the third quarter, the US company sold 5,552 bitcoins for $348.6 million—an average price of $62,780 against a cost basis of $582.4 million—to pay $239.9 million of preferred dividends and $108.6 million of STRC buybacks. By our math, those sales locked in a realized loss of $233.8 million. What to watch: whether management uses the $1.25 billion bitcoin sales authorization to pay down the 2027 debt.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Several standing concerns and promised disclosures were not updated in the third-quarter earnings release and await the quarterly filing or conference call.

  • Bitcoin Per Share in Satoshis: the release gave the negative 3.7% year-to-date yield but omitted the exact Satoshi count per share, which the quarterly filing's KPI table will show.
  • Third-party broker leverage on STRC: no update on whether dealers have restored credit lines on the preferred stock; the conference call Q&A is the only place this surfaces.
  • Deferred tax valuation allowance: no update on the $4.60 billion allowance blocking tax losses from bitcoin sales; the filing's tax footnote will show the third-quarter balance.
  • Bitcoin banking adoption index and security consortium: neither the bank survey nor the quantum security update appeared in the release.

Daily Dividends and a Finance Chief Change

With shareholder approval on October 28, Strategy upgraded STRC to pay daily dividends starting November 1, with its other three US preferred stocks following on January 1, 2027. Chief executive Phong Le said "Daily dividends are a natural step toward the tokenized, 24/7/365 financial system". Separately, finance chief Andrew Kang will step down on November 5; operations chief Reza Virasteh takes over on January 1, while Le will "retain responsibility for the financial management of the Company's bitcoin strategy".

Software operating loss, excluding digital asset gains (26Q3) $2.6 million loss
⇘ decelerating

Moved from breakeven a year ago to a $2.6 million loss by our math, when stripping out the $20.91 billion unrealized bitcoin gain. Gross profit held steady at $89.6 million, but sales and marketing rose 2.5 percentage points of revenue to 25.7% and research and development rose 1.6 percentage points to 19.2%, offsetting a 1.0 point drop in general and administrative costs.

Deferred revenue and advance payments (26Q3) $209.4 million
⇘ decelerating

Up 2.6% from a year ago by our math, slowing from 3.5% growth last quarter, and down 7.4% from June 30. Deferred revenue is cash customers have paid for software and support not yet delivered. The total is growing slowly because shrinking legacy support billings offset rapid growth in cloud subscriptions.

Net income attributable to common stockholders (26Q3) $19.12 billion
⇄ reversing

Swung from an $8.62 billion loss last quarter and $2.65 billion of profit a year ago, or $44.75 per diluted share. Under fair-value crypto accounting, quarterly profit reflects the change in bitcoin's market price: the quarter included a $20.91 billion unrealized digital asset gain, minus $1.41 billion of income tax provision and $419.6 million of preferred stock dividends.

❓ Key Questions

What is the exact Bitcoin Per Share in Satoshis?

The release showed BTC Yield fell to negative 3.7% year to date, meaning common share growth outpaced bitcoin purchases. Investors need the exact Satoshi per share figure at quarter-end and October 25 to see the scale of the dilution.

How will Strategy pay the $1.05 billion current debt?

Over $1 billion of convertible debt moved into current liabilities this quarter ahead of its September 2027 put date. Will the company pay bondholders using its $5.07 billion cash reserve, common stock sales, or bitcoin sales?

Will the board raise the $3 billion buyback limit?

Strategy spent $2.04 billion buying back STRC shares to push the price toward $100, leaving $957 million on its tripled authorization. If daily dividends do not lift STRC to $100, how much more capital will management commit?

Why did Strategy sell bitcoin while raising $5.4 billion?

The company raised $5.41 billion from common stock in the third quarter, yet still sold 5,552 bitcoins at an average price of $62,780—below its $75,437 average cost—to pay dividends and buybacks. Why lock in a realized loss when cash was abundant?
