Medifast (MED) Q3 2026 earnings review

Medifast forecasts a fourth-quarter profit, but its sales drop again

Medifast, the nutrition and weight-loss coaching group, saw its three-quarter streak of steady sales break as its coach network kept shrinking. Third-quarter sales fell 19% from a year ago to $72 million, while active earning coaches dropped by nearly half. Chief executive Nick Johnson completed the rebrand to Trilivy and booked $15 million in restructuring charges, while growing the debt-free cash pile to $173 million.

At a glance
Revenue$72.0M -19.4% from a year ago
Active earning coaches10,200 -47.7% from a year ago
Loss per share, excluding one-offs-$0.19 -$1.57 including restructuring charges
Q4 revenue and profit outlook$55–75M profit of $0.00 to $0.25 per share

⚖️ Verdict: 🔴 Bearish

The story got worse because the shrinking coach base is pulling total sales down again, and the fourth-quarter outlook points to a 10% sequential revenue drop at the middle of the range by our math. Management's own six-to-nine-month window for higher sales per coach to spark coach growth has now expired with coach counts still falling. One positive: the company put its fourth-quarter profit pledge into formal numbers at $0.00 to $0.25 per share, though interest on its cash pile accounts for most of that figure.

The question now is whether the new Trilivy products and pay plan can stop coaches from leaving once the initial transition settles. Either the new line attracts enough clients to stabilize the coach base near 10,000, or weight-loss drugs keep shrinking the network and force another step down in sales. Fourth-quarter coach counts and 2027 revenue plans next quarter will decide it.

🐂 Bull Case

🟢 strengthening MARGIN

Fourth-Quarter Outlook Puts Profit in Writing

"With enthusiasm high in the Field, we believe we are on track to deliver profitability in the fourth quarter," chief executive Nick Johnson said. Three months ago, the middle of the full-year outlook pointed by our math to a fourth-quarter loss of $0.13 per share. Now Medifast has issued an explicit fourth-quarter forecast for profit per share of $0.00 to $0.25, while tightening its full-year loss forecast excluding one-offs to $0.45 to $0.70 per share.

What to watch: fourth-quarter operating income on the income statement next quarter. A positive operating figure would prove the core nutrition business can make money at a $65 million quarterly sales level without relying on interest from its bank accounts.

🟢 strengthening PRODUCT

Brand Rebrand and New Products Are Now Live

Medifast is replacing its legacy Optavia weight-loss brand with Trilivy, a nutrition and coaching system aimed at preserving muscle and cutting fat. Johnson said "the major pieces of our 3.0 strategy are now in market", with the new Reset Fuelings nutrition products "in our coaches’ hands", a redesigned coach pay plan, and the Coach Hub software tool all launched on time.

Excluding $1.6 million of restructuring charges in cost of sales, gross margin rose 2.2 percentage points from a year ago to 71.7%, helped by lapping last year's product reformulation reserves. What to watch: fourth-quarter gross margin excluding one-offs, because holding above 71% while sales fall would show the new Reset Fuelings line carries better unit economics.

🟢 strengthening CASH

Cash Pile Rises to $172.5 Million

Despite reporting a $17.5 million net loss, the nutrition group grew its cash, cash equivalents and investment securities to $172.5 million, up from $169.8 million in the second quarter and $167.3 million at the start of the year. The balance sheet carries no debt, and management kept inventory tight at $21.2 million.

That liquidity gives the US company plenty of time to fund its brand overhaul without borrowing. What to watch: year-end working capital against management's earlier target of more than $145 million, which will show how much cash the third-quarter restructuring charges actually consumed when bills are paid.

🐻 Bear Case

🔴🔴 persistent GROWTH contradicts narrative

Shrinking Coach Base Breaks the Flat Revenue Streak

Medifast sells its meal plans through independent active earning coaches, and management highlights average sales per coach as its lead recovery signal. Sales per coach rose 54.1% from a year ago to $7,064, which Johnson called "the kinds of indicators that have historically come before coach growth and revenue growth." Earlier, management said higher sales per coach lead to coach growth within six to nine months.

Sales per coach turned positive four quarters ago, so that six-to-nine-month window has now expired, and the coach count still fell 12.8% from last quarter to 10,200. The company blamed "continued pressure with client acquisition reflecting broader challenges in the operating environment, including rapid adoption of GLP-1 medications for weight loss", and expects coach numbers to keep falling through year-end.

  • Active earning coaches: 10,200, down 47.7% from a year ago and down 1,500 from last quarter
  • Third-quarter revenue: $72.0 million, down 5.7% from last quarter after three quarters near $75 million to $76 million
  • Fourth-quarter revenue outlook: $55 million to $75 million, or $65 million at the middle of the range, down 9.8% from the third quarter by our math

Because total revenue equals coaches multiplied by sales per coach, the 54.1% jump in sales per coach is simply the math of coach numbers falling faster than sales. What to watch: active earning coaches in the fourth quarter, because until the coach count stops shrinking, total revenue will keep stepping down.

Interest Income Carries the Fourth-Quarter Profit

Medifast's operating loss widened to $19.4 million, or 26.9% of sales, from 4.6% a year ago. Even excluding Catalyst restructuring charges, the operating loss was 5.5% of sales, worse by 0.9 percentage points from a year ago. Selling, general and administrative expenses (overhead and coach commissions) jumped 22.2 percentage points of sales to 96.3%, or 3.1 percentage points to 77.2% excluding restructuring, because of lower sales volume and a 3-point cost from the Trilivy Convention.

To highlight cash flow, the company features a measure it calls Adjusted EBITDA excluding interest income — which despite the name actually keeps interest income inside the profit total. Without that $1.5 million of interest on its cash pile, third-quarter Adjusted EBITDA was just $0.4 million. By our math, the middle of the fourth-quarter profit outlook ($0.125 per share, or $1.4 million) is smaller than the interest income the company earns on its cash.

What to watch: Selling, general and administrative expenses excluding one-offs in the fourth quarter. If overhead does not fall below $46 million at the middle of the sales outlook, the core business will remain in an operating loss.

🔴 persistent DISCLOSURE

Catalyst Restructuring Costs Hit $15.4 Million

Last quarter, management said it would execute most of its Catalyst cost-cutting plan in the third quarter and quantify both the one-time charges and the ongoing savings on the third-quarter call. The press release details the charges: $15.4 million in total ($13.8 million in overhead and $1.6 million in cost of sales) for "reducing the size and reassessing the geographic locations of the company’s distribution network, streamlining the company’s internal use software, and aligning organization resources with current revenue levels."

Those charges drove the net loss to $17.5 million, or $1.57 per share. However, the release still does not state a dollar figure for the annual cost savings Catalyst will generate, just as an earlier $30 million savings target from late 2025 went unmentioned. What to watch: the quarterly filing and call transcript for a specific dollar run-rate of fixed cost reductions.

🔴 persistent CAPITAL ALLOCATION

Risks this quarter didn't answer

Three standing concerns from prior quarters remained in place or received no new numbers in the earnings release.

  • Idle cash pile: Medifast holds $172.5 million in cash and investments, yet the release shows no share buybacks and a rising share count; management's capital return threshold remains unstated.
  • Company-paid advertising: cut by 94% in the first half of the year; the third-quarter marketing spend lives in the upcoming quarterly filing and is not yet readable.
  • Tax shield: a full valuation allowance on deferred tax assets remains in place, leaving the company with only a 1.8% tax benefit rate on its $17.8 million pre-tax loss.

🔮 Guidance

Q4 2026 Revenue $55–75 million
⇘ decelerating

New. The plan calls for $65 million at the middle of the range, down 9.8% from the third quarter and down 13.4% from a year ago by our math. While the year-over-year drop is smaller than the third quarter's 19.4% decline because last year's fourth quarter had already fallen 36.9%, the sequential drop breaks three quarters of steady $72 million to $76 million sales.

FY2026 Revenue $280–300 million
🠅 raised from $270–300 million
⇘ decelerating

Raised. Medifast lifted the bottom of its full-year range by $10 million, moving the middle up $5 million to $290 million, or a 24.8% drop from 2025 by our math. With $224.5 million recorded in the first nine months, the full-year range points to $55.5 million to $75.5 million in the fourth quarter, matching the standalone fourth-quarter outlook.

Q4 2026 Diluted EPS $0.00 to $0.25
🠆 unchanged from On track to return to profitability in the fourth quarter
⇄ reversing

Unchanged in direction, and now put into numbers. The forecast puts fourth-quarter profit at $0.125 per share at the middle of the range, or about $1.4 million of net income by our math, reversing a third-quarter loss of $1.57 per share ($0.19 loss excluding restructuring).

FY2026 GAAP Loss Per Share -$2.05 to -$1.80
🠅 raised from -$2.75 to -$1.55 (issued at Q1 2026)
⇘ decelerating

Reinstated on a standard accounting basis after being replaced last quarter by a range that excluded Catalyst charges. With the nine-month loss already at $2.05 per share, hitting $0.00 to $0.25 in the fourth quarter lands the full year directly across this range.

FY2026 Loss Per Share, excluding one-offs -$0.70 to -$0.45
🠅 raised from -$1.75 to -$0.25
⇘ decelerating

Raised. The middle of the full-year loss forecast excluding Catalyst restructuring charges improved from -$1.00 to -$0.575 per share. Across the first three quarters, loss per share excluding those charges totaled -$0.66 by our math, so a fourth-quarter profit of $0.00 to $0.25 brings the full year inside this range.

Q4 2026 Adjusted EBITDA excluding interest income $2–6 million
⇗ accelerating

New. Despite its name, this company measure includes interest income. The $4 million middle of the range compares with $1.9 million in the third quarter, when $1.5 million of the total came from interest on cash and investments.

FY2026 Adjusted EBITDA excluding interest income $10–14 million
⇘ decelerating

New. Combined with the $2 million to $6 million fourth-quarter forecast, the $12 million full-year middle of the range implies Medifast generated about $8 million on this measure across the first nine months of 2026.

❓ Key Questions

What are the annual dollar savings from Catalyst?

Medifast booked $15.4 million of Catalyst restructuring charges in the third quarter and wrote down half its net property and equipment, but the release does not state how many millions of fixed annual overhead those actions remove.

Will fourth-quarter operating income be positive before interest?

The $0.00 to $0.25 fourth-quarter profit per share outlook equals about $1.4 million at the middle of the range by our math, which is less than the $1.5 million of interest income earned in the third quarter.

Are new coach sign-ups growing despite total attrition?

Total active earning coaches fell another 1,500 to 10,200 after the August launch of the Trilivy brand and new pay plan. Disclosing gross new coach additions would show whether recruitment has turned the corner underneath the exits.

What will it take to start buying back shares?

Cash and investments rose to $172.5 million with zero debt, and the major 3.0 product and software launches are now complete, yet the company still has not authorized a share repurchase program.
