Investar Holding Corporation (ISTR) Q3 2026 earnings review

Investar's profit rises after merger, but its underlying spread stalls

Investar Holding Corporation, a regional bank serving Louisiana, Texas, and Alabama, grew profit as merger bills faded, while accounting gains drove its lending spread. Profit per share excluding one-offs rose 3% from last quarter to $0.77 after the bank finished integrating Wichita Falls Bancshares. Chief executive John D’Angelo highlighted a 0.06 percentage point rise in net interest margin to 3.73%, but excluding purchase accounting income, that margin moved up just 0.01 points to 3.40%.

At a glance
Net interest income$33.8M +1% from last quarter (+60% from a year ago)
Profit per share, excluding one-offs$0.77 +3% from last quarter (+43% from a year ago)
Net interest margin, excluding loan accretion3.40% 3.39% last quarter (reported: 3.73%)
Loans outside the WFB acquisition$2.26B +2.3% from last quarter

⚖️ Verdict: ⚪ Neutral

The story is unchanged because commercial loan growth and lower integration costs balanced out flat underlying lending spreads and deposit outflows. Legacy loans grew and the bank bought $65 million in commercial credit lines after quarter-end, but it relied on Federal Home Loan Bank borrowings to replace departing time deposits and released credit reserves even as problem loans ticked up.

The question now is whether new commercial loans can lift the underlying lending margin before merger accounting gains fade. If the new variable-rate loans outpace deposit costs, the underlying margin expands; if deposit outflows force more wholesale borrowing, funding costs eat the gain. Fourth-quarter net interest margin excluding accretion and deposit balances will tell.

🟢🟢 GROWTH

Commercial Lending Replaces Acquired Mortgages

Investar closed its purchase of Wichita Falls Bancshares (WFB), a Texas bank, on January 1, adding $962 million in loans. Chief executive John D’Angelo said the bank continued its strategy of "allowing the consumer mortgage loans acquired from WFB to run off and replaced them with production in our business lending portfolio". Total loans barely moved from last quarter, but loans outside the WFB book grew 2.3% to $2.26 billion.

  • Business lending portfolio: $1.25 billion, up 3.1% from last quarter
  • Commercial and industrial loans: $733.7 million, up 4.3% from last quarter
  • Acquired WFB loans: down $43.5 million from last quarter by our math
  • Construction and development loans: $228.5 million, down 12.7% from last quarter

This remix matters because commercial loans carry floating rates and higher yields than old residential mortgages. New and renewed loans in the third quarter came on at a 7.0% average rate, with 59% carrying variable rates. To speed up the shift, the bank hired 13 commercial bankers this year and bought $65.0 million of variable-rate commercial credit lines on October 1.

What to watch: total loan balances in the fourth quarter after adding the $65 million loan purchase. Net growth in total loans would show that commercial production has overtaken the mortgage runoff.

Completed Bank Integration Lowers Operating Costs

Buying another bank brings temporary bills for system conversions and legal work. Investar finished integrating WFB's computer systems in the second quarter, with the "operational conversion of WFB being completed during the second quarter of 2026". That allowed total noninterest expense — the bank's overhead and operating costs — to drop 7.8% from last quarter to $22.7 million.

Acquisition expenses fell from $2.58 million in the second quarter to $0.26 million in the third, a drop of 6.4 percentage points of operating revenue by our math. Data processing costs also declined by $0.2 million. However, salaries and employee benefits rose $0.3 million, or 0.6 percentage points of operating revenue by our math, because of higher health insurance claims. As a result, the efficiency ratio excluding one-offs ticked up 0.6 points to 60.64%.

What to watch: salaries and employee benefits in the fourth quarter after hiring 13 commercial bankers. A drop in the efficiency ratio excluding one-offs below 60% would show that new banker revenue is outrunning their pay.

🐻 Bear Case

🔴🔴 MARGIN contradicts narrative

Merger Accounting Drove the Margin Gain

"Our net interest margin improved substantially to 3.73%, a six basis point increase from previous quarter," chief executive John D’Angelo said. Net interest margin (NIM) measures the spread between what a bank earns on loans and securities and what it pays for deposits and borrowings. Management framed this expansion as the result of growing asset yields while keeping funding costs low.

The numbers show that merger accounting did most of the work. When a bank buys loans at a discount, it records the discount as extra interest income over time, called loan accretion. Accretion jumped from $2.54 million in the second quarter to $2.97 million in the third. Stripping out accretion and interest recoveries, the underlying NIM rose just 0.01 percentage points to 3.40%, and the underlying loan yield fell 0.03 points to 5.91%.

What to watch: net interest margin excluding accretion in the fourth quarter once the $65 million of purchased credit lines enter the book. An increase above 3.40% would show that new commercial loans are lifting the true lending spread.

Federal Home Loan Bank Borrowings Replaced Deposits

D’Angelo said the bank kept funding costs low by "replacing a portion of our higher cost brokered time deposits and time deposits with lower cost, non-maturing deposits". Noninterest-bearing checking accounts — which pay depositors zero interest — did grow by $17.3 million, or 2.8%, from last quarter to $639.2 million.

However, checking growth did not cover total deposit outflows. Total deposits fell $33.1 million, or 1.0%, from last quarter as time deposits dropped $29.0 million and money market accounts shrank $15.7 million. To plug the funding gap at quarter-end, Investar drew down $48.5 million more in Federal Home Loan Bank (FHLB) advances, pushing those borrowings up 35.7% to $184.5 million. Meanwhile, overall deposit costs ticked up 0.01 percentage points to 2.20%.

What to watch: ending FHLB advances and total deposits in the fourth quarter. A further rise in wholesale borrowings to fund the $65 million October loan purchase would pressure funding costs.

🔴 GROWTH

Problem Loans Rose While Reserves Shrank

Nonperforming loans — loans where the borrower is behind on payments or in trouble — rose $2.0 million from last quarter to $21.4 million. That pushed problem loans to 0.70% of the total loan book, up from 0.63% in the second quarter and 0.36% a year ago. The bank downgraded ten residential mortgage relationships totaling $2.1 million and three owner-occupied commercial real estate relationships worth $0.8 million.

Despite the rise in troubled loans, Investar did not add to its rainy-day reserve. Instead, it recorded a $0.14 million credit loss reversal, which boosted pre-tax profit by $0.41 million compared to last quarter's $0.28 million provision expense. Management attributed the release to economic forecasts and loan mix. Consequently, the allowance for credit losses fell to 169% of nonperforming loans, down from 187% last quarter and 345% a year ago.

What to watch: nonperforming loans as a share of total loans in the fourth quarter. Another increase would make it hard for the bank to keep releasing reserves into earnings.

Bond Portfolio Losses Reduced Tangible Book Value

Tangible book value per share — the net asset value of the bank excluding goodwill and intangibles — fell 2.3% from last quarter to $22.55, even though the bank earned $11.1 million in profit. Market interest rate moves lowered the fair value of Investar's available-for-sale bond portfolio, increasing unrealized bond losses in equity by $15.4 million to $53.2 million amid "heightened uncertainties resulting from recent changing trade and tariff policies".

❓ Key Questions

How did Investar fund the $65 million October loan purchase?

Cash and bank balances stood at $57.1 million on September 30, and deposits fell $33.1 million during the third quarter. Borrowing more from the Federal Home Loan Bank to pay for the October 1 credit lines would raise wholesale funding costs.

How much unrecognized discount remains on the acquired WFB loans?

Purchase accounting accretion contributed $2.97 million to net interest income this quarter, accounting for five of the six basis points of reported margin expansion. Knowing the remaining discount balance and expected payoff schedule would show when reported margin will converge with the 3.40% underlying margin.

Did the newly downgraded residential mortgages come from the WFB book?

Investar downgraded ten residential mortgage relationships totaling $2.1 million in the third quarter. Because nearly all residential mortgages added this year came from WFB, clarifying whether the trouble sits in acquired Texas loans or legacy Louisiana loans matters for future reserve needs.

Why did the bank omit an explicit numerical financial outlook?

The Baton Rouge bank did not issue numerical targets for fourth-quarter net interest margin, loan growth, or operating expenses. Providing a range for net interest income or expense run-rates now that the WFB system conversion is finished would clarify earnings power.
