Indivior (INDV) Q3 2026 earnings review
Indivior's profit nearly doubles, while its standalone era ends Monday
Indivior delivered record profit in its final standalone quarter before merging into central nervous system drugmaker Supernus on November 2. Revenue grew 13% to $356 million as US unit volume for its monthly addiction injection SUBLOCADE increased 17%, and deep cost cuts lifted the Adjusted EBITDA margin by 21 percentage points. Chief executive Joe Ciaffoni and finance chief Ryan Preblick kept the full-year outlook unchanged, which by our math leaves fourth-quarter sales falling 12% only because the standalone targets expire on Monday.
| Total net revenue | $356M +13% from a year ago |
|---|---|
| Total SUBLOCADE net revenue | $267M +22% from a year ago |
| Adjusted EBITDA margin | 59% +21 percentage points from a year ago |
| Full-year standalone outlook | Unchanged retires when Supernus merger closes Nov 2 |
โ๏ธ Verdict: โช Neutral
The story is unchanged because the standalone investment case ends in four days and the merger terms were already set. Beating what the second-half outlook implied for third-quarter profit shows the old plan was cautious, while One caution is that favourable rebate adjustments again boosted US SUBLOCADE sales growth above actual unit volume.
The question now is whether combining with Supernus creates value through cost savings or dilutes Indivior's high-margin addiction franchise with debt and slower-growing drugs. If the deal works, cash flow quickly pays down the special dividend loan; if it drags, higher leverage and integration costs offset SUBLOCADE's growth. Combined 2027 targets and the post-close debt disclosures will tell.
๐ Bull Case
Deep Cost Cuts Lifted Profit Margins
Indivior's cost-cutting plan, which it calls the Indivior Action Agenda, drove almost all of this quarter's profit expansion. Operating expenses excluding one-offs fell 29% from a year ago to $103 million after the drugmaker shut down internal drug trials and exited six international markets.
- Selling and overhead costs: 33.4% of sales, down 15.6 percentage points from a year ago by our math
- Research and development: 1.4% of sales, down 9.1 percentage points after halting two clinical trials
- Cost of making the products: 14.3% of sales, down 12.1 percentage points on lower restructuring charges
- Adjusted EBITDA margin (profit before interest, tax, depreciation and one-offs): 59%, up 21 percentage points
Finance chief Ryan Preblick said the 59% margin reflected the execution of this cost agenda. Because the company kept its full-year cost cap at $430 million to $450 million, almost every new dollar of sales drops straight into operating profit.
What to watch: combined operating expenses in the first full report after the Supernus merger closes. A continuing drop in overhead as a share of sales would show the new management team is keeping Indivior's cost discipline.
SUBLOCADE Volume Keeps Growing Fast
SUBLOCADE, a monthly injection for opioid addiction, carries the business. Total sales of the drug rose 22% from a year ago to $267 million, and US sales climbed 24% to $252 million. The company said 17% growth in dispensed units drove the US increase.
The underlying growth was even stronger because the year-ago quarter included $10 million from rebate adjustments and $4 million from wholesaler stocking. Stripping those items out of the comparison period, US SUBLOCADE sales grew 33% from a year ago by our math. Total US patients ever prescribed the drug reached 583,000, adding 38,000 since June.
What to watch: fourth-quarter US SUBLOCADE unit volume growth in the annual filing. A reading near 20% would show that patient demand remained strong during the merger handoff.
Results Beat the Cautious Second-Half Plan
Three months ago, Indivior's full-year outlook pointed to second-half revenue of $635 million to $705 million and Adjusted EBITDA of $350 million to $390 million by our math. Third-quarter revenue of $356 million and Adjusted EBITDA of $211 million beat the quarterly pace needed for both ranges.
The drugmaker left its full-year targets unchanged because the Supernus merger closes in four days. By our math, the middle of the unchanged outlook leaves fourth-quarter revenue falling 12% from a year ago to $314 million, which confirms the old targets were cautious rather than a sign of slowing demand.
What to watch: combined 2027 financial targets from Supernus when it reports full-year results. Those targets will show whether the new leadership sets similarly cautious baselines for the addiction portfolio.
๐ป Bear Case
The Supernus Merger Changes the Investment Case
"Upon the imminent closing of our merger with Supernus, we will have successfully completed all three phases of the Indivior Action Agenda," chief executive Joe Ciaffoni said. Supporters view the deal and its special cash dividend as the culmination of a capital return story that also added $110 million to cash this year.
In October, shareholders approved the all-stock merger, which closes November 2 and renames the combined group Supernus. The deal solves Indivior's reliance on SUBLOCADE, which made up 75% of third-quarter sales while research spending dropped to $5 million. However, it folds a 59%-margin business into a lower-margin drugmaker and adds debt.
Indivior warned in the release of "the effect of additional indebtedness incurred to fund the special cash dividend" on a balance sheet that already has a $60 million stockholders' deficit. It also moved all $488 million of its existing debt into current liabilities ahead of the deal.
What to watch: the closing merger filing in November detailing the final debt and convertible note terms. A larger debt load or share dilution from the notes would weigh on per-share earnings.
Rebate Adjustments Still Help Top-Line Growth
Indivior sells drugs through government programmes where final rebates are settled quarters later. Management previously warned that releases of prior-year rebate reserves would turn from a tailwind into a headwind during 2026. Yet US SUBLOCADE sales grew 24% this quarter on 17% unit growth, leaving a 7-point gap.
The release said US sales benefited from "more favorable price/mix and gross-to-net adjustments", while the balance sheet shows accrued rebates and returns fell to $548 million from $582 million in December. That gap means accounting true-ups or price mix still boosted reported revenue growth above actual patient volume.
What to watch: the table of revenue from prior-period obligations in the third-quarter 10-Q filing. A nine-month total above $64 million would show that reserve releases kept propping up revenue growth.
Risks this quarter didn't answer
Three standing risks received no new numbers in the third-quarter earnings release because Indivior gave only summary highlights ahead of the merger close.
- Category market share: SUBLOCADE held 76% of the US long-acting injectable market in Q2 against rival Brixadi; the Q3 release did not update this figure.
- Dental litigation: around 26,307 plaintiffs have sued over SUBOXONE tooth decay with bellwether trials in 2028; the Q3 release gave no loss estimate, and the 10-Q legal note is the next check.
- 2027 Medicaid funding: upcoming federal Medicaid changes could affect addiction treatment coverage; management provided no new commentary.
๐ฒ Other KPIs
Older products outside SUBLOCADE stabilised this quarter. US sublingual film and other sales rose 3.9% from a year ago to $53 million as generic pricing steadied, while Rest of World revenue grew 2.1% to $48 million despite earlier exits from six European and Middle Eastern markets.
Nine-month operating cash flow reached $317 million, up 63% from $194 million a year ago. Subtracting first-half cash flow leaves $97 million generated in the third quarter by our math, vs a $39 million outflow a year ago, lifting cash and investments to $332 million.
Weighted average diluted shares fell 5.4% from 129 million a year ago. The drugmaker spent $302 million on share buybacks across the first nine months of 2026, though it spent only $2 million in the third quarter by our math after signing the merger agreement.
๐ฎ Guidance
Unchanged. The plan points to 7.3% full-year growth at the middle of the range, and Indivior stated that "we will operate as a combined company and the guidance will no longer apply" after November 2. By our math, the midpoint leaves fourth-quarter sales down 12.3% from a year ago. The company raised this range twice earlier this year: +$90M, +$80M, $0M.
Unchanged. The outlook calls for 20.3% full-year growth at the middle of the range before the target retires on November 2. By our math, that leaves fourth-quarter SUBLOCADE revenue at $277 million, or 9.9% growth from a year ago against 21.9% in the third quarter. It follows two raises earlier in 2026: +$45M, +$60M, $0M.
Unchanged. The cost plan keeps operating expenses excluding one-offs down 29.3% for the full year at the middle of the range. With $331 million spent in the first nine months, the midpoint leaves $109 million for the fourth quarter by our math, down 33.5% from a year ago. Indivior held this range across all four quarters.
Unchanged. The plan calls for 68.2% full-year growth at the middle of the range prior to the November 2 merger close. By our math, the $720 million midpoint leaves $158 million for the fourth quarter, up 11.3% from a year ago and down from $211 million in Q3. Earlier 2026 moves were: +$85M, +$80M, $0M.
โ Key Questions
How much did prior-year rebate releases add in Q3?
US SUBLOCADE sales grew 24% on 17% unit volume growth, and management cited gross-to-net adjustments as a benefit. Without the third-quarter 10-Q note, investors cannot see how much of that 7-point gap came from releasing old rebate reserves.
Why did the Q3 release omit the 20% volume target?
Last quarter Indivior guided for 20% US SUBLOCADE dispense unit growth in 2026 and around $420 million in operating cash flow. Neither line appeared in the third-quarter outlook table, leaving it unclear if the 17% Q3 unit rate was on track.
How will the special dividend affect the 2031 convertible notes?
All $488 million of debt moved to current liabilities on the September 30 balance sheet. Management has not quantified whether the merger and special cash dividend trigger conversion rate adjustments or cash repayment rights on the $500 million convertible notes.
What were SUBLOCADE new patient starts and category share?
In the second quarter, Indivior reported a record 32,816 new patient starts and a 76% share of the US long-acting injectable category. The third-quarter release gave only cumulative patients since launch, hiding whether rival Brixadi gained ground.
