Gold Royalty Corp. (GROY) Q3 2026 earnings review

Gold Royalty's mine output doubles, while realised gold prices slip

Gold Royalty's mine interests delivered a big jump in output while lower gold prices trimmed the cash earned per ounce. The precious-metals royalty company doubled its volume to 2,689 gold equivalent ounces, lifting revenue 147% to $10 million and swinging the bottom line to a profit. Chief executive David Garofalo kept the full-year outlook unchanged, and by our math the company needs only about 2,000 ounces in the fourth quarter to hit the middle of its plan.

⚖️ Verdict: 🟢 Bullish

The story got better because rising output from the Vareš and Borborema mines took the pressure off the back-loaded annual target and finally outpaced past share issuance. Volume per share rose by half from a year ago, and a debt-free balance sheet lifted cash to $21 million. One caution: the realised gold price fell for a second straight quarter and sits 17% below the price assumed in the company's annual plan.

The question now is whether the board uses its growing cash pile to start a dividend or buyback, or keeps spending on acquisitions. A payout would reward shareholders after a 35% expansion in the share count, whereas more deals could require new shares if large opportunities arise. The fourth-quarter results and 2027 budget will show which path the board chooses.

🐂 Bull Case

🟢🟢 strengthening GROWTH

Mine Ramps Put Full-Year Target Within Reach

Gold Royalty buys rights to a share of future output from gold and copper mines, measuring volume in gold equivalent ounces (GEOs) by dividing total revenue by the gold price. Chairman and chief executive David Garofalo said the company "continues to achieve record production, earnings and cash flows". After a slow first half, third-quarter volume jumped 53% from last quarter to 2,689 GEOs, above the pace needed for the second half.

  • Vareš copper stream: $2.4 million, up 98% from a year ago and more than double last quarter
  • Pedra Branca royalty: $2.5 million, acquired earlier this year
  • Borborema royalty: $1.9 million in reported revenue, up 99% from a year ago on "record quarterly production at Borborema"
  • Growth from mines owned a year ago: GEOs up 44% by our math, compared with 103% in total

This surge matters because Gold Royalty missed its annual target last year after keeping it unchanged mid-year. Reaching 6,366 GEOs over nine months puts the company at 76% of the middle of its full-year plan, leaving 1,134 GEOs in the fourth quarter to hit the bottom of the range.

What to watch: fourth-quarter volume from Vareš and Borborema. Holding above 2,034 GEOs in total will achieve the middle of the full-year outlook.

🟢 strengthening MARGIN

Fixed Overhead and Zero Debt Lift Profit

A royalty company does not pay to run the mines, so new revenue flows straight to profit once it covers head-office costs. Reported revenue rose 147% from a year ago to $10.2 million, lifting operating margin by 34.9 percentage points to 48.7%. General and administrative costs, which cover employee pay and office overhead, rose 10% in dollars but fell by 23.1 percentage points of revenue to 18.5%.

Gross margin moved the other way, falling 2.4 percentage points to 68.1% because depletion, the accounting charge for using up purchased mineral rights, rose by 3.9 percentage points of revenue. Below the operating line, paying off all bank debt and clearing convertible debentures cut finance costs by 93% to $0.2 million, swinging net income to $3.8 million from a $1.1 million loss.

What to watch: general and administrative costs in the fourth quarter. Staying near $1.9 million per quarter will allow rising royalty revenue to keep lifting the operating margin.

🟢 fading CAPITAL ALLOCATION

Volume Growth Now Outpaces Share Dilution

Gold Royalty issued tens of millions of shares over the past year to eliminate debt and buy the Borborema and Pedra Branca royalties. Weighted average basic shares stood at 231.5 million this quarter, up 35.4% from a year ago. In the second quarter, that larger share count left gold equivalent ounces per share slightly lower than a year earlier.

This quarter, the new royalties produced enough output to overcome the extra shares. By our math, volume per million basic shares jumped 50% from a year ago to 11.62 GEOs, while 3.0 million out-of-the-money employee stock options expired unused. Still, 14.6 million warrants exercisable at $2.25 per share remain outstanding until May 2027, representing another 6% in potential new shares.

What to watch: warrant exercises before the May 2027 expiry. Those exercises will add up to 14.6 million shares but bring in about $33 million in cash.

🐻 Bear Case

🔴🔴 persistent MACRO contradicts narrative

Falling Gold Prices Cut Behind-the-Scenes Revenue

Gold Royalty highlights a custom measure combining revenue, land payments and loan interest, which reached $11.5 million, and divides it by the gold price to calculate 2,689 GEOs. While average gold rose 23.4% from a year ago to $4,266 per ounce, it fell 5.5% from the second quarter and sits 17% below the $5,150 price assumed in the full-year outlook.

Because the company divides fixed-dollar land agreement payments ($1.1 million) and Borborema joint-venture revenue ($0.7 million) by a lower gold price, the math creates extra GEOs even as each ounce brings in fewer dollars. At the $5,150 outlook price, this quarter's $11.5 million in total receipts would equal 2,228 GEOs by our math, or 461 fewer than reported.

What to watch: the realised gold price and land agreement payments in the fourth quarter. Another drop in gold prices will reduce dollar cash flow per ounce even if the company hits its GEO volume target.

🔴 persistent PRODUCT

Mine Operators Reschedule Future Projects

Because Gold Royalty owns non-operating interests, outside mining companies control the schedules that drive its multi-year growth plan. Several partners reported progress, including Agnico Eagle keeping Odyssey on track for "first production through Shaft #1 in the second quarter of 2027" and Equinox receiving a "positive Record of Decision from the United States Bureau of Land Management, completing the federal environmental permitting process" at South Railroad.

Other partners hit snags or shifted priorities. Operator i-80 Gold is "revising the sequencing of its longer-term projects, placing construction of the Granite Creek open pit after Mineral Point enters production". At Vareš, the Constitutional Court of Bosnia and Herzegovina set a six-month review of state property laws, though operator DPM noted the mine "continues to operate as normal", while Côté Gold royalty revenue slipped 4.7% from a year ago to $1.0 million.

What to watch: the Bosnian legal review by April 2027 and Barrick's year-end update on the REN project. Any delay at REN or disruption at Vareš would slow 2027 volume growth.

🔴 persistent CAPITAL ALLOCATION

Shareholders Still Wait for Promised Cash Returns

Now that Gold Royalty has paid off its bank debt and is generating positive free cash flow, management has pointed to potential dividends or buybacks as a catalyst. In the release, Garofalo again mentioned the "prospect of cash returns to shareholders" alongside accelerating production from its key mines.

Despite ending September with $21.0 million in cash and an undrawn $125 million credit line, the board announced no dividend or share buyback programme this quarter. Instead, the Canadian company spent $0.8 million in July to buy two royalties in Nevada on the Sterling and Granite Creek properties, keeping capital focused on portfolio additions rather than cash payouts.

What to watch: a board decision on a dividend or buyback with the full-year results. Continuing to hold cash without a payout policy leaves shareholders diluted from past deals with no cash yield.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Two standing questions from prior quarters received no new information in the third-quarter release and financial statements.

  • Returns on new royalty deals: management spent $0.8 million on two Nevada royalties, but did not disclose expected production timelines or return hurdles in a competitive market.
  • Five-year 2030 volume target: the release gave no update on the 28,000 to 34,000 GEO target for 2030 or how delayed projects like the Granite Creek open pit affect it.

🔮 Guidance

FY26 Gold Equivalent Ounces (GEOs) 7,500–9,300 GEOs
🠆 unchanged from 7,500–9,300 GEOs
⇘ decelerating

Unchanged. The plan calls for 8,400 gold equivalent ounces at the middle of the range, up 62% from last year's 5,173 ounces. By our math, producing 6,366 ounces in the first nine months leaves 2,034 ounces for the fourth quarter to reach the middle of the range, down from 2,689 this quarter but up 62% from a year ago. The year looks achievable, needing only 1,134 ounces in the fourth quarter to reach the bottom of the range.

❓ Key Questions

When will the board decide on a shareholder payout?

Cash reached $21.0 million with zero bank debt, and management previously indicated the board was evaluating a capital return policy for later in 2026. Investors need to know whether a dividend or buyback will arrive in the fourth quarter.

How does the Granite Creek open-pit delay affect 2030 targets?

Operator i-80 Gold pushed construction of the Granite Creek open pit behind its Mineral Point project. Because Gold Royalty holds a 10% net profit interest there, delaying the open pit could reduce the 28,000 to 34,000 GEO target for 2030.

What drove the $1.1 million jump in land payments?

Land agreement proceeds recorded in revenue jumped to $1.09 million from $0.20 million a year ago. Because these option payments are lumpy rather than recurring mine royalties, their fourth-quarter schedule will shape whether volume stays near third-quarter levels.

Why did the Pedra Branca pre-acquisition adjustment rise?

The nine-month reconciliation includes a $1.28 million adjustment for residual ore produced in late 2025 before Gold Royalty bought the Pedra Branca royalty, up from $1.00 million in the first quarter. Management has not explained why another $0.28 million was added.
