Gold.com gross margin widens, but quiet markets cut quarterly profit

Gold.com, the precious-metals dealer and mint operator formerly called A-Mark, expanded its gross margin even as calmer metal markets reduced profit from last quarter. Sales excluding forward hedging contracts jumped 51% from a year ago on higher metal prices and two acquisitions, lifting gross profit 23% to $90 million. Chief executive Greg Roberts pointed to improved profitability over last year's loss, but net income dropped 87% from the fourth quarter to $1.6 million.

⚖️ Verdict: ⚪ Neutral

The story is unchanged because wider retail and minting margins offset the ongoing drag from higher overhead and financing bills. Owning Sunshine Minting and dealer Monex helped lift gross margin to 2.74%, yet active retail buyers slipped from last quarter and overhead excluding acquisitions rose 10% by our math. One caution: customer advances and metal leases dropped by $700 million, draining $451 million in cash without cutting interest expense.

The question now is whether the Monex and Sunshine Minting acquisitions can generate steady per-share profit in quiet metal markets, or whether the higher overhead and 20% share dilution will absorb gross profit whenever volatility fades. The first-quarter 10-Q filing's segment pre-tax profit and Tether lease footnotes will show which side is winning.

🐂 Bull Case

🟢 strengthening GROWTH

Higher Prices and Acquisitions Lifted Underlying Sales

Gold.com's headline revenue fell 11% from a year ago to $3.27 billion, but that drop reflects lower forward sales, which are contracts used to hedge metal prices rather than customer demand. Excluding a $1.37 billion drop in those forward contracts, revenue rose 51%, or $953 million, Gold.com said. Higher gold and silver prices, larger physical volumes and two acquired businesses drove the gain.

  • Gold sold: 463,000 ounces, up 5.5% from a year ago
  • Silver sold: 14.0 million ounces, up 34.5% from a year ago
  • JM Bullion average order value: $2,943, up 15.7% from a year ago

This matters because the company bought retail dealer Monex in January 2026 and mint operator Sunshine Minting in April 2026, so both businesses added to this quarter's volume without sitting in last year's comparison. Even so, the 15.7% jump in order size at flagship retail site JM Bullion shows that higher metal prices lifted spending at businesses Gold.com owned a year ago.

What to watch: physical ounces sold in the third quarter, when Monex enters the year-ago comparison. Sustained volume growth after that date would show that customer demand is expanding without help from acquisitions.

🟢 strengthening MARGIN

Retail Mix and Mints Lifted Gross Margin

Chief executive Greg Roberts said the April acquisition of Sunshine Minting gave the precious-metals group "greater control over product availability and pricing stability across our supply chain". Together with Silver Towne Mint, the firm's mints can produce over three million ounces of finished metal a week, while minority-owned collectible affiliates added $0.5 million in profit against a $0.9 million loss a year ago.

Gross profit rose 22.9% from a year ago to $89.6 million, and gross margin expanded by 0.76 percentage points to 2.74% of revenue. Cost of sales fell from 98.02% of revenue to 97.26% by our math. The Direct-to-Consumer segment, which sells coins and bars straight to retail buyers at higher markups than wholesale trading, supplied 70% of total gross profit, up from 66% last quarter.

What to watch: Direct-to-Consumer's share of gross profit in the quarterly filing's segment table. Holding that share near 70% while Sunshine Minting adds wholesale volume would confirm that in-house minting is lifting margins across both divisions.

🐻 Bear Case

🔴🔴 persistent CASH

Precious Metal Leases Kept Interest Costs High

Gold.com has expanded its partnership with stablecoin issuer Tether, which bought a major equity stake and supplies leased metal and storage business that supporters view as a cheaper funding source and growth driver. In practice, shifting from bank lines to metal leases has not lowered total financing bills yet, and unwinding customer advances drained cash this quarter.

  • Total interest expense: $12.5 million, down 1.0% from a year ago
  • Precious metals lease interest: up $6.2 million from a year ago, offsetting a $5.8 million drop on the Trading Credit Facility
  • Deferred revenue and other advances: $1.44 billion, down $700.5 million from June
  • Operating cash flow: negative $638.6 million, driven by the $700.5 million advance reduction

Because lease interest rose almost as much as bank interest fell, net financing costs stayed near $12.5 million. Meanwhile, the $700.5 million drop in deferred revenue and other advances—the balance-sheet line that holds customer prepayments and Tether metal leases—forced Gold.com to use $451.2 million of cash and raise product financing by $225.7 million.

What to watch: the precious-metal lease footnote in the first-quarter 10-Q filing. It will show how much of the $700.5 million drop came from returning leased metal to Tether and whether lease interest will fall next quarter.

🔴🔴 persistent MARGIN contradicts narrative

Acquisitions Hid Slow Buyer Activity and Higher Overhead

Management said Gold.com remained focused on "maximizing efficiencies at every level" and noted a larger customer base. The Direct-to-Consumer division, which sells directly to retail investors, reported 96,100 new customers, up 38.5% from a year ago and 41.5% from last quarter, but the company said that increase came primarily from acquiring Monex in January 2026.

  • Active Direct-to-Consumer customers: 148,600, up 0.9% from a year ago and down 7.5% from last quarter
  • Direct-to-Consumer average order value: $3,482, down 9.9% from a year ago
  • Selling, general and administrative expense: $71.2 million, up 19.0% from a year ago (up 0.55 percentage points of revenue to 2.18%)
  • Overhead excluding Monex and Sunshine Minting: up $6.2 million, or 10.4% by our math

These figures cut against the efficiency claim because pay rose $6.7 million and advertising rose $2.4 million. Even after stripping out $5.2 million of costs from acquired Monex and Sunshine Minting, overhead grew 10.4% by our math while active retail buyers fell from last quarter.

What to watch: Direct-to-Consumer pre-existing and new customer ticket counts in the 10-Q filing. A drop in organic tickets would show that retail buyers remain inactive while fixed pay and facility costs stay elevated.

🔴 persistent MACRO

Quiet Metal Markets Cut Profit From Last Quarter

"Our fiscal first quarter reflects the resilience of our fully integrated platform in a slower market environment," chief executive Greg Roberts said. Gold.com beat last year's weak first quarter, when calm summer trading produced a $0.9 million net loss, so profit excluding one-offs before tax rose 171.8% from a year ago to $13.2 million.

Compared with the fourth quarter, however, calmer precious-metal trading caused a sharp drop across every profit line. Gold ounces sold fell 11.1% from the prior quarter, silver ounces fell 8.7%, EBITDA dropped 38.3% to $17.4 million, and GAAP net income fell 86.8% to $1.6 million, or $0.05 a share, because fixed overhead absorbed most of the $89.6 million gross profit.

What to watch: second-quarter EBITDA against the third-quarter comparison of $103.4 million. Unless metal price swings widen retail spreads soon, annual profit will step down sharply when the company laps last winter's trading boom.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Three standing governance, acquisition and market-structure risks received no full update in the earnings release and depend on disclosures in the upcoming quarterly filing.

  • Acquisition earn-out tracking: Gold.com recorded a $1.8 million expense to adjust contingent consideration fair value after slashing the Monex earn-out by 92% last quarter; the 10-Q footnotes will show which deal caused the charge.
  • Leadership and credit renewals: chief executive Greg Roberts's contract expires in June 2027 and the $427.5 million Trading Credit Facility matures in September 2027; the 10-Q will show any renewal terms.
  • Silver market backwardation: spot prices trading above futures hurt wholesale hedging in prior quarters; the 10-Q segment note will show whether wholesale earned a pre-tax profit.

Diluted weighted-average shares rose 20.4% from a year ago, climbing from 24.70 million to 29.74 million after the company issued stock to Tether and for the Monex acquisition. The higher share count diluted per-share earnings and lifted the cash cost of the regular and special dividends paid during the quarter to $35.1 million.

Secured loans receivable (27Q1) $107.4 million
⇘ decelerating

Gold.com's lending arm, which makes loans backed by bullion, coins and sports cards, shrank 6.7% from June's $115.1 million balance, though it remained 3.7% above the $103.6 million held a year ago. The number of active loans edged up from 367 in June to 372, still down 12.3% from 424 a year earlier, generating $7.7 million in cash repayments.

Total inventories and product financing (27Q1) $2.44 billion
⇗ accelerating

Total metal and coin inventories rose 3.2% from June's $2.36 billion and nearly doubled from $1.22 billion a year ago. Within that total, restricted inventories pledged for short-term financing rose from $798.5 million to $1.09 billion, matching a $225.7 million jump in product financing arrangements to $314.9 million as the business replaced outflows on customer advances.

🔮 Guidance

Quarterly cash dividend $0.20 per share
🠆 unchanged from $0.20 per share
⇒ stable

Unchanged. The board declared its regular $0.20 per share quarterly cash dividend, payable December 2, "maintaining the Company’s current dividend program". Unlike last quarter, when Gold.com also declared a $1.00 special dividend after a record year, the payout returns to its baseline rate, which costs about $5.9 million a quarter on the expanded 29.3 million share count.

❓ Key Questions

Did Tether metal leases drive the $700 million advance outflow?

Deferred revenue and other advances fell $700.5 million from June, causing a $638.6 million operating cash outflow, while metal lease interest still rose $6.2 million from a year ago. Investors need the exact Tether lease balance at quarter end.

How many new retail customers came from businesses owned last year?

Direct-to-Consumer new customers rose 38.5% to 96,100, which Gold.com attributed primarily to acquiring Monex, yet active customers fell 7.5% from last quarter. Separating Monex sign-ups from organic additions will show whether core retail demand is still shrinking.

Which acquisition caused the $1.8 million earn-out expense?

After marking the Monex earn-out down by $4.8 million to $0.4 million last quarter, Gold.com booked a $1.8 million contingent consideration charge this quarter. Management has not said whether Monex rebounded or another acquired business beat targets.

Did the wholesale division make money before tax?

Wholesale contributed 30% of gross profit after adding Sunshine Minting, up from 29% a year ago, but the segment lost money before tax in each of the last two fiscal years after carrying the company's interest bill.
