Genius Sports Limited (GENI) Q3 2026 earnings review

Genius Sports doubles its contract backlog, while debt costs keep net profit negative

Genius Sports, a supplier of official league data and marketing software to sportsbooks, turned an operating profit as core betting growth sped up and its contract backlog doubled. Total sales rose 62% to $270 million — above what the company's own plan pointed to — while the betting division, which excludes the April purchase of digital media network Legend, grew 33%. By our math, the company generated $54 million of free cash flow in the quarter, lifting cash to $207 million, though $19 million of debt interest kept the bottom line in a $16 million net loss.

⚖️ Verdict: 🟢 Bullish

The story got better because the two biggest balance-sheet and backlog concerns eased in the same quarter. Contracted future revenue jumped to $1.19 billion after chief executive Mark Locke completed fall sportsbook renewals, reversing a year-long slide, and third-quarter cash generation covered half of the second-half cash target. One caution: the financial notes still omit standalone revenue for Legend and do not include the non-GAAP profit table.

The question now is how much of the media division's 126% growth comes from underlying demand versus simply adding Legend's websites. Either Legend is driving cross-selling across sportsbooks, or its standalone numbers are being kept out of sight where artificial intelligence search could slow traffic. Full-year pro forma disclosures in the annual report will settle it.

🐂 Bull Case

🟢🟢 GROWTH

Contract Backlog Doubled on Fall Renewals

Genius Sports sells official league data and live streams to sportsbooks under multi-year contracts. For the past year, remaining performance obligations (RPO) — future revenue locked into signed contracts — shrank from $667.7 million in June 2025 to $535.1 million in March 2026. Chief executive Mark Locke told investors last quarter that the company would finish pending US sportsbook renewals before the American football season.

The company delivered those renewals in the third quarter. Contracted RPO more than doubled from a year ago to $1,191.6 million, adding $656.5 million since March. Genius expects to recognize 40% of that backlog, or about $477 million by our math, within the next 12 months. That 12-month figure rose 54% from a year ago and removes the concern that fixed contract coverage was running dry.

What to watch: Fourth-quarter RPO in the annual report. A stable backlog above $1.1 billion would show that the new multi-year sportsbook contracts cover a much larger share of 2027 revenue.

🟢🟢 strengthening MARGIN

Betting Growth Accelerated and Turned Operating Profit Positive

Headline revenue rose 62.3% from a year ago to $269.9 million, beating the $260 million outlook. Because Genius bought digital media network Legend on April 30, all acquired revenue sits inside the media division. That leaves the betting technology division as a clean measure of sales from businesses owned a year ago, and its growth sped up from 27.5% last quarter to 33.4%.

  • Betting revenue: $153.0 million, up 33.4% from a year ago, helped by $33.3 million of revenue-share fees (up 43.5%)
  • Gross margin: 34.1%, up 9.3 percentage points as data and streaming rights dropped 10.2 points of revenue
  • Operating profit: $10.4 million (3.9% margin), reversing a $25.6 million operating loss a year ago

Gross profit more than doubled because cost of revenue — the price of league data rights and media traffic — fell from 75.2% of sales to 65.9%. General and administrative overhead also dropped by 8.3 percentage points of revenue, allowing the sports data group to earn a quarterly operating profit.

What to watch: Fourth-quarter betting revenue growth. Holding growth above 30% during the peak football quarter would confirm that new renewals carry higher prices and bigger revenue-share takes.

🟢 fading CASH

Third-Quarter Cash Generation Halved the Second-Half Target

After borrowing $825 million in April to buy Legend, Genius promised investors over $100 million of total cash flow in the second half of 2026 and a year-end cash balance near $260 million. First-half operating cash flow was negative $147.2 million, so the company needed a sharp turnaround in the third quarter.

By our math, subtracting six-month figures from the nine-month cash statement shows Genius generated $79.4 million of operating cash flow and $53.6 million of free cash flow in the third quarter. Cash on the balance sheet rose by $51.5 million to $206.5 million. That leaves $53.5 million of cash to add in the fourth quarter to hit the year-end target.

What to watch: Year-end cash on the December balance sheet. A balance of $260 million or more would prove the combined business converts its second-half earnings into cash after debt service.

🐻 Bear Case

🔴🔴 persistent CAPITAL ALLOCATION contradicts narrative

Debt Costs and Taxes Kept the Bottom Line Red

Genius bought Legend to "accelerate the Company’s growth strategy by expanding its digital sports media reach and fan monetization capabilities". While the deal helped push operating income into positive territory at $10.4 million, the debt taken on to pay for it consumed all of that operating profit and more.

  • Net interest expense: $19.1 million in the third quarter, up from $0.1 million a year ago
  • Total debt: $787.4 million ($41.3 million current and $746.1 million long-term), leaving $580.8 million of net debt by our math
  • Contingent consideration: $202.5 million fair value on the acquisition date for future earn-outs, plus a $1.1 million remeasurement loss in Q3

Along with a $7.1 million income tax expense, those financing charges produced a $15.7 million net loss. In addition, the Legend earn-out is "Contingent upon the achievement of specified profitability and cash flow thresholds" over the next two years, with a maximum payout of $300 million in cash or stock.

What to watch: Fourth-quarter net interest and tax expenses. If quarterly interest stays near $19 million, Genius will need over $25 million in quarterly operating profit just to break even.

🔴 persistent DISCLOSURE

Genius Still Hides Legend's Separate Sales

Media technology revenue more than doubled from a year ago to $116.9 million, including $26.4 million from revenue-share contracts. The media division is both a growth driver and a risk: it brings higher margins from owned websites, but investors worry that artificial intelligence search tools could reduce visitor traffic to those sites.

In the first full quarter of owning Legend, the financial notes still do not disclose how much revenue or profit Legend generated on its own, or what the combined media division would have earned a year ago. Without a pro forma comparison in Note 2, outside readers cannot tell how fast either the legacy media business or Legend grew.

What to watch: Pro forma revenue disclosures in the 2026 annual report. Accounting rules normally require full-year filings to state what revenue would have been if a major acquisition had occurred a year earlier.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Because the supplied filing includes only the unaudited financial statements and stops at Note 6, several items from the standing case have no reading yet.

  • Profitability excluding one-offs (Adjusted EBITDA): not in the GAAP financial tables; the earnings release or management remarks will show if Q3 met the $85 million target.
  • Prediction-market and Moment Engine revenue: no customer counts or revenue figures for Kalshi, Polymarket or AI ad tools appear in the notes.
  • Patent and copyright lawsuits: the filing cuts off before Note 16 (Commitments and contingencies), leaving no update on the Sportscastr or Volleystation cases.

Up 80.3% from last quarter and 29.1% from a year ago. Deferred revenue is cash customers have paid upfront for services not yet delivered. The seasonal jump ahead of the football season contributed to the third-quarter cash inflow, and Genius expects to recognize almost all of it as revenue within 12 months.

Unchanged in the financial statements, which do not include a forward outlook table. The standing plan from August calls for 51.6% growth at the middle of the range. With $653.3 million booked in the first nine months, by our math the plan leaves $361.7 million for the fourth quarter, or 50.4% growth from a year ago, after two raises earlier this year (+$185M on Legend, then +$15M).

❓ Key Questions

What were Q3 Adjusted EBITDA and any updated 2026 targets?

The supplied SEC filing contains only GAAP financial statements without the non-GAAP reconciliation or outlook table. Investors need to see whether third-quarter Adjusted EBITDA reached the $85 million target (32.7% margin) and whether management raised the $1.005–1.025 billion full-year revenue plan after the $9.9 million Q3 revenue beat.

How much revenue did Legend generate on its own in Q3?

Media revenue jumped by $65.3 million from a year ago to $116.9 million in Legend's first full quarter, but Note 2 omits pro forma revenue and standalone Legend figures. Separating Legend from legacy media is the only way to check organic media growth.

How much of the $656.5 million RPO jump came from US renewals?

Contracted backlog more than doubled from March to $1,191.6 million, while the share recognised within 12 months shifted from 57% to 40%. Management should break down how much came from longer-duration US sportsbook renewals versus any multi-year contracts added by Legend.

What are the three private companies under the April 2028 call option?

Note 1 discloses that Genius acquired a call option with Legend to purchase 100% of three private companies in April 2028. Management has not disclosed what these businesses do, how much the option cost, or what the exercise price would be.
