Forbright, Inc. (FRBT) Q3 2026 earnings review

Forbright grows loans and online deposits fast, while problem loans fall

Forbright, a commercial lender funded by a nationwide online bank, grew loans and deposits fast while its troubled loans shrank. A summer savings promotion brought in $1 billion of online deposits, which funded $568 million of new balance-sheet loans and lifted profit per share to $0.41. The bank also agreed to sell its remaining Washington, D.C.-area physical branches and $744 million of local deposits to Trustar Bank.

⚖️ Verdict: 🟢 Bullish

The story got better because Forbright answered the two biggest doubts from its first public quarter: it disclosed its online deposit total at $5.3 billion and cut non-accrual loans by 25%, including payoffs in Corporate Finance. Management also forecast flat core operating costs for 2027. One caution: solar lawsuits pushed pass-through legal fees to $7.2 million, and a tax adjustment on that solar business pushed the quarterly tax rate up to 29%.

The question now is whether Forbright can grow into its profitability goals before its rapid lending consumes its capital buffer. One view is that flat 2027 costs and September's loan repricing will lift returns quickly; the other is that an 8.7% return on tangible equity cannot self-fund 24% annual loan growth. Fourth-quarter deposit costs after the promotion expires will test the margin path.

🐂 Bull Case

🟢🟢 strengthening GROWTH

Digital Deposit Promotion Funded Record Loan Growth

Forbright runs a nationwide online bank to fund its commercial lending. Last quarter it kept the dollar size of its online deposits private, which made it hard to check if funding could keep up with lending. This quarter the lender published the figures and said "the deposit promotion capability we launched in June exceeded expectations".

  • Online deposits: $5.3 billion, up 24.5% ($1.0 billion) from last quarter and up 42% from a year ago
  • Online deposit accounts: 130,700, up from 106,700 three months ago
  • Loans held for investment: $6.16 billion, up $568 million (10.1%) in the third quarter alone

Because the June savings promotion brought in $1 billion of fresh cash, the bank had the funding to originate over $1 billion in commercial loans during the quarter. That single-quarter loan addition of $568 million beat the company's entire second-half floor of $374 million, which was the first-half total it promised to beat.

What to watch: total interest-bearing deposit costs in the fourth quarter. The 0.30 percentage point promotional bonus runs through year-end, so fourth-quarter funding costs will show whether savers stay without the extra rate.

🟢 fading MARGIN

Problem Loans Fell Across Key Lending Books

A key worry from the first half of 2026 was that unpaid loans were rising inside Corporate Finance, one of the bank's six national commercial lending divisions. In the third quarter, total non-accrual loans — loans no longer paying interest — dropped by 25.1% from $88.2 million to $66.1 million.

Forbright attributed the drop to the "pay-off or return to accrual status of Commercial Real Estate loans in Healthcare Finance and Real Estate Finance, and Commercial and Industrial loans in Corporate Finance". Because troubled borrowers paid off or resumed payments, the quarterly provision for credit losses fell to $1.5 million, well below the $3 million to $5 million range indicated last quarter.

What to watch: the non-accrual footnote in the third-quarter 10-Q filing. It will show whether any new Corporate Finance loans went unpaid behind the scenes while older ones paid off.

Management Plans Flat Core Costs In 2027

Forbright's efficiency ratio — operating expenses as a percentage of revenue, where a lower figure means higher profitability — improved by 7.7 percentage points from last quarter to 69.65%. Employee compensation and benefits rose $3.0 million on higher incentive bonuses, but fell by 3.3 percentage points as a share of total revenue, to 36.0%, because revenue grew much faster.

"As we look to 2027, we expect operating expenses — excluding reimbursable expenses in our Solar Services business — will largely remain flat despite the projection for strong loan growth." Management credits its existing technology platform and artificial intelligence tools, which let it grow loans 24% over the past year while non-solar staff rose by 3.7%.

What to watch: quarterly operating expenses excluding solar pass-through costs in the fourth quarter. Holding that clean cost line near this quarter's $63.2 million by our math is required to validate the 2027 plan.

🐻 Bear Case

🔴🔴 persistent PRODUCT contradicts narrative

Solar Lawsuits Inflate Both Revenue And Costs

Forbright services residential solar loans owned by outside investors and passes legal and sub-servicer costs back to them. The company says these pass-throughs have no impact on earnings, but "extensive litigation in the residential solar sector has magnified the effect in a meaningful way".

  • Solar reimbursable legal and sub-servicer costs: $7.2 million in Q3, up from $6.0 million in Q2 and $2.8 million in Q1
  • Professional fees and loan servicing expenses combined: 18.1% of revenue in Q3, up 13.4 percentage points from a year ago by our math
  • Solar acquisition deferred tax credit balance: $36.0 million, down $13.1 million from last quarter after final tax return adjustments

While management excludes these $7.2 million reimbursements from its core fee income measure, the underlying solar servicing revenue slipped from $9.1 million in the first quarter to $8.4 million in the third quarter. In addition, a $2.7 million tax-return adjustment on the acquired solar business wiped out this quarter's tax benefit and pushed the tax rate to 29.0%.

What to watch: Solar Services core fee income and the remaining $36.0 million tax credit in the fourth quarter. Continued fee shrinkage would show the solar book is running off faster than higher interest rates can extend it.

🔴 persistent CAPITAL ALLOCATION

Rapid Growth Consumes Capital Faster Than Earnings

The company says it met or exceeded nearly every key metric it tracks and carries a medium-term goal of a 15% return on average tangible common equity (ROATCE, a measure of profit on shareholders' physical net worth) and an efficiency ratio below 50%. Even after a strong third quarter, ROATCE reached 8.68%, which is well below the ~24% annual pace of asset and loan expansion.

Because assets grew faster than retained profits, tangible common equity divided by tangible assets fell by 1.02 percentage points in a single quarter to 9.97%, even with $17.1 million of extra initial public offering stock proceeds. By our math, hitting the sub-50% efficiency goal on today's $63.2 million clean cost base still requires adjusted revenue to grow another 42%.

What to watch: the Tier 1 leverage ratio in the first quarter of 2027 after the $744 million branch sale closes. Shedding those branch assets and cash should relieve some balance-sheet pressure without a new stock offering.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Four standing concerns from the first half of the year cannot be fully checked from the earnings release and presentation alone.

  • Undrawn credit lines: the release does not print off-balance-sheet loan commitments, so the 10-Q filing must show whether the $568 million loan surge drained the $1.08 billion pipeline.
  • Healthcare real estate concentration: Healthcare Finance grew 12% from last quarter to 31% of the $6.6 billion loan book, and the 10-Q will show reserve coverage on healthcare non-accruals.
  • Institutional sweep deposit concentration: third-party sweep accounts make up 16% of total deposits (about $1.34 billion), and contractual terms remain undisclosed.
  • Option and share dilution overhang: diluted voting shares rose to 31.8 million after the IPO and overallotment; unvested stock and option schedules await the 10-Q.

Branch Sale Moves Forbright Toward Pure Digital

On August 21, 2026, Forbright agreed to sell its remaining Washington, D.C.-area physical branches and $744 million of local deposits to Trustar Bank. The lender moved $721 million of cash into held-for-sale assets to fund the transfer when it closes in the first quarter of 2027, leaving Forbright reliant on nationwide online deposits and institutional sweeps.

new MACRO

Fed Rate Hike And Excess Cash Effects

In September, the Federal Reserve raised interest rates. Forbright's $1.9 billion cash and securities cushion "allowed us to hold our deposit rates steady following the Fed's September rate hike", while about 85% of its commercial loans repriced higher by mid-October. Holding $721 million of extra cash for the branch sale trimmed net interest margin by 0.01 percentage point to 3.18%.

💲 Other KPIs

Net interest income (26Q3) $72.0 million
⇗ accelerating

Net interest income — the profit from loan and securities interest minus deposit and borrowing costs — rose 13.9% from last quarter, accelerating from a 6.0% rise in the second quarter. Growth in average loans (+9.5%) and a 0.14 percentage point jump in loan yields from recovered non-accrual interest drove the gain.

Core non-interest income (26Q3) $17.1 million
⇗ accelerating

Fee income excluding one-off loan gains, solar expense reimbursements and office rent rose 8.8% from last quarter, up from 4.0% growth in the second quarter. Federal Housing Administration (FHA/HUD) loan fees more than doubled from a slow second quarter to $2.6 million, while Alliance Partners advisory fees edged up to $3.6 million.

Tangible book value per share (26Q3) $18.84
⇄ reversing

Shareholders' physical net worth per share, which strips out goodwill and intangible assets, edged up $0.10 from $18.74 last quarter after falling in the second quarter during the initial public offering. Third-quarter net income and $17.1 million from issuing 1.0 million overallotment shares outweighed higher unrealized losses on bond holdings.

🔮 Guidance

FY2027 Core operating expenses Largely flat YoY
⇘ decelerating

New. The bank forecasts that 2027 operating expenses, excluding pass-through legal and servicing costs in Solar Services, will stay roughly unchanged from 2026 levels even as loans keep growing. By our math, stripping $16.0 million of nine-month solar reimbursements leaves clean operating expenses running at an annualized $238 million.

Q4 2026 Net interest margin Positioned for expansion (>3.18%)
🠆 unchanged from Serious tailwinds in the fourth quarter
⇗ accelerating

Unchanged. Forbright reiterated that its net interest margin is "positioned for expansion in 4Q26" above this quarter's 3.18%. About 85% of the loan book repriced upward after the Federal Reserve's September rate hike while management held online deposit rates steady, which should widen the lending spread in the fourth quarter.

❓ Key Questions

Did the Q3 loan surge drain the undrawn commitment pipeline?

Loans held for investment jumped by $568 million this quarter, but the release omits the off-balance-sheet table showing undrawn credit lines. Whether commitments grew from June's $1.08 billion level will show if the pipeline was replenished or used up.

What rate will Forbright pay when the deposit promotion expires?

The June promotion added $1.0 billion in online deposits by offering a 0.30 percentage point bonus through year-end. Management has not said how much of that cash it expects to keep in the first quarter of 2027 once the bonus ends.

How much of the $5.3 billion digital deposit book is on promotion?

Forbright disclosed its total online deposit balance for the first time at $5.3 billion, up from $4.3 billion last quarter. It still does not separate promotional balances from base-rate accounts, which is needed to calculate the fourth-quarter funding cost drop.

Why did the solar tax credit shrink by $13.1 million?

True-up adjustments on the acquired solar business's final tax return cut the deferred tax credit balance from $49.1 million to $36.0 million and wiped out Q3's tax benefit. Will a smaller credit pool raise the 17.5% tax rate previously indicated for 2027?
