Finward Bancorp (FNWD) Q3 2026 earnings review
Finward Bancorp lending income rises, but merger costs cut profit
Finward Bancorp, the parent of Peoples Bank in Indiana, expanded its lending profit while merger bills and bond losses hit its bottom line. Net interest income rose 10% from a year ago as older loans repriced higher and new customer deposits paid down expensive wholesale debt. Reported profit fell 61% to $1.4 million because of $2.3 million in costs for the pending sale to First Financial.
| Net interest income | $15.9M +10.4% from a year ago |
|---|---|
| Net interest margin | 3.39% +0.35 percentage points from a year ago |
| Pre-tax profit, excluding one-offs | $3.6M +38% from last quarter by our math |
| Tangible book value per share | $31.07 -13.1% from last quarter |
⚖️ Verdict: ⚪ Neutral
The story is unchanged because Finward is waiting to close its acquisition by First Financial, and the opposing forces of higher interest rates balanced out. Higher rates lifted lending margins and pushed pre-tax profit excluding one-offs up 38% from last quarter by our math. The bad news: those same interest rates reduced the market value of the bank's bond portfolio, cutting tangible net worth per share by 13% in three months.
The question now is whether Finward can preserve its tangible book value and credit reserves until the First Financial merger closes. If market interest rates steady and bad loans stop rising, the bank enters the combination on solid footing; if bond values and loan coverage slip further, its balance sheet weakens before closing. Fourth-quarter bond valuations and shareholder vote results will settle it.
🐂 Bull Case
Loan Repricing Lifts Net Interest Margin
Finward Bancorp, the Indiana parent of Peoples Bank, makes most of its money from the spread between loan interest and deposit costs. That spread, called net interest margin, expanded for the fourth straight quarter because older loans are rolling over at higher interest rates.
The company credited the gain to "continued repricing and maturity of the existing loan portfolio" alongside a full quarter of interest from commercial loans originated in the spring.
- Net interest margin: 3.39%, up 0.35 percentage points from a year ago
- Average loan yield: 5.73%, up 0.18 percentage points from last quarter
- Total interest-bearing liability cost: 2.11%, down 0.14 percentage points from a year ago
- Net interest income: $15.9 million, up 10.4% from a year ago
This matters because core lending profit is accelerating before First Financial acquires the bank. Excluding $2.3 million of merger costs and a $182 thousand branch sale gain, pre-tax profit reached $3.6 million by our math, up 38% from last quarter's clean result.
What to watch: fourth-quarter average loan yields against interest-bearing deposit costs, which crept up 0.06 percentage points this quarter to 2.04%. A wider spread would confirm that older fixed-rate loans still reprice above deposit rates.
Deposit Gains Pay Down Expensive Debt
Customer deposits are a bank's cheapest funding source, while wholesale loans from the Federal Home Loan Bank (FHLB) are among its most expensive. Finward brought in $25.9 million of net new deposits this quarter, reversing a $4.2 million outflow in the same quarter last year by our math.
Checking, savings and money market accounts rose to 71.9% of total deposits, including $10.8 million of new non-interest-bearing balances. Management used this cash for a "reduction in FHLB advances resulting from deposit balance strength", cutting total borrowings and repurchase agreements by 37.2% in three months to $59.8 million.
Replacing wholesale debt that costs 3.90% with customer deposits that cost 2.04% directly lowers interest expense. What to watch: non-interest-bearing deposits next quarter, because keeping those balances above $280 million lets Peoples Bank avoid borrowing from the FHLB again.
🐻 Bear Case
Bond Losses Cut Tangible Book Value 13%
"The rapid increase in interest rates contributed positively to loan yields and margin, although it also resulted in higher unrealized losses in the bond portfolio," chief executive Benjamin Bochnowski said. When market interest rates rise, the market value of existing fixed-rate bonds falls.
Peoples Bank did not sell any bonds during the quarter, but its available-for-sale securities portfolio shrank by $30.3 million to $279.9 million due to an "increase in the negative fair value adjustment to securities". Those paper losses flow directly through stockholders' equity.
- Accumulated other comprehensive loss: $63.5 million, $22.0 million worse than last quarter
- Tangible book value per share (net worth excluding goodwill): $31.07, down 13.1% from June
- Tangible common equity to tangible assets: 6.76%, down from 7.68% last quarter
- Average yield on security investments: 2.33%, up 0.06 percentage points from last quarter
This matters because the bond portfolio earns just 2.33% while tying up nearly 14% of total assets. Until those bonds mature or market interest rates fall, the low-yielding securities drag on total asset returns and compress tangible capital ratios.
What to watch: accumulated other comprehensive loss in the fourth-quarter report. Another increase in unrealized bond losses would push tangible common equity below 6.5% of tangible assets before the merger closes.
Non-Performing Loans Rise as Coverage Thins
"Credit quality remained stable, as did our core banking business and customer base," Bochnowski said. Yet non-performing loans — loans where borrowers have stopped making scheduled payments — rose for a third straight quarter to $16.8 million, up 20.8% from a year ago by our math.
The bank recorded an "addition of a $1.1 million residential real estate loan coupled with eight smaller loans", which outnumbered $1.2 million of problem loan removals. Meanwhile, the allowance for credit losses (money set aside for bad loans) dipped to $17.5 million as net charge-offs reached $240 thousand.
Because bad loans rose while reserves shrank, the bank's reserve coverage of non-performing loans fell to 104.5%, down from 156.8% at the end of 2025. What to watch: fourth-quarter loan loss provisions, because a coverage ratio near 100% leaves little room to absorb another $1 million defaulting loan without charging earnings.

First Financial Merger Costs Cut Reported Profit
Bochnowski noted that results reflected the "pending merger with First Financial, announced earlier in the quarter", with proxy materials mailed around September 28. Pre-tax merger charges of $2.3 million — $1.8 million in employee compensation and $536 thousand in outside legal and advisory fees — lifted compensation by 10.1 percentage points of revenue and professional services by 3.2 points from a year ago by our math, cutting reported profit 61% to $1.4 million.
💲 Other KPIs
Total loans slipped 0.3% from last quarter to $1.50 billion, though balances remain up 1.7% from a year ago. Peoples Bank originated $69.7 million in new commercial loans during the quarter, down from $81.3 million in the second quarter, while multifamily apartment loans shrank 10.0% from a year ago.
Peoples Bank's Tier 1 leverage ratio — core regulatory capital divided by average assets — held steady at an estimated 9.29%, compared with 9.31% in June and 8.77% a year ago. Unlike tangible book value, regulatory capital excludes unrealized bond losses, keeping the bank above the 5.00% well-capitalized requirement.
Diluted weighted average common shares edged up 0.6% from a year ago to 4.33 million. The holding company did not repurchase shares while preparing for its stock-for-stock merger with First Financial and operating under its regulatory dividend agreement.
❓ Key Questions
When do management and First Financial expect the merger to close?
The companies mailed proxy statements to shareholders around September 28, 2026, but the release gives no target closing date or update on regulatory approvals from the Federal Reserve and Indiana regulators.
How much more in merger expenses will hit before closing?
Finward booked $2.3 million of merger-related compensation and professional fees in the third quarter. Investors need to know whether the $1.8 million compensation accrual completes pre-close retention and severance costs.
What drove the $1.1 million residential mortgage default?
A single $1.1 million residential real estate loan entered non-performing status this quarter, an unusually large balance for a local home loan in Northwest Indiana or Chicagoland.
Has the regulatory memorandum of understanding been lifted?
Prior reports noted an agreement with the FDIC and Indiana regulators requiring approval before paying cash dividends. The third-quarter release omits direct mention of this agreement.
