Fiserv (FISV) Q3 2026 earnings review

Fiserv banking sales recover, but merchant profits drop

Fiserv, a provider of payment systems for merchants and software for banks, stopped its sales decline as banking revenue grew again, but rising service costs squeezed profits. Sales from businesses owned a year ago held flat after falling in the first half, while a $6.5 billion goodwill write-down pushed reported results into a heavy loss. Chief executive Takis Georgakopoulos doubled the company's cost-savings target and kept the full-year outlook unchanged, which by our math requires underlying sales growth to jump to about 7% in the fourth quarter.

โš–๏ธ Verdict: โšช Neutral

The story is unchanged because a rebound in banking software offset deeper profit pressure in merchant payments, leaving the full-year burden on the fourth quarter. Financial Solutions grew 2% and asset sales funded a $500 million buyback plan, but Merchant Solutions operating margin dropped 8.5 percentage points and advance customer payments kept shrinking.

The question now is whether Fiserv can deliver the sharp fourth-quarter sales jump embedded in its unchanged full-year plan. Either delayed enterprise contracts are now going live against easier comparisons from last year, or shrinking advance payments signal another timing slip. Fourth-quarter revenue will settle it.

๐Ÿ‚ Bull Case

๐ŸŸข fading GROWTH

Banking Software Sales Grew Again

Financial Solutions, the division that sells account processing and digital payment software to banks, had shrunk for four straight quarters. Chief executive Takis Georgakopoulos said that "Net attrition in banking is down more than 25 percent year to date, major client wins are now ramping" as customers adopt its newer platforms.

Sales from businesses it owned a year ago in Financial Solutions rose 2% to $2.32 billion, reversing an 8% drop in the second quarter. This turnaround kept total underlying sales flat for the payment processor. One quarter of growth does not settle the customer loss concern, because operating margin in the banking unit still fell 4.4 percentage points to 38.1%.

What to watch: the quarterly filing's breakdown of Banking, Issuing and Digital Payments revenue. Growth in the core Banking line would show that client wins are offsetting account losses.

Asset Sales Fund a Buyback Restart

Fiserv has been selling smaller units to focus on its core payment and banking systems. In the third quarter, the company closed the sale of its student loan servicing business and formed the MoneyPass Group joint venture for its ATM network, keeping a minority stake.

Those deals brought in $364 million of cash over the first nine months and booked a $100 million gain this quarter. That cash helped management cut total debt by 10.4% from a year ago and plan $500 million of share buybacks in the fourth quarter, up from about $95 million in the third quarter by our math.

What to watch: fourth-quarter share repurchases and year-end debt levels. Completing the $500 million buyback while keeping debt near three times operating profit would show the balance sheet has stabilised.

Merchant Profit Margins Dropped 8.5 Percentage Points

Merchant Solutions runs payment processing for businesses, anchored by Clover, its point-of-sale terminal and software system for small shops, and Commerce Hub for larger enterprises. Georgakopoulos said "Clover continues to produce consistent underlying growth and our modern merchant platform is gaining momentum".

The division's numbers tell a weaker story. Underlying sales in Merchant Solutions fell 2% from a year ago to $2.53 billion, worse than the 1% drop in the first half. Operating profit in the unit fell 24.7% to $724 million, and its operating margin shrank by 8.5 percentage points to 28.7%.

Across the firm, the cost of processing and services jumped 5.0 percentage points of revenue to 33.2%, while selling and administrative overhead rose 3.1 percentage points to 36.6%. Heavy spending on technology reliability and higher service costs are eating into merchant profits faster than new software sales can replace them.

What to watch: Clover payment volume growth and Small Business revenue in the conference call remarks and quarterly filing. Weak Small Business sales alongside Clover growth would mean Clover is mostly converting existing Fiserv merchants rather than winning new ones.

Full-Year Plan Requires a Sharp Fourth-Quarter Jump

Finance chief Paul Todd kept the full-year outlook unchanged after cutting it three months ago. "Our second-half initiatives are on track to support the revenue acceleration we expect in the fourth quarter, and we are reaffirming our full-year guidance," Todd said.

  • First nine months underlying sales: down 3% from a year ago
  • Fourth-quarter underlying sales implied by the outlook: up about 6.7% by our math
  • Fourth-quarter revenue excluding one-offs implied by the outlook: up about 4.4% by our math
  • Contract liabilities (cash collected in advance for future service): $1,014 million, down 10.3% from a year ago

Hitting the middle of the full-year plan requires fourth-quarter underlying sales to jump nearly 7 percentage points from the third quarter's flat reading. Easier comparisons from last year's fee cuts help, but shrinking advance customer payments give no sign that new enterprise contracts are billing ahead of time.

What to watch: fourth-quarter underlying sales growth against the implied 6.7% rate. A shortfall would mark the third time in five quarters that delayed client launches forced a target miss.

๐Ÿ”ด strengthening CASH

Restructuring Costs Keep Draining Cash Flow

Fiserv separates its restructuring spending from the profit per share figure it highlights to investors. In the third quarter, the company booked a $6.45 billion non-cash goodwill write-down, $158 million for its One Fiserv technology overhaul, and $83 million in severance, pushing reported results to a loss of $11.17 per share.

Excluding those items, profit per share fell 14.2% to $1.75. Because cash restructuring and severance payments reached $450 million over the first nine months and capital spending rose, nine-month free cash flow dropped 29.2% to $2.04 billion. That equals 70.9% of profit excluding one-offs by our math, well below the full-year target of about 90%.

What to watch: fourth-quarter free cash flow, which must reach roughly $1.5 billion to hit the 90% full-year conversion goal. Falling short would show that overhaul expenses are absorbing more cash than planned.

Risks this quarter didn't answer

Several standing concerns cannot be checked from the earnings release alone and await the conference call or the quarterly filing.

  • Government investigations and lawsuits over 2025 targets: no update in the release; the quarterly filing's legal footnote will show any changes.
  • Clover payment volume growth: omitted from the release text; management normally gives the figure on the call and in presentation slides.
  • Small Business and Enterprise revenue lines: not broken out in the release; the quarterly filing's revenue footnote will show them.
  • Argentina interest and currency swings: no separate Argentina figures in the release; the filing will show whether inflation accounting hurt merchant margins.

Project Elevate Savings Target Doubled to $1 Billion

Fiserv raised the cost-savings target for Project Elevate, its operational efficiency programme under the One Fiserv plan, to $1 billion from $500 million "following a comprehensive portfolio review and identification of additional operational efficiencies". Because the company has spent $487 million on One Fiserv and $196 million on severance this year while margins still fell, the higher target remains a plan until unit costs come down.

โ‡˜ decelerating

The share count used to calculate profit per share excluding one-offs fell 1.5% from a year ago and was nearly unchanged from 533.7 million in the second quarter. Management paused large buybacks over the past year to pay down debt before planning $500 million of repurchases next quarter.

๐Ÿ”ฎ Guidance

FY26 Sales from businesses owned a year ago -1% to 0%
๐Ÿ † unchanged from -1% to 0%
โ‡— accelerating

Unchanged. The full-year plan still calls for underlying sales to be flat to down 1%. By our math, after a 3% decline in the first nine months, hitting the middle of that range requires fourth-quarter underlying sales to grow about 6.7% from a year ago, aided by easier comparisons against last year's Clover fee cuts.

FY26 Revenue excluding one-offs -1.5% to -0.5%
๐Ÿ † unchanged from -1.5% to -0.5%
โ‡— accelerating

Unchanged. The outlook for revenue excluding postage reimbursements holds at a 0.5% to 1.5% decline, including a 1-point drag from business sales and a 0.5-point lift from acquisitions. By our math, the middle of the range leaves about 4.4% growth for the fourth quarter, up from a 1.4% drop in the third quarter.

FY26 Profit per share, excluding one-offs $7.20โ€“$7.40
๐Ÿ † unchanged from $7.20โ€“$7.40

Unchanged. Management kept the target it lowered by $0.85 at the middle of the range last quarter, pointing to a 15.5% full-year drop at the midpoint. By our math, with $5.38 earned in the first nine months, the plan leaves $1.92 per share for the fourth quarter, down 3.5% from a year ago.

โ“ Key Questions

How fast did Clover payment volume grow in Q3?

The earnings release did not include Clover gross payment volume growth or Small Business revenue. Investors need both numbers to see whether Clover is still growing above 10% and whether it is adding new merchants or just converting old ones.

Why did Merchant Solutions margin fall 8.5 points?

Merchant Solutions operating margin dropped to 28.7% from 37.2% a year ago on only a 2% underlying sales decline. Management needs to break out how much of the cost jump came from technology reliability spending versus pricing pressure or product mix.

Where will the extra $500 million of savings come from?

Fiserv doubled its Project Elevate savings target to $1 billion, yet nine-month transformation and severance expenses already total $683 million. Investors need to know the timeline for these savings, the total cash cost to achieve them, and how much will reach the bottom line.

Have the delayed enterprise client launches gone live?

Last quarter management said delayed client implementations pushed 2 percentage points of second-half growth out by a quarter. With contract liabilities down 10.3% from a year ago, investors need proof that those contracts are now live to support the fourth-quarter jump.
