Ecolab (ECL) Q3 2026 earnings review

Ecolab's data center water sales jump, while deal debt weighs

Ecolab's operating businesses sped up across the board, while debt from its recent cooling acquisitions weighed on bottom-line profit. Sales from businesses owned a year ago rose 7% for the provider of water treatment and commercial cleaning supplies, as 5% higher prices covered raw material costs and volume growth doubled to 2%. Chief executive Christophe Beck kept the middle of the full-year profit outlook unchanged and said operating margin excluding one-offs will reach 20% in 2027.

At a glance
Sales from businesses owned a year ago+7% 5% price, 2% volume (vs +5% in Q2)
Reported revenue$4,695M +13% from a year ago
Profit per share, excluding one-offs$2.18 +5% from a year ago (in line with plan)
Full-year profit per share outlookNarrowed to $8.10โ€“8.20 middle of the range unchanged at $8.15 (+8%)

โš–๏ธ Verdict: ๐ŸŸข Bullish

The story got better because growth broadened beyond price increases into actual product volume and industrial recovery. Data center and chip water sales rose 63% on an underlying basis, and the lagging Paper and Heavy Water divisions both returned to growth. One caution: acquisition borrowing pushed net debt to 3.1 times operating cash profit, and financing costs will cut 12 percentage points from fourth-quarter profit growth.

The question now is whether the $4.75 billion CoolIT cooling purchase can earn enough to justify the debt and reach the 25% High-Tech margin target. Bulls see a combined water and liquid-cooling system for data centers that rivals cannot match, while skeptics see an expensive hardware business with undisclosed contract terms and heavy amortization. The standalone High-Tech figures at Ecolab's investor event on November 17 will provide the first test.

๐Ÿ‚ Bull Case

๐ŸŸข๐ŸŸข strengthening GROWTH

Data Center and Chip Water Sales Grew 63%

Ecolab's Global High-Tech unit provides ultrapure water for computer chip factories and liquid cooling for artificial intelligence data centers. Sales from businesses it owned a year ago in this unit rose 63%, more than doubling last quarter's 29% pace. Bears worry that a slowdown in data center building would hit this division and its $12.7 billion of company goodwill at the same time.

"Our recent acquisitions in this business, Ovivo Electronics and CoolIT, are also performing exceptionally well," chief executive Christophe Beck said. Including those two purchases, High-Tech sales in constant currency rose 293%. Beck expects Ovivo Electronics, the chip-water business bought in December, to grow in the mid-teens this year, and CoolIT, the data-center cooling maker bought in July, to more than double its pre-purchase sales.

This matters because the two deals will enter Ecolab's underlying sales calculation one year after they closed. Management expects them to add about 2 percentage points to the company's annual underlying growth rate at higher profit margins, lifting the whole group toward the top of its 5% to 7% target in 2027.

What to watch: standalone revenue and profit margins for High-Tech and CoolIT at Ecolab's investor event on November 17. Those figures will show whether data center cooling earns the 25% operating margin management targets by 2030.

๐ŸŸข๐ŸŸข strengthening MARGIN

Higher Prices Covered Rising Raw Material Costs

Ecolab raised its prices and energy surcharges by 5% from a year ago, stepping up from 4% in the second quarter and 3% in the first. That matched the 5% to 6% second-half pricing plan management set three months ago to fight higher chemical and raw material costs.

  • Reported gross margin: 44.1%, down 0.7 percentage points from a year ago because of the new acquisitions
  • Cost of making the products: 55.9% of sales, up 0.7 percentage points on reported numbers
  • Gross margin from businesses owned a year ago: 44.9%, up 0.1 percentage points
  • Selling and overhead costs: 25.1% of sales, down 0.8 percentage points on productivity gains
  • Operating margin from businesses owned a year ago: 19.6%, up 0.7 percentage points

Because the 5% price increase covered raw material inflation within the quarter, underlying gross margin held steady and productivity savings flowed directly into operating profit. Beck expects the company's operating margin, excluding one-offs, to reach 20% in 2027, up from 19.0% this quarter.

What to watch: fourth-quarter underlying operating margin against the 20% outlook. Hitting 20% next quarter would prove Ecolab can hold its energy surcharges without losing volume.

๐ŸŸข fading GROWTH

Volumes and Struggling Industrial Units Turned Up

A standing concern was that Ecolab's growth relied almost entirely on price increases while actual product volume stayed stuck near 1%. In the third quarter, total volume growth rose to 2%, even though conflict in the Middle East continued to disrupt customer operations and North American restaurant foot traffic fell by a mid-single-digit percentage.

Two industrial divisions that shrank in the first half also returned to growth. Underlying sales in Paper, which supplies water and chemical treatments to packaging and pulp mills, grew 6% after sitting flat in the second quarter. Heavy Water, which serves power plants and metal refiners, grew 4% after falling 1% last quarter.

One quarter of 2% volume argues against the volume concern, so the worry is fading, though it takes a second quarter to settle it. What to watch: fourth-quarter volume growth inside the 6% to 7% underlying sales outlook. Another 2% reading would confirm that new customer wins are outrunning weak restaurant and factory traffic.

๐ŸŸข strengthening PRODUCT

Drug-Making And Digital Software Accelerated

Global Life Sciences, which sells purification resins and cleaning chemicals to pharmaceutical and personal care factories, grew underlying sales 17% to $215.8 million. That improved from 15% growth in the second quarter and 11% in the first. Segment operating profit rose 49% to $50.2 million, helped by factory efficiencies and an easy comparison against plant maintenance a year ago.

At the same time, Ecolab Digital, which sells software and connected hardware subscriptions such as DishIQ and AquaIQ, grew sales 34% to $129 million, speeding up from 27% growth last quarter. In Pest Elimination, where Ecolab has installed more than 800,000 connected pest traps, underlying sales rose 8%.

What to watch: connected pest device counts at year-end against management's 1 million target. Reaching 1 million devices will test whether digital subscriptions can lift Pest Elimination's operating margin from 20.8% today to its 22% target.

๐Ÿป Bear Case

๐Ÿ”ด๐Ÿ”ด persistent CAPITAL ALLOCATION contradicts narrative

Deal Debt Doubly Hit Interest Costs and Profit

"Third quarter results marked an inflection point in Ecolab's performance," Beck said. Operating profit excluding one-offs rose 14% to $893.4 million, but the debt taken on to buy Ovivo Electronics and CoolIT kept most of that gain from reaching the bottom line.

  • Net interest expense: $124.8 million, up 126% from $55.3 million a year ago
  • Total debt: $13.19 billion, up from $8.07 billion a year ago
  • Net debt to EBITDA (profit before interest, taxes, depreciation and amortization): 3.1 times, up from 1.7 times a year ago
  • Profit per share, excluding one-offs: up 5% to $2.18, held back by 10 percentage points from CoolIT financing and intangible write-downs
  • Reported profit per share: down 5% to $1.95

The interest drag gets heavier before it gets lighter. Ecolab said CoolIT financing and intangible asset write-downs will cut 12 percentage points from profit-per-share growth in the fourth quarter, holding total growth to a range of 2% to 7%.

What to watch: net interest expense and net debt in the fourth quarter. Beck expects profit-per-share growth to return to 12% to 15% in the second half of 2027 once Ecolab passes the one-year mark of the acquisitions.

One-Off Charges Rose for a Third Straight Quarter

Ecolab excludes restructuring and deal costs from its headline profit figures. In the third quarter, these pre-tax special charges more than tripled to $82.9 million, up from $26.5 million a year ago, including $42.2 million for acquisition and integration work and $18.2 million for its One Ecolab reorganization.

Those costs cut 23 cents per share from reported profit after tax, widening the gap between reported profit per share of $1.95 and the $2.18 figure excluding one-offs. For the full year, Ecolab raised its forecast for quantifiable special charges to $0.83 per share, "principally related to restructuring charges and acquisition and integration costs." That is the third increase this year, up from $0.55 to $0.60 at the start of 2026.

What to watch: the 2027 special charges outlook in February. A fourth year of heavy One Ecolab restructuring charges would show these costs are a regular operating expense rather than a one-time project.

๐Ÿ”ด persistent DISCLOSURE

Risks this quarter didn't answer

Three standing concerns around segment profitability and acquisition accounting remained open or were deferred in the third-quarter release.

  • Life Sciences margin step-down: underlying operating margin was 23.3% (down from 26.5% in Q2), and Ecolab plans for it to drop back to the high teens in Q4 because of ongoing factory and innovation spending.
  • CoolIT purchase accounting and backlog: the balance sheet added $3.46 billion of goodwill and $1.41 billion of other intangibles since December, but the release gives no standalone CoolIT revenue, backlog, or customer concentration.
  • High-Tech and Digital segment reporting: neither growth engine is a reportable segment with its own profit and capital-spending table; Ecolab plans to share details at its November 17 investor event.

Trade Policy and Middle East Conflict

Ecolab said it faces a difficult global environment, citing "constantly evolving geopolitics and international trade policy, which are resulting in rising commodity costs and customer disruptions in the Middle East." Despite softer sales in the Middle East and a mid-single-digit drop in North American restaurant foot traffic, the water and hygiene group raised prices 5% and grew total volume 2% through new customer wins.

Diluted share count (26Q3) 282.1 million
โ‡˜ decelerating

Weighted-average diluted shares fell 1.2% from 285.4 million a year ago and edged down from 282.2 million in the second quarter. Treasury stock on the balance sheet rose by $670.3 million since December to $9,749.9 million after heavy share buybacks in the first half of the year.

๐Ÿ”ฎ Guidance

FY26 Profit per share, excluding one-offs $8.10โ€“8.20
๐Ÿ † unchanged from $8.05โ€“8.25
โ‡˜ decelerating

Unchanged at the middle. Ecolab narrowed the full-year range by 5 cents on each side, keeping the $8.15 middle (up 8.2% from $7.53 last year). The plan includes a 6 percentage point drag from CoolIT financing and intangible write-downs. The water and hygiene group has finished inside its quarterly profit-per-share range for five straight quarters.

Q4 Profit per share, excluding one-offs $2.13โ€“2.23
๐Ÿ † unchanged from $2.03โ€“2.33 (implied)
โ‡˜ decelerating

Unchanged at the middle. The fourth-quarter plan calls for 2% to 7% growth over last year's $2.08 (4.8% at the $2.18 middle), matching the middle implied by the full-year outlook three months ago. CoolIT financing and amortization will cut 12 percentage points from fourth-quarter profit growth, up from 10 points in Q3.

Q4 Reported sales growth 12โ€“14%
๐Ÿ † unchanged from 12โ€“14% (2H 2026)
โ‡’ stable

Unchanged. Management kept the fourth-quarter reported sales target at 12% to 14%, matching the second-half range it set in Q2 and the 12.7% growth delivered in Q3. By our math, combining the first nine months with the 13% fourth-quarter middle points to 11.4% reported sales growth for full-year 2026.

Q4 Sales growth from businesses owned a year ago 6โ€“7%
๐Ÿ † unchanged from 6โ€“7% (2H 2026)
โ‡’ stable

Unchanged. The fourth-quarter underlying sales plan stays at 6% to 7%, in line with the prior second-half outlook and the 6.6% rate delivered in Q3. By our math, that leaves full-year underlying sales growth at 5.4%. For 2027, Beck expects underlying sales to grow near the top of the company's 5% to 7% target.

Q4 Operating margin, excluding one-offs ~19% (~20% organic)
๐Ÿ † unchanged from ~19% (~20% organic) for 2H 2026
โ‡— accelerating

Unchanged. The firm expects fourth-quarter operating margin excluding one-offs to stay near 19% (matching 19.0% in Q3) and underlying operating margin to reach about 20% (up from 19.6% in Q3). For full-year 2027, Beck plans for the total operating margin excluding one-offs to reach 20%.

FY26 Quantifiable special charges per share ~$0.83
๐Ÿ … raised from $0.75โ€“0.80
โ‡— accelerating

Raised. Ecolab lifted its full-year forecast for special charges by 5.5 cents from the prior middle to $0.83 per share, with $0.26 planned for the fourth quarter. It is the third increase in three quarters: the forecast moved up by 5 cents in Q1, 15 cents in Q2, and 5.5 cents in Q3.

โ“ Key Questions

What are High-Tech and CoolIT's standalone sales and margins?

High-Tech grew 63% on an underlying basis and 293% with Ovivo and CoolIT, but it sits inside Global Water with no separate profit table. Investors need the standalone revenue, backlog, and margin figures promised for the November 17 event.

How much will CoolIT intangible write-downs cost in 2027?

CoolIT amortization cost $20 million in Q3 and will combine with interest to cut Q4 profit growth by 12 percentage points. Management has not said how much annual amortization the final purchase accounting will add against its 20% margin target for 2027.

Will customers keep paying the 5% price increase if energy drops?

Price increases accelerated to 5% in Q3 via global energy surcharges, providing five-sevenths of Ecolab's underlying sales growth. The release does not split out how much of that 5% is temporary surcharge versus permanent contract price.

Did Ecolab pause share buybacks in Q3 as debt doubled?

Net debt doubled from a year ago to $12.47 billion (3.1 times EBITDA), and diluted shares barely moved from Q2 (282.1 million vs 282.2 million). The release did not state how many shares Ecolab bought back in the third quarter.
