Emergent BioSolutions (EBS) Q3 2026 earnings review
Emergent BioSolutions cuts its 2026 outlook again, but debt falls
Emergent BioSolutions, the maker of Narcan overdose spray and biodefense vaccines, saw sales drop by half while working capital collections paid down debt. Revenue fell 52% from a year ago to $110 million, landing on the bottom of its own plan as both government vaccine deliveries and US Narcan sales shrank. Chief executive Joe Papa cut the full-year revenue and profit targets for a second straight quarter, which by our math implies an operating loss in the fourth quarter.
| Revenue | $110.0M -52% from a year ago |
|---|---|
| Gross margin, excluding one-offs | 28% 62% a year ago |
| Senior unsecured notes retired | $75M bought back for $68.1M in cash |
| Full-year revenue outlook | Cut $37.5M middle of the range: $622.5M |
⚖️ Verdict: 🔴 Bearish
The story got worse because biodefense orders slipped instead of offsetting the Narcan price war, and finance chief Rich Lindahl announced his year-end retirement. Cutting the full-year plan again shows that second-quarter government deliveries merely arrived early rather than lifting the year. On the positive side, collecting second-quarter bills and trimming inventory produced $100 million of third-quarter operating cash flow by our math, allowing Emergent to retire $75 million of its 2028 debt at a discount.
The question now is whether the $40 million cost-cutting plan can rebuild profit in 2027 or if shrinking Narcan prices and uneven government orders will eat the savings. One view is that commercial margins have stabilized near 32% while delayed vaccine orders shift into next year; the other is that earnings keep sliding without a floor. The initial 2027 outlook on the fourth-quarter report will settle it.
🐂 Bull Case
Receivables and Inventory Released $100M of Cash
Emergent BioSolutions makes medical countermeasures for biological threats and Narcan nasal spray for opioid overdoses. While the company posted a third-quarter net loss, it generated $100.1 million in operating cash flow by our math as it collected second-quarter government bills and drew down inventory. Finance chief Rich Lindahl used that cash to retire $75 million of unsecured notes due in 2028 for $68.1 million, booking a $6.7 million gain.
- Operating cash flow: $122.4 million in the first nine months, up from $92.9 million a year ago
- Accounts receivable: down to $77.5 million from $190.0 million in June
- Total gross debt: down 26% from a year ago to $514.3 million
- Cash and equivalents: $175.7 million, up from $139.7 million in June
Retiring the 2028 notes at a discount matters because Emergent's April 2026 term loan matures 91 days before August 2028 if more than $75 million of those notes stay unpaid. Even after the bond buyback, net debt to twelve-month profit rose to 2.4 times from 1.9 times a year ago because trailing earnings shrank faster than debt.
What to watch: the remaining principal on the 2028 senior unsecured notes in the third-quarter filing. Further discounted buybacks toward the $75 million threshold would reduce refinancing risk before 2028.
Restructuring Cut Underlying Overhead by 22%
In August 2026, chief executive Joe Papa launched a restructuring plan to save $40 million a year by 2027 by cutting about 90 jobs and closing two Maryland laboratories. Reported selling, general and administrative expense rose 20% from a year ago to $46.5 million, or 42.3% of revenue up from 16.8%. That rise came from $8.0 million of severance in the quarter and a one-off $10.5 million litigation insurance refund a year earlier.
Stripping out those two one-offs, underlying overhead fell 22.1% to $38.5 million by our math because marketing and administrative support costs dropped. Research and development spending also fell 30% to $9.4 million, or 8.5% of revenue down from 5.8%, as unfunded projects ended. Total restructuring charges across all lines reached $9.3 million, keeping the company inside its $10 million to $11.5 million full-year cost estimate.
What to watch: fourth-quarter selling, general and administrative spending against the full-year assumption of 28% to 30% of revenue. Holding dollar costs down will show whether the August job cuts offset shrinking sales.
🐻 Bear Case
Second Outlook Cut Pushes Q4 Profit Below Zero
Papa said third-quarter revenue of $110.0 million was "inline with our guidance" as the company executes its turnaround. However, $110.0 million landed on the exact bottom of the $110 million to $130 million range, ending a streak of four beats in five quarters. At the same time, Emergent cut its full-year revenue forecast by another $37.5 million at the middle of the range, to $600 million to $645 million.
The company blamed the second cut in two quarters on "expected timing of USG and International sales" in its biodefense division. Because Emergent already earned $127.5 million of EBITDA excluding one-offs in the first nine months, the lowered full-year plan of $110 million to $140 million implies a fourth-quarter loss of $2.5 million at the middle of the range by our math, alongside fourth-quarter sales down 17.9% from a year ago.
What to watch: fourth-quarter revenue against the $99.6 million to $144.6 million range implied by the full-year outlook. A finish near the bottom would mean government orders slipped out of 2026 altogether.
Biodefense Sales Dropped 58% and Erased Margin
Medical countermeasures (MCM) — vaccines and treatments for anthrax, smallpox and botulism sold to governments — is Emergent's main profit engine, but its revenue depends on when agencies exercise contract options. After early deliveries lifted second-quarter sales, third-quarter MCM revenue fell 58% from a year ago to $59.4 million. Smallpox product sales dropped 68% to $26.7 million and botulism antitoxin sales fell 87% to $7.6 million, outstripping a $23.7 million rise in Cyfendus anthrax vaccine.
Because the factories carry fixed costs and saw higher plant shutdown expenses, MCM cost of sales rose 5% to $40.1 million even as revenue fell by more than half. That pushed segment gross margin excluding one-offs down 35 percentage points to 39% as lower volume "decreased the absorption of fixed manufacturing costs". International MCM sales added $14.5 million in the quarter by our math, reaching $72 million year to date, well below last year's first-half pace of $102.4 million.
What to watch: full-year international MCM sales and disclosed contract backlog in the upcoming quarterly filing. If international orders do not rebound, biodefense remains tied to uneven US government budgets.
Narcan Sales Fell 42% on US Price Pressure
Commercial Products sells Narcan and Kloxxado nasal sprays to reverse opioid overdoses. Third-quarter sales fell 42% from a year ago to $43.5 million, "mostly driven by an unfavorable price-volume mix in U.S. public interest channels" after generic and prescription rivals entered the market. Higher sales of branded Narcan in Canada, where the government awarded a multiyear standing offer that "creates a multiyear pathway for NARCAN® Nasal Spray", only partly offset the US drop.
Segment gross margin fell 5 percentage points from a year ago to 26%, cushioned only by "reduced amortization expense as a result of the impairment charge taken on the NARCAN ® asset group during the second quarter of 2026". Excluding amortization, segment gross margin was 32%, down from 43% a year ago and 1 percentage point above the second quarter. Management kept its full-year commercial outlook at a 20% to 25% drop, which by our math implies fourth-quarter sales of $36.4 million at the middle of the range.
What to watch: fourth-quarter Commercial Products revenue and segment gross margin excluding one-offs. Holding near $36 million and a 32% margin in the first full quarter against the August 10-milligram rival would show US pricing has found a floor.
Finance Chief Retires Without a 2027 Plan
Emergent announced that finance chief Rich Lindahl will retire on December 31, 2026 and stay as a part-time advisor through March 2027. Vice president and treasurer Frank Vargo will become interim finance chief on January 1, 2027. The handover arrives just as the company cuts its 2026 revenue and profit targets for a second straight quarter.
Despite preparing the business for 2027 through the August restructuring, management still has not provided any 2027 revenue or earnings targets. With commercial sales down 26% year to date and biodefense orders lumpier than planned, an interim finance chief will take over before investors know the post-reset earnings base.
What to watch: the initial 2027 full-year outlook and permanent finance chief search update on the fourth-quarter report in early 2027. A 2027 EBITDA target below $150 million would show the $40 million cost cuts merely offset lost sales.

Early AI Biosecurity and Pan-Ebola Efforts
Emergent announced a commitment to "collaboration against biological threats in an evolving global security environment" and said it is talking with more than five artificial intelligence companies about biological threat intelligence and drug discovery. The presentation also listed a preclinical pan-Ebola antibody treatment and a preclinical pandemic flu vaccine with AbVacc. None of these early-stage initiatives carry disclosed contract funding or affect the 2026 financial outlook.
💲 Other KPIs
Inventories fell 18.2% from $343.4 million at the end of 2025, and dropped $22.7 million from June. Drawing down stock built in prior periods generated $62.6 million of operating cash flow in the first nine months, compared with a $44.5 million cash drain a year earlier.
Diluted shares fell 9.2% from 56.5 million a year ago and 0.6% from 51.6 million in the second quarter. The drugmaker bought back 2.0 million shares for $18.1 million in the first nine months, and the third-quarter net loss excluded dilutive stock awards from the share count.
Net debt divided by trailing twelve-month EBITDA excluding one-offs rose to 2.4 times from 1.9 times in both June 2026 and September 2025. Although net debt dropped 24.4% from a year ago to $338.6 million, trailing twelve-month EBITDA fell 37.5% to $143.9 million.
🔮 Guidance
Cut. Management lowered the middle of the full-year revenue plan by $37.5 million, pointing to a 16.2% drop from 2025. By our math, that leaves $122.1 million for the fourth quarter at the middle of the range, down 17.9% from a year ago. This is the second cut in two quarters after an $80 million reduction in August.
Cut. The bottom of the loss range widened by $10 million, putting the middle at a $240 million loss, mostly due to the second-quarter $191 million Narcan write-down. With a $206.1 million net loss through September, the outlook implies a fourth-quarter net loss of $33.9 million at the middle of the range by our math.
Cut. The middle of the range fell by $15 million to $5 million, down 94.2% from $86.8 million in 2025. Because the company earned $24.1 million in the first nine months, the full-year plan implies a fourth-quarter loss excluding one-offs of $19.1 million at the middle of the range by our math.
Cut. The company reduced the middle of the range by $15 million to $125 million, down 39.0% from 2025. After raising the target by $20 million in the first quarter, management cut it by $25 million in August and $15 million now. By our math, the outlook implies a $2.5 million EBITDA loss in the fourth quarter.
Raised. Management lifted the full-year margin forecast by 3 percentage points back to its original 45% to 47% range. Because gross margin excluding one-offs ran at 49% through the first nine months, the raised full-year target still implies a fourth-quarter margin of about 31.5% at the middle of the range by our math.
❓ Key Questions
Why did government orders slip out of 2026?
Management cut the full-year revenue forecast by $37.5 million due to the timing of US and international biodefense sales. Investors need to know which specific product deliveries moved into 2027 and whether those orders are already signed.
What is the current contracted biodefense backlog?
In the second quarter, unsatisfied contract obligations stood at $268.7 million, covering less than a fifth of annual sales. The third-quarter release did not include the updated figure, which will show whether new awards replenished the pipeline.
Did Narcan hold its 50% US market share?
Last quarter management estimated Narcan held over 50% of the market before a 10-milligram prescription rival launched in August. The third-quarter release did not state a market share number while commercial sales dropped 42%.
How much of the 2028 bond issue remains outstanding?
Emergent retired $75 million of its senior unsecured notes in the quarter. The April 2026 term loan matures early if more than $75 million of the 2028 notes remain unpaid 91 days before maturity.
