DoorDash (DASH) Q3 2026 earnings review

DoorDash profit nearly doubles, but Instacart buyout brings new debt

DoorDash accelerated its core US restaurant business and nearly doubled net profit, while agreeing to buy grocery rival Instacart. Sales from businesses owned a year ago rose 23%, and net income reached $466 million as legal reserves dropped. However, the fourth-quarter plan has order value growth slowing to 21% by our math as last year's Deliveroo purchase enters the comparison.

At a glance
Revenue excluding Deliveroo$4,251M +23% from a year ago (total revenue +34%)
Order value (Marketplace GOV) excluding Deliveroo+23% from a year ago (total GOV $33.9B, +36%)
GAAP net income$466M +91% from a year ago
Q4 Marketplace GOV outlook$35.4–36.4B middle of the range: 21% growth

⚖️ Verdict: ⚪ Neutral

The story is unchanged because strong restaurant execution is balanced by the cost and long wait of the $17 billion Instacart deal. Paying at least 75% in cash requires new debt, and DoorDash plans to spend more than all first-year savings on warehouses after the deal closes in late 2027 or early 2028. Meanwhile, the company gave no update on its pledge to make its own grocery unit profitable this half.

The question now is whether DoorDash is buying Instacart from a position of strength or to fix grocery unit economics that could not stand alone. Either standalone grocery turns gross-profit positive this year as promised, or warehouse costs and deal reinvestment push grocery profits years into the future. Fourth-quarter grocery disclosures and antitrust reviews will decide.

🟢🟢 strengthening GROWTH

US Restaurant and International Demand Accelerated

DoorDash runs food and retail delivery marketplaces in the US and over 40 other countries. It bought European rival Deliveroo in October 2025, so headline revenue growth of 34% includes that acquisition. Sales from businesses it owned a year ago still grew 23%, and total order value on the same basis rose 23% as well.

  • US restaurant order value: grew faster from last quarter "than in any third quarter since Q3 2020"
  • Deliveroo total orders: grew at "twice the Y/Y rate it did in Q3 2025 (pre-acquisition)"
  • US restaurant reservations: up more than 340% from last quarter in existing cities, with over 10% from customers new to DoorDash
  • DashPass, its US membership plan: reduced transaction fees per restaurant order by 9% over two years

This matters because the core US restaurant business is still speeding up despite its large size, while DoorDash's playbook of lowering fees and improving service is lifting order growth at Deliveroo. International profit contributions "exceeded our expectations entering the quarter", the company said, even though Deliveroo's dollar revenue of $365 million was up only 6.7% from its pre-acquisition level a year ago by our math because of fee reinvestments.

What to watch: total revenue growth in the fourth quarter, when Deliveroo enters the year-ago comparison. A reading above 20% would show that international order momentum is translating into dollar revenue.

🟢 strengthening MARGIN

Lower Overhead and Legal Costs Nearly Doubled Profit

Last quarter, higher legal reserves for courier pay audits and software write-downs from the Deliveroo purchase pushed net income down 30% even as revenue surged. In the third quarter, net income rose 91% from a year ago to $466 million, and operating margin expanded by 2.1 percentage points to 9.6% of revenue.

Two expense lines drove the rebound. General and administrative overhead fell by 2.4 percentage points of revenue to 9.2%, because legal, tax and regulatory charges dropped to $16 million from $98 million last quarter and $48 million a year ago. Cost of revenue — the direct cost of payment processing and courier insurance — fell by 1.9 percentage points of revenue to 47.0%, which offset a 1.9-point rise in depreciation and amortization.

What to watch: legal, tax and regulatory charges in the fourth-quarter reconciliation table. Another reading below $30 million would indicate that courier classification audits are stabilizing rather than draining cash profit every quarter.

🔴🔴 new CAPITAL ALLOCATION contradicts narrative

$17 Billion Instacart Deal Brings Debt and Warehouse Costs

DoorDash agreed to buy grocery delivery rival Instacart for $65 per share, or "an equity value of approximately $17 billion", "payable in at least 75% cash and up to 25% DoorDash common stock". The delivery group will fund the cash portion — at least $12.75 billion by our math — using cash on hand and a bridge loan from JPMorgan Chase.

The company previously said its own US grocery and retail business would turn gross-profit positive in the second half of 2026. The release gives no update on that goal. Instead, DoorDash wrote that "Consumers are still asked to pay a premium for imperfect delivery" and said "managing the inventory ourselves for third-party grocers is important" because warehouses cut delivery times by 10 minutes and reach 99% accuracy.

Buying Instacart shifts DoorDash from an asset-light app toward a fixed-cost warehouse operator carrying substantial new debt. Management targets $500 million in annual cost savings over several years, but it plans to "invest more than 100% of total synergies in the first year after close". Because the deal will not close until "the end of 2027 or the first half of 2028", DoorDash faces up to 18 months of antitrust review before that spending even begins.

What to watch: whether management confirms in the fourth-quarter report that standalone US grocery and retail reached positive gross profit in the second half of 2026. Silence or a delay would show DoorDash needed Instacart's scale because its own grocery unit could not make money alone.

Q4 Plan Confirms Growth Step-Down and Margin Dip

DoorDash closed the Deliveroo purchase on October 2, 2025, so the fourth quarter of 2026 is the first period where year-over-year comparisons include Deliveroo on both sides. The company plans to stop reporting numbers excluding Deliveroo next quarter.

For the fourth quarter, the company forecasts Marketplace GOV — the total dollar value of customer orders — of $35.4 billion to $36.4 billion. At the middle of the range, growth steps down to 21.0% from a year ago by our math, compared with 35.7% headline growth and 23.0% underlying growth in the third quarter. The outlook for Adjusted EBITDA (operating profit before stock pay, depreciation and one-offs) is $900 million to $1.1 billion, which drops 5.7% from the third quarter at the middle of the range.

Management said the outlook anticipates ongoing spending on new categories, international markets, and its unified global technology platform. That platform integration is not due to finish until the first half of 2027, so duplicate engineering costs continue to weigh on fourth-quarter margins.

What to watch: fourth-quarter Marketplace GOV against the $36.4 billion top of the range. Beating the middle of the range by only 1%, its recent average, would confirm that underlying order value growth has slowed toward 22%.

External AI Agents Can Now Order Outside the App

Investors have questioned whether artificial intelligence chat assistants will sit between customers and delivery apps, taking away high-margin advertising revenue. DoorDash argued in the release that its strategy rests on "winning the battle for atoms" — building physical warehouses, autonomous robots like Dot, and courier networks — rather than competing to be the main digital assistant.

At the same time, DoorDash launched tools that let customers order without opening its main app. It released Ask DoorDash for basket building, Text DoorDash for ordering via text message, and a Model Context Protocol that "interfaces with external AI agents, including those used at companies for easier corporate ordering".

Opening the network to outside AI agents can bring in corporate orders, but it also tests the risk that customers stop browsing the DoorDash app where merchants pay for ads. Meanwhile, the company gave no numbers on its Dot delivery robot ahead of its fourth-quarter target to handle a high single-digit share of orders in its largest test market.

What to watch: fourth-quarter disclosures on Dot's share of orders in its main test market and any commentary on Net Revenue Margin (revenue as a share of order value). A drop in that margin alongside rising agent orders would show outside interfaces weaken ad monetization.

Consumer Spending Holds Steady While Foreign Risks Rise

DoorDash said steady US growth over the past four years points to healthy consumer demand, and its fourth-quarter plan assumes consumer spending and currency rates stay near current levels. However, management warned that growing international operations — which expanded with Deliveroo and will grow further with Instacart's operations in Canada — increase its exposure to foreign currency swings and geopolitical disruptions that could push results below the plan.

❓ Key Questions

Did standalone US grocery reach positive gross profit?

Management previously committed to turning US grocery and retail unit economics positive in the second half of 2026. The release omitted this milestone while announcing the $17 billion Instacart acquisition and arguing that grocery fulfillment needs warehouse inventory.

How much debt and interest will the Instacart deal add?

The minimum 75% cash price requires at least $12.75 billion in cash, compared with $6.0 billion in cash and short-term investments on the balance sheet. Investors need the size of the JPMorgan bridge loan draw and expected annual interest cost.

Why did Deliveroo dollar revenue grow only 7%?

DoorDash said Deliveroo order growth doubled compared with pre-acquisition Q3 2025, but Deliveroo revenue of $365 million was up just 6.7% from $342 million a year ago by our math, and down from $383 million in Q2.

Is the Dot robot on track for its Q4 target?

Management previously set a goal for the Dot autonomous robot to deliver a high single-digit percentage of orders in its largest test market by the end of 2026, but the third-quarter release gave no progress numbers.
