Crexendo (CXDO) Q3 2026 earnings review
Crexendo's acquisition lifts total sales, but software growth nearly stops
Crexendo, a provider of cloud business phone services and telecom software, grew fast through its March acquisition while its original software business almost stood still. Total revenue jumped 44% to $25.2 million because the March purchase of Estech Systems lifted service sales by 75%. However, software revenue edged up 2%, and by our math sales from businesses owned a year ago rose about 4%. Chief executive Jeff Korn pointed to 16 new software customer wins so far this year, already beating last year's total of 14.
| Sales from businesses owned a year ago | ~+4% by our math, assuming Estech held Q2's $7.0M pace |
|---|---|
| Total revenue | $25.2M +44% from a year ago (includes Estech) |
| Software solutions revenue | $7.7M +2% from a year ago (vs +5% in Q2) |
| Profit per share, excluding one-offs | $0.12 +20% from a year ago (GAAP EPS fell to $0.03) |
โ๏ธ Verdict: ๐ด Bearish
The story got worse because core software growth slowed for a fourth straight quarter and puts the company's full-year underlying growth target out of reach without a fourth-quarter jump. Higher marketing costs and non-cash acquisition write-offs also cut GAAP net income by 23%. The bright spot: the Estech deal is generating cash, lifting third-quarter free cash flow to $4.9 million by our math and rebuilding cash to $22.8 million.
The question now is whether the 16 new software customers and one million added end users will soon turn into larger follow-on software orders, or whether the shift to smaller monthly contracts has permanently slowed the software division. The remaining performance obligations table in the upcoming quarterly filing will show which side is right.
๐ Bull Case
New Platform Wins Beat Last Year's Total
Crexendo licenses its NetSapiens cloud phone software to other telecom providers. Chief executive Jeff Korn said that "Q3 saw us secure an additional 5 new licensees to bring our YTD total to 16 compared to 14 for all of 2025." Those wins pushed the network past 250 software subscribers, up from 240 in June, and total end users past eight million, up from seven million.
These wins matter because new telecom partners start with small contracts and buy more software licenses later "as providers migrate subscribers to NetSapiens, grow their businesses and purchase additional capacity," Korn said. Adding a million end users in three months shows that existing partners are moving callers onto Crexendo's platform even while initial contract sizes stay small.
What to watch: remaining performance obligations (contracted future revenue) for the software division in the quarterly filing. A rise above June's $28.0 million would show these 16 new partners are signing larger follow-on orders.
Estech Deal Lifts Cash Flow and Service Sales
Crexendo bought Estech Systems (ESI), a rival cloud phone provider, in March 2026 for $26.2 million in cash and $7.4 million in stock. While buying growth carries integration risk for a small management team, Korn said the "integration of ESI has gone seamlessly" and the company is "actively evaluating additional opportunities to accelerate growth."
- Service revenue (direct cloud phone subscriptions): $15.1 million, up 75% from a year ago
- Third-quarter free cash flow: $4.9 million by our math, or 19.4% of revenue
- Cash balance: $22.8 million, up $4.6 million from June and $15.6 million from March
Strong cash generation reduces the risk of the acquisition strategy because Crexendo is rebuilding its cash pile without issuing more debt. By our math, third-quarter revenue of $25.2 million puts the business past its $100 million annual run-rate goal one quarter early.
What to watch: standalone revenue for Estech Systems in the quarterly filing's footnotes. Holding above last quarter's $7.0 million would confirm the acquired customer base is not shrinking during integration.
Positives this quarter didn't test
Two growth drivers from earlier quarters received positive mentions in the release without updated dollar figures.
- CAIRO (Crexendo's AI receptionist software) and the partner app store: Korn cited "continued progress with CAIRO" and an "expanding AI ecosystem"; a disclosure of customer counts or quarterly revenue above Q2's $400,000 on the call would test whether AI is adding to sales.
- Telecom agent channel bookings: sales through master telecom agents grew 39% last quarter; the Q3 growth rate on the conference call will show if agent demand held up.
๐ป Bear Case
Software Growth Slowed to 2% Despite Customer Wins
Crexendo's software solutions division, which licenses the NetSapiens platform to other phone companies, is the company's highest-margin business. Korn said he was excited that "we have already won more new platform logos than we secured in all of last year" and that these wins build a foundation for future growth.
The division's revenue tells a slower story. Software sales rose 2.3% from a year ago to $7.7 million, slowing for a fourth straight quarter from 28% growth a year ago, 12% in the first quarter, and 5% in the second. Because last year's third quarter was a high bar, the shift from upfront perpetual licenses to smaller monthly subscriptions is holding total software revenue nearly still.
What to watch: the split between upfront license sales and recurring subscription support in the quarterly filing. If recurring software revenue slows from last quarter's 21% pace, new customer wins are not yet replacing upfront license sales.
Underlying Growth Trails the Double-Digit Full-Year Plan
Headline revenue rose 44% from a year ago to $25.2 million, but most of that gain came from buying Estech Systems in March. On last quarter's call, finance chief Ron Vincent maintained a full-year outlook for double-digit growth from businesses Crexendo owned a year ago, which required at least $38.7 million of underlying revenue across the second half by our math.
Total revenue rose $0.5 million from the second quarter, when both periods included a full three months of Estech Systems. If Estech held its second-quarter pace of $7.0 million, Crexendo's underlying revenue was about $18.2 million by our math โ up about 4% from a year ago, and more than $1 million below the quarterly pace needed for the full-year target.
What to watch: exact revenue from Estech Systems in the quarterly filing's acquisition table. Unless Estech's sales shrank โ which would contradict Korn's claim of a smooth integration โ fourth-quarter underlying sales must jump past $20.5 million to reach 10% for the year.
Sales Costs and Deal Charges Cut Operating Profit
Crexendo's gross margin (revenue left after the direct cost of providing phone service, software, and hardware) improved by 3.0 percentage points from a year ago to 65.9%, helped by shutting down duplicate data centers earlier this year. Despite that improvement, operating profit fell 17% to $1.1 million, and operating margin dropped 3.2 percentage points to 4.3%.
- Selling and marketing expense: 33.2% of revenue ($8.4 million), up 7.4 percentage points from 25.8% a year ago
- Intangible amortization (non-cash write-offs of acquired customer lists): $1.8 million, up 134% from $0.8 million
- Adjusted EBITDA (operating cash profit before deal write-offs and stock pay): 15.9% of revenue, below the ~17% level management aimed to keep
Korn noted that EBITDA "does not include intangible costs associated with our recent acquisition," which is why GAAP net income fell 23% to $1.1 million while profit excluding one-offs rose 32% to $4.0 million.
What to watch: selling and marketing expense as a share of revenue in the fourth quarter. A drop back below 30% would show that overlapping expenses from the Estech deal are coming out as payroll integration finishes at year-end.
Risks this quarter didn't answer
Three standing risks depend on disclosures in the quarterly filing or conference call that were not in the earnings release.
- Software net dollar retention (how much existing software partners spend compared with a year ago): slipped to 99% in Q2 from 101%; the 10-Q table will show if existing customer spending recovered.
- Industry price competition: rivals Alianza and Cisco have competed for telecom licensees; management's call remarks will update whether price discounting eased.
- Patent lawsuit and bad-debt reserves: the ReadyComm patent suit had no financial reserve in Q2, and bad-debt allowances stayed low at $120,000 on $6.0 million of receivables; the 10-Q footnotes will show any legal update.

NetSapiens Flow Previewed Ahead of Launch
Korn highlighted an enthusiastic customer response to the "preview of our new platform software release, NetSapiens Flow, at our largest-ever User Group Meeting last week." The software update overhauls the user interface for telecom partners and aligns with the major platform upgrade management previously scheduled for the second quarter of 2027, so it does not affect revenue yet.
๐ฒ Other KPIs
Total contract liabilities โ cash customers have paid upfront for phone and software services not yet delivered โ rose 18.9% from a year ago to $5.23 million ($3.97 million current and $1.26 million long-term). That is up slightly from $5.19 million in June after jumping in March when Crexendo added Estech Systems' customer contracts.
Crexendo's diluted share count rose 7.6% from a year ago, while basic shares increased 9.5% to 33.28 million. The increase came from issuing 1.16 million shares to help pay for Estech Systems in March and employees exercising $4.0 million of stock options over the first nine months, with no share buybacks to offset them.
๐ฎ Guidance
Unchanged. The press release did not include a formal numerical outlook table, but chief executive Jeff Korn reiterated confidence in the long-term product roadmap around the CAIRO AI software and the new NetSapiens Flow release. Earlier filings stated that AI offerings should make a meaningful revenue contribution in 2027.
โ Key Questions
What was Estech Systems' exact revenue in the third quarter?
Total revenue rose only $536,000 from the second quarter. Without the exact Estech Systems figure from the quarterly filing, investors cannot see whether underlying growth stayed below 5% or whether the acquired business shrank.
Is management still standing by double-digit underlying growth for 2026?
Hitting 10% underlying growth for the full year required at least $38.7 million of non-Estech revenue in the second half. After a third quarter near $18.2 million by our math, the fourth quarter would need a steep jump.
Did software contracted backlog and retention improve in the 10-Q?
Crexendo won 16 new software licensees in nine months, yet software revenue grew only 2.3%. The quarterly filing's remaining performance obligations and net dollar retention figures will show if those wins are building future revenue.
Why did selling and marketing expenses jump to $8.4 million?
Selling and marketing rose $404,000 from the second quarter and climbed to 33.2% of revenue, pulling the Adjusted EBITDA margin down to 15.9%. Management needs to clarify if this reflects agent commissions or ongoing Estech overhead.
