Cencora (COR) Q4 2026 earnings review
Cencora unveils fast specialty profit growth, but wholesale distribution slows
Cencora, the global pharmaceutical distributor, finished fiscal 2026 with fast profit growth, while its fiscal 2027 plan points to a slower year. Fourth-quarter sales rose 6% to $88 billion, and profit per share excluding one-offs climbed 21% to $4.66, above what the company's own full-year plan pointed to by our math. Chief executive Robert P. Mauch also split the business into two new core segments and agreed to buy cancer clinic network American Oncology Network.
| Q4 Revenue | $88.4B +5.5% from a year ago |
|---|---|
| Q4 Profit per share, excluding one-offs | $4.66 +21.4% from a year ago |
| FY26 Free cash flow, excluding one-offs | $3.81B ~$3.0B planned |
| FY27 Profit per share outlook | $19.40โ19.75 8% to 10% growth |
โ๏ธ Verdict: ๐ข Bullish
The story got better because the new segment numbers finally show the size and profit margin of Cencora's specialty and clinic division, which earned $1.7 billion on $45 billion of sales and is set to grow profit 18% to 21% next year. One caution: selling non-core units and a 2% to 4% profit outlook in wholesale distribution pull total operating profit growth down to 4% to 6% in fiscal 2027.
The question now is how much of the specialty division's profit growth comes from existing clinics versus buying new ones like OneOncology and American Oncology Network. If existing clinics and specialty distribution drive the gain, the higher margin will hold; if acquisitions do the work, rising debt and physician equity costs will eat into GAAP profit. The historical segment tables in the Form 8-K and second-quarter results after OneOncology laps will tell.
๐ Bull Case
New Segment Breakouts Reveal the Specialty Profit Engine
Cencora distributes medicines to pharmacies and hospitals, and it also runs management services organizations (MSOs), which provide business support to doctor clinics. Chief executive Robert P. Mauch said "our new operating model is designed to strengthen our execution and provide visibility to our progress". Starting in fiscal 2027, the drug distributor splits its core operations into two new segments: standard wholesale distribution and a separate specialty and provider services division.
- Specialty Pharmaceutical and Provider Services fiscal 2026 baseline: $45.4 billion in revenue and $1.7 billion in operating income
- Specialty fiscal 2027 operating income outlook: 18% to 21% growth, with a mid-teens long-term target
- Pharmaceutical Distribution and Services fiscal 2026 baseline: $284.5 billion in revenue and $2.7 billion in operating income
- New clinic deal: signed an agreement to buy American Oncology Network, "a physician-led network of more than 350 oncology providers across 21 states"
The reorganisation matters because investors can now see the size and profit rate of the specialty division, which includes the clinic management businesses, Canadian specialty services, and global logistics unit World Courier. That division brings in 13% of total sales but generates 35% of operating income, and its fast growth will carry the whole company next year.
What to watch: first-quarter fiscal 2027 segment results and the historical recast tables in the Form 8-K filing. Those numbers will show how much of the specialty division's 18% to 21% profit growth comes from existing clinics versus recent acquisitions.
Clinic Acquisitions Lifted the Gross Margin
Mauch said Cencora "expanded our MSO platform through the acquisition of OneOncology, sharpened the focus of our portfolio and delivered record results". Adding OneOncology, a network of cancer clinics bought in February 2026, alongside eye-care network Retina Consultants of America (RCA), shifted the U.S. business toward higher-margin clinic services. That shift helped fourth-quarter profit per share excluding one-offs reach $4.66, up 21.4% from a year ago and above what the full-year outlook implied by our math.
In the fourth quarter, gross margin excluding one-offs rose 0.57 percentage points from a year ago to 4.04%, even though rising sales of GLP-1 weight-loss and diabetes drugs carried lower margins. Bringing OneOncology onto the books also pushed distribution, selling, and administrative costs (warehouse, sales, and office overhead) up 0.37 percentage points to 2.46% of revenue. Because the gross margin gain was larger than the overhead increase, operating margin excluding one-offs rose 0.19 percentage points to 1.41%.
What to watch: gross margin excluding one-offs in the second quarter of fiscal 2027, once Cencora passes the February anniversary of buying OneOncology. Holding the 4% level after the acquisition laps would prove the margin gain is durable.
Non-Core Exits Advance and Cash Flow Beats
Cencora has been reviewing strategic options for four non-core businesses grouped in its Other segment: MWI Animal Health, Brazilian distributor Profarma, U.S. Consulting Services, and parts of PharmaLex. After selling the U.S. consulting unit in April 2026, the company signed a definitive agreement to sell its stake in Profarma, which it expects to close in the first quarter of fiscal 2027, and its plan assumes the MWI merger with Covetrus closes on March 31, 2027.
At the same time, full-year free cash flow excluding legal settlements reached $3.81 billion, beating the $3.0 billion plan by $808 million thanks to fourth-quarter supplier payables. Strong cash generation allowed the healthcare group to spend $1.0 billion on share buybacks in fiscal 2026 and raise its quarterly dividend by 10% to $0.66 per share.
What to watch: regulatory clearance for the MWI Animal Health and Covetrus merger by the assumed March 31, 2027 closing date. Closing on time removes a non-core unit and locks in the final piece of the portfolio cleanup.
๐ป Bear Case
Operating Profit Growth Slows in the New Plan
Mauch said the company's fiscal 2026 actions "position us to move forward with significant momentum", and Cencora reaffirmed its long-term target of 7% to 10% annual growth in operating income excluding one-offs. However, the new fiscal 2027 outlook calls for operating income excluding one-offs to grow only 4% to 6%, down from 14.0% growth in fiscal 2026 and below the long-term target range.
- Total operating income excluding one-offs: 4% to 6% growth planned for fiscal 2027, versus 14.0% in fiscal 2026
- Other segment operating income: planned to drop to about $200 million from $393 million, a 49% fall by our math
- Pharmaceutical Distribution and Services operating income: 2% to 4% growth planned, below its mid-single-digit long-term target
- Free cash flow excluding one-offs: planned at about $3.5 billion, down 8% from $3.81 billion by our math
Two things cause the slowdown: selling Profarma and merging MWI Animal Health mid-year removes nearly $200 million of operating profit from the Other bucket, and the core wholesale distribution division is set to grow profit only 2% to 4%. As a result, Cencora needs share buybacks and a full year of OneOncology to lift profit per share growth to 8% to 10%.
What to watch: Pharmaceutical Distribution and Services operating income in the first half of fiscal 2027. If core wholesale profit growth stays stuck near 2% to 4%, Cencora will struggle to return to its 7% to 10% total operating profit target without buying more companies.
Acquisition Costs and Debt Rise With Clinic Deals
Cencora's expansion into doctor clinics through RCA, OneOncology, and now American Oncology Network is driving its adjusted profit growth, but it carries rising costs outside the adjusted numbers. In the fourth quarter, acquisition and divestiture deal and integration expenses reached $177.4 million, up from $100.1 million a year earlier, including $93.9 million of adjustments to equity units held by partner physicians and $16.8 million for higher RCA earnout estimates.
For the full year, those deal and integration costs nearly doubled to $533.0 million. Borrowing to buy OneOncology also pushed fourth-quarter net interest expense up 75.1% from a year ago to $136.3 million, and management expects net interest expense of $490 million to $510 million in fiscal 2027 before counting the new American Oncology Network deal.
What to watch: the purchase price and debt financing details for American Oncology Network in the upcoming Form 10-K or first-quarter report. More debt and physician equity adjustments would widen the gap between GAAP profit and profit excluding one-offs.
Mail-Order and Drug Price Pressures Slow Distribution
Inside U.S. Healthcare Solutions, fourth-quarter revenue rose 5.4% to $78.3 billion, helped by specialty drug volumes to hospitals and clinics and GLP-1 weight-loss medications. However, Cencora said growth was held back by manufacturer price cuts on certain brand drugs and "lower sales to our large mail order customer". Full-year U.S. revenue grew 4.6%, landing in the lower half of the 4% to 6% target range.
In International Healthcare Solutions, fourth-quarter operating income rose 16.4% to $152.1 million, which left full-year segment profit growth at 8.2%, missing the ~9% target management raised the quarter before. Looking ahead, the new Pharmaceutical Distribution and Services segment โ which combines U.S. and international wholesale distribution โ is planned to grow operating income just 2% to 4% in fiscal 2027, short of its mid-single-digit long-term goal.
What to watch: revenue and operating margin in the new Pharmaceutical Distribution and Services segment in the first quarter of fiscal 2027. Continued sales declines at the large mail-order customer would keep core distribution profit below its long-term target.
Risks this quarter didn't answer
Several standing legal, regulatory, and business questions received no new figures in the fourth-quarter earnings release because detailed disclosures wait for the conference call or the annual Form 10-K filing.
- Underlying U.S. profit growth: the release did not state U.S. operating income growth excluding OneOncology, a figure needed to test how fast the core business grew on its own.
- Standalone clinic economics: while the new Specialty segment groups MSOs with logistics and consulting, standalone MSO revenue and profit and the split between physician-administered (Part B) and pharmacy (Part D) channels remain undisclosed.
- Drug pricing policy rules: the release gave no financial estimate for potential Medicare Part B reimbursement changes, 2028 price negotiations, or 340B hospital drug discount rules.
- Opioid lawsuits: accrued litigation liabilities stood at $3.67 billion on the balance sheet, with no update in the release on the Department of Justice lawsuit or the remanded West Virginia case.
๐ฒ Other KPIs
Net debt โ total borrowings minus cash โ nearly doubled from $3.30 billion a year ago to $6.39 billion by our math, as Cencora issued $3.0 billion in senior notes and $1.5 billion in term loans during fiscal 2026 to buy OneOncology. Quarter-over-quarter, net debt fell from $8.91 billion as fourth-quarter working capital brought in cash.
Diluted shares fell 1.8% from a year ago in the fourth quarter after the distributor repurchased $1.0 billion of common stock during fiscal 2026. The lower share count lifted fourth-quarter profit per share growth by about 2.4 percentage points above net income growth, and the fiscal 2027 plan lowers the average count further to about 190 million.
Spending on property and equipment rose 36.2% in fiscal 2026 to $910 million, matching the ~$900 million budget as Cencora builds out its U.S. warehouse network and cold-chain storage. Fourth-quarter capital spending was $398.5 million by our math, and the company plans to spend about $1.0 billion in fiscal 2027.
๐ฎ Guidance
New. The plan calls for 8% to 10% growth in profit per share excluding one-offs (8.9% at the middle of the range by our math), down from 12.3% growth in fiscal 2026 and slightly below the 10% to 14% long-term target. A lower share count (~190 million) helps offset the expected mid-year exit of MWI Animal Health.
New. Total sales are planned to grow 4% at the middle of the range from $337.4 billion in fiscal 2026, compared with 5.0% growth this past year. The slowdown comes from selling Profarma in the first quarter and merging MWI Animal Health at mid-year, which cuts Other revenue from $8.7 billion to about $3.5 billion.
New. Cencora's largest new segment โ combining U.S. and international wholesale drug distribution โ starts from a fiscal 2026 baseline of $284.5 billion and is planned to grow 4% to 6%.
New. The new specialty segment โ housing specialty drug distribution to doctors, clinic management (MSOs), World Courier, Innomar, and core PharmaLex โ starts from a $45.4 billion baseline and is planned to grow 11.5% at the middle of the range.
New. Revenue from non-core businesses under review drops by about 60% from $8.7 billion in fiscal 2026, assuming the Profarma sale closes in the first quarter and the MWI Animal Health merger with Covetrus closes on March 31, 2027.
New. Operating profit excluding one-offs is planned to grow 5% at the middle of the range from $4.8 billion in fiscal 2026, down from 14.0% growth this year and below the 7% to 10% long-term target.
New. Operating profit in the wholesale distribution division is planned to grow 3% at the middle of the range from a $2.7 billion baseline, below the company's new mid-single-digit long-term target for the segment.
New. Operating profit in the specialty and clinic division is planned to grow 19.5% at the middle of the range from a $1.7 billion baseline, ahead of its mid-teens long-term target as the February 2026 OneOncology acquisition contributes for a full twelve months.
New. Operating profit in Other is planned to fall by nearly half from $393 million in fiscal 2026 (down 49.1% by our math) because of the Profarma sale and the assumed mid-year MWI Animal Health exit.
New. Net interest costs are planned to stay near or slightly above fiscal 2026's $490 million, reflecting a full year of debt from the OneOncology purchase.
New. The planned tax rate excluding one-offs is roughly 20%, up slightly from 19.5% in fiscal 2026.
New. The plan puts average diluted shares at about 190 million, down 2.1% from 194.1 million in fiscal 2026.
New. Free cash flow excluding legal settlements is planned at about $3.5 billion, 8.1% below fiscal 2026's $3.81 billion actual result by our math, but $500 million above the initial $3.0 billion target Cencora set for fiscal 2026.
New. Planned capital spending steps up by about 10% from $910 million in fiscal 2026 as U.S. distribution network investments continue.
โ Key Questions
What are the financial terms for American Oncology Network?
Cencora announced a deal to buy American Oncology Network, which has over 350 cancer providers across 21 states, without disclosing the price, debt financing, or whether it is included in the fiscal 2027 outlook.
How fast is the new Specialty segment growing without acquisitions?
Specialty Pharmaceutical and Provider Services is planned to grow operating profit 18% to 21% in fiscal 2027, which includes four extra months of OneOncology. Investors need the underlying growth rate excluding that consolidation benefit.
Why is core wholesale distribution profit growing only 2% to 4%?
Pharmaceutical Distribution and Services is planned to grow operating income 2% to 4% in fiscal 2027, below its mid-single-digit long-term target. Management has not said how much of that gap comes from the large mail-order customer.
What drove the fourth-quarter miss in International operating income?
Full-year International operating income grew 8.2%, missing the ~9% target management raised just one quarter ago. Investors need to know how much the end of the developing-market price-timing benefit hurt the quarter.
