Conduent (CNDT) Q3 2026 earnings review

Conduent's cost cuts lift profit, but its cash burn doubles

Conduent, which runs back-office operations such as customer call centers and Medicaid claims, lifted operating profit through deep cost cuts even as its revenue kept shrinking. Third-quarter sales dropped 12% from a year ago, but operating profit before depreciation, excluding one-offs, rose 16% to $36 million because management has identified $106 million in annual expense reductions. Chief executive Harsha V. Agadi kept the full-year outlook unchanged, which by our math leaves $53 million of profit to earn in the fourth quarter.

At a glance
Revenue from continuing operations$534M -11.7% from a year ago
Operating profit before depreciation, excluding one-offs$36M +16.1% from a year ago (6.7% margin)
Free cash flow, excluding one-offs-$117M -$54M a year ago
Full-year 2026 outlookUnchanged middle of the range: $2.2B sales, $155M profit

⚖️ Verdict: 🔴 Bearish

The story got worse because cash burn widened and new contract signings weakened, pushing positive free cash flow out to 2028. Pausing an invoice-selling facility more than doubled the quarterly cash outflow, while commercial contract wins dropped. On the positive side, completing the $164 million transit unit sale and extending the credit line to 2029 removed near-term liquidity pressure.

The question now is whether cost cuts and asset sales can stabilize the business before shrinking customer contracts eat away the savings. Either the $2.9 billion sales pipeline converts into enough signed work to flatten revenue in 2027, or ongoing client losses force another downward reset. Fourth-quarter contract signings and operating profit will show which way the turnaround is heading.

🐂 Bull Case

🟢🟢 strengthening MARGIN

Cost Cuts Lifted Profit While Sales Dropped

Conduent runs back-office operations such as customer call centers, benefits processing and Medicaid claims for companies and governments. Chief executive Harsha V. Agadi is cutting overhead to lift profitability while sales shrink. "Adjusted EBITDA increased year-over-year and sequentially, and we are reaffirming our full-year 2026 outlook," Agadi said.

The outsourcing group has now identified $106 million of its $120 million annual cost-savings target. Those cuts lowered the cost of delivering services by 1.4 percentage points of revenue from a year ago, to 79.6%, while overhead and sales expenses edged down 0.2 percentage points to 13.5%. That lifted operating profit before depreciation, excluding one-offs, by 16.1% to $36 million, and pushed the margin up 1.6 percentage points to 6.7%. Restructuring charges rose to $22 million from $12 million a year earlier to fund the layoffs.

What to watch: fourth-quarter operating profit before depreciation, excluding one-offs. By our math, the full-year outlook requires $53 million at the middle of the range, which would prove the $106 million in identified savings is flowing into actual results.

🟢 strengthening CAPITAL ALLOCATION

Asset Sales and Credit Refinancing Extended Runway

Conduent is selling its transportation divisions to pay down debt and focus on corporate and government clients. After the quarter ended, the New Jersey-based firm completed the sale of its Public Transit business to Modaxo for $164 million, and it expects to close the sale of its Tolling unit by year-end.

Management also refinanced its $357 million revolving credit line in October, extending the maturity to May 2029 and adding $90 million in new credit commitments for a $447 million total package. This matters because the company had drawn $327 million on its old credit line by September 30, leaving just $3 million of unused borrowing room before theOctober refinancing and transit sale proceeds arrived.

What to watch: closing of the Tolling business sale by the end of 2026 and the resulting debt paydown. Completing the exit will show how much net cash remains to reduce the $327 million credit line balance.

🐻 Bear Case

🔴🔴 persistent GROWTH contradicts narrative

Customer Losses Outpaced New Contract Wins

Agadi said the company is focused on "converting our pipeline into profitable growth and continuing to improve operating performance." To measure sales momentum, Conduent tracks annual contract value (ACV), the yearly revenue expected from newly signed customer deals. While management highlights a $2.9 billion sales pipeline, new signings fell this quarter and total revenue kept shrinking.

  • Commercial segment revenue: $308 million, down 16.1% from a year ago
  • Government segment revenue: $226 million, down 5.0% from a year ago
  • New business ACV signings: $61 million, down 12.9% from $70 million a year ago
  • Trailing four-quarter ACV signings: $355 million, down from $364 million last quarter

Both divisions shrank because of lost contracts and lower client volumes, "partially offset by new business ramp", the company said. Because new contract signings are running flat to down over the past year, they are not large enough to replace departing customers. Management's own three-year plan does not project overall revenue growth until 2028.

What to watch: trailing four-quarter new business ACV in the fourth quarter. A drop below $355 million would show that the $2.9 billion pipeline is still failing to convert into signed work.

🔴🔴 persistent CASH

Cash Burn Doubled and Delayed the Turnaround

A turnaround only helps owners when cost cuts turn into cash. In the third quarter, Conduent burned $116 million in free cash flow—and $117 million excluding one-offs, more than double the $54 million outflow a year earlier. Operating cash outflow widened to $107 million from $39 million, which the company attributed "to a temporary pause of the company's receivables factoring facility", an arrangement that lets it sell customer invoices for immediate cash.

To cover the cash drain and boost its bank balance, the business drew $183 million from its credit line during the quarter. That pushed net debt, excluding one-offs, up to 2.9 times trailing 12-month operating profit before depreciation, up from 2.1 times in June. In its multi-year plan, management also pushed back its target for positive free cash flow from 2027 to 2028.

What to watch: fourth-quarter operating cash flow and whether the invoice-selling facility resumes. A rebound in cash collections will show if the $107 million outflow was a one-quarter timing issue or a deeper working-capital drain.

🔴 persistent PRODUCT

AI Tools Have Not Stopped Commercial Attrition

Conduent wants artificial intelligence to make its services faster and protect its call-center and document-processing work from automated rivals. This quarter the company set up an enterprise AI Center of Excellence "to accelerate adoption of AI across Conduent by prioritizing high-value opportunities", added Google's Gemini models to its Viewpoint legal-review software, and won an AI audit contract with a global automaker.

Despite these product launches, the Commercial division—which houses customer-experience and business-process services—saw revenue drop 16.1% from a year ago, while its operating profit margin before depreciation slipped 0.7 percentage points to 9.4%. More concerning, Commercial new business ACV signings fell to $16 million from $45 million in the second quarter. New AI tools are not yet winning enough corporate contracts to offset lost clients.

What to watch: Commercial new business ACV signings in the fourth quarter. A rebound from $16 million is required to meet management's target of flat Commercial revenue in 2027.

🔴 persistent DISCLOSURE

Risks this quarter didn't answer

Three standing risks received no new numbers in the third-quarter release or presentation, leaving their financial impact open until the quarterly filing or year-end report.

  • Net contract attrition: management replaced its net recurring revenue activity metric with gross signings two quarters ago, and the release again omits total contract losses.
  • January 2025 cyber event: the cautionary statements note the court could still alter or reject the class-action settlement, with no dollar liability or insurance recovery disclosed in the release.
  • Realized cost savings: management has identified $106 million of its $120 million savings goal, but did not state how much actually lowered third-quarter expenses versus future quarters.

💲 Other KPIs

Accounts receivable, net (26Q3) $400 million
⇗ accelerating

Customer unpaid bills rose 17.3% from $341 million at year-end 2025 and increased from $337 million in June, even though quarterly revenue shrank. The build-up occurred because Conduent temporarily paused the facility it uses to sell invoices for early cash, locking up $76 million in working capital during the quarter.

Capital expenditures (26Q3) $10 million
⇘ decelerating

Cash spending on property, equipment and internal software fell by more than half from $21 million a year ago, dropping to 1.9% of revenue by our math (or 2.8% when including software implementation costs). Lower capital spending helped cushion the operating cash outflow and is a central part of management's cost-cutting plan.

Contract liabilities (26Q3) $55 million
⇗ accelerating

Contract liabilities—cash collected from clients for services Conduent has not yet delivered—rose 25.0% from $44 million at the end of 2025 and $46 million in the second quarter. That provides a small upfront cash buffer against rising unpaid bills.

🔮 Guidance

FY 2026 Revenue $2.15–2.25 billion
🠆 unchanged from $2.15–2.25 billion
⇒ stable

Unchanged. The full-year plan still calls for revenue from continuing operations to fall about 9.6% at the middle of the range. By our math, that leaves $548 million for the fourth quarter, down 9.7% from a year ago and up slightly from $534 million in the third quarter.

FY 2026 Operating profit before depreciation, excluding one-offs $140–170 million
🠆 unchanged from $140–170 million
⇗ accelerating

Unchanged. The outlook calls for full-year operating profit before depreciation, excluding one-offs, to rise 26.0% at the $155 million middle of the range, with a 6.5% to 7.6% margin. By our math, hitting the middle of the range requires $53 million in the fourth quarter—up from $36 million in the third quarter and $44 million a year ago.

FY 2027 Revenue $2.15–2.25 billion
🠆 unchanged from $2.15–2.25 billion
⇄ reversing

Unchanged from the September strategic update. The plan projects flat revenue next year for both the Commercial and Government divisions, halting this year's 9.6% decline before growing to $2.25–2.35 billion in 2028.

FY 2027 Operating profit before depreciation, excluding one-offs $170–200 million
🠆 unchanged from $170–200 million
⇗ accelerating

Unchanged from September. The target represents a $30 million step-up from the 2026 range, lifting the margin to 7.9%–8.9% as the $120 million cost-reduction program takes full effect, followed by $210–250 million in 2028.

FY 2027 Free cash flow, excluding one-offs Negative
🠆 unchanged from Negative
⇒ stable

Unchanged from the September update, which pushed the goal for positive cash generation out to 2028 from the earlier 2027 target. Management expects cash flow to remain negative through next year even as net debt drops to 2.5 times operating profit.

❓ Key Questions

Why was the invoice-selling facility paused, and has it resumed?

Pausing the receivables factoring facility drove a $107 million operating cash outflow and pushed uncollected bills up to $400 million. Investors need to know whether the pause was tied to the October credit-line refinancing and if cash collections will normalize in Q4.

Why did Commercial new business signings drop to $16 million?

Commercial new business annual contract value fell from $45 million in the third quarter of 2025 and $51 million in the second quarter of 2026 to just $16 million. Management needs to explain how Commercial revenue can flatten in 2027 with signings at that level.

What was net contract attrition across the past four quarters?

Two quarters ago Conduent stopped reporting net recurring revenue activity, which deducted lost contracts from new wins. With total revenue down 11.7% despite $355 million in trailing gross signings, only the net attrition figure shows how fast the customer base is leaking.

How much of the $106 million in identified savings is already in Q3?

Reaching the middle of the full-year profit outlook requires fourth-quarter operating profit before depreciation to jump to $53 million from $36 million in Q3. Knowing how much cost reduction remains to hit the income statement in Q4 will show if that jump is realistic.
