Broadstone Net Lease (BNL) Q3 2026 earnings review

Broadstone secures construction funding, but pending shares cap per-share growth

Broadstone Net Lease locked in the funding for its construction pipeline while growth at its existing properties slowed. Cash profit (AFFO) per share rose 5% from a year ago as the commercial property landlord finished six custom developments. Chief executive John Moragne raised the full-year investment plan after selling $298 million of new stock on a delayed-settlement basis. However, same-store rent growth slowed to under 1% as two buildings entered redevelopment and the company wrote off $3 million of accrued rent.

At a glance
Same-store rental revenue+0.7% 1.9% excluding redevelopments, by our math
AFFO per diluted share$0.39 +5.4% from a year ago
Unsettled forward stock proceeds$409.3M 21.0M shares to settle by Sept 2027
Full-year investment outlookRaised $50M middle of the range: $750M

โš–๏ธ Verdict: โšช Neutral

The story is unchanged because the new stock sales solve the balance-sheet worry while locking in future per-share dilution. Counting the $409 million of unsettled stock proceeds cuts net debt to 5.4 times cash flow, down from 5.9 times last quarter. The bad news: those 21 million forward shares equal 10% of the share count by our math, and the active construction pipeline outside its one big Colorado project shrank to $153 million.

The question now is whether the development pipeline can lift per-share growth above 5% once those 21 million shares settle. Either the Colorado facility and new starts outpace the rising share count, or dilution holds per-share growth Down. Initial 2027 AFFO per share outlook next quarter will settle it.

Forward Stock Sales Cut Pro Forma Leverage

Broadstone Net Lease, a real estate trust that rents single-tenant commercial buildings, returned to the public stock market after four years away. Chief executive John Moragne said the team was "thrilled to return to the public equity markets and complete our $259 million public equity offering - a milestone we are proud of after four years away".

The landlord also sold $38.9 million of stock through its regular sales programme and signed a $300 million delayed-draw term loan. All of the new stock was sold through forward agreements, which lock in the sale price today but deliver the shares and cash later. That pushed total unsettled proceeds to $409.3 million and cut net debt to operating cash flow, counting those proceeds, from 5.9x to 5.4x.

What to watch: the timing of share settlements through September 2027. Settling the shares at the same time new developments start paying rent would keep net debt near 5.4 times cash flow without cutting per-share profit.

Six Projects Stabilized and Investment Plan Raised

Broadstone relies on build-to-suit developments, where it funds custom buildings for tenants on long-term leases, to drive its growth. During the third quarter, the real estate group completed six of these custom projects and started collecting rent on them. In October, it finished a seventh facility in Bremen, Georgia for wire maker Southwire.

  • Third-quarter completions: $95.3 million across six properties at a 7.3% initial cash yield
  • October completion: $115.4 million Georgia industrial building at a 7.8% initial cash yield
  • Third-quarter total investments: $236.6 million, up from $91.5 million in the second quarter
  • Full-year investment plan: raised to $700โ€“$800 million from $600โ€“$800 million

Finishing these buildings on schedule proves the development programme can turn construction spending into cash rent at yields above 7%. Because the trust deployed $500.0 million in the first nine months, management lifted the bottom of its full-year investment target by $100 million.

What to watch: fourth-quarter investment spending against the $250.0 million needed by our math to reach the middle of the full-year plan. Landing above that mark would lift the starting rent base for 2027.

๐Ÿป Bear Case

๐Ÿ”ด๐Ÿ”ด strengthening CAPITAL ALLOCATION contradicts narrative

Unsettled Stock Sales Equal 10% of Shares

Broadstone uses adjusted funds from operations (AFFO), a standard real estate measure of cash profit from rent, to track its performance. In the third quarter, AFFO per share rose 5.4% from a year ago to $0.39. That beat the 4.7% growth in total AFFO dollars only because the share count has not yet absorbed the new stock sales.

Under accounting rules, unsettled forward shares only enter the share count when the stock trades above the forward price. That rule added just 945,000 shares in the third quarter, and less than $0.005 per share of dilution to the full-year plan. However, the trust has 21.0 million unsettled forward shares waiting to settle by September 2027, equal to 10.4% of its 201.1 million diluted shares by our math.

What to watch: per-share AFFO guidance for 2027 when management issues it next quarter. As the company hands over all 21.0 million shares to collect its $409.3 million in cash, the higher share count will hold per-share profit growth well below total cash profit growth.

One Colorado Project Carries Two-Thirds of Pipeline

"Combined with a committed build-to-suit pipeline of $456 million as of today, we have our capital already at work and our path forward clearly defined," chief executive John Moragne said. That pipeline is the total estimated cost of custom buildings currently under construction, which the company says is "reflecting the depth of our developer relationships and the continued execution of our differentiated strategy".

Both the growth opportunity and the concentration risk sit in a single property. In the third quarter, Broadstone formally started its $303.0 million advanced technology facility in Colorado, alongside two small retail stores in Texas for Hobby Lobby and Academy Sports. By our math, those two stores added just $22.8 million of new commitments. Outside the Colorado site, the active pipeline shrank to $153.3 million by our math as completed buildings rolled off.

What to watch: new custom development starts in the fourth quarter and the March 2027 rent start for the Colorado building. Without new deals, development growth after next spring rests almost entirely on that one project.

Rent Write-Offs and Redevelopments Slowed Same-Store Growth

Same-store rental revenue, which measures rent from the 719 properties Broadstone has owned since the start of 2025, grew 0.7% from a year ago. That is down from 2.2% growth in the second quarter and 2.8% in the first quarter, even though annual rent increases written into its leases held steady at 2.1%.

Two items caused the slowdown. First, two properties under redevelopment generated zero rent this quarter against $1.2 million a year ago, which cut industrial same-store growth to 0.1%. Excluding those two buildings, same-store rent grew 1.9% by our math. Second, on total lease revenue, the landlord wrote off $2.9 million of previously recorded rent, up from zero last quarter. Without write-offs, total revenue grew 8.6% from a year ago by our math instead of 6.7%.

What to watch: fourth-quarter accrued rent write-offs and same-store industrial rent. A second quarter of write-offs would show that tenant credit issues are offsetting the 2.1% annual lease escalators.

๐Ÿ”ด persistent CASH

Reported Debt Ratio Rose to 6.6x

While Broadstone's debt ratio looks low when counting future stock proceeds, the debt actually sitting on its balance sheet kept climbing. The trust funds ongoing construction with its bank credit line before settling its forward stock sales. Total net debt rose to $2.88 billion, up 27.0% from $2.27 billion a year ago by our math.

That borrowing pushed net debt to annualized adjusted cash flow (EBITDAre) up to 6.6x, from 6.4x last quarter and 5.7x a year ago. Because the company drew another $108.1 million on its credit line and $100.0 million on its new term loan, the share of debt paying floating interest rates rose to 30.7% from 24.1% in the second quarter.

What to watch: reported net debt to annualized adjusted EBITDAre in the fourth quarter. Until Broadstone settles its forward stock Agreements and pays down its credit line, it carries higher interest expense on $889.0 million of variable-rate debt.

๐Ÿ”ด persistent DISCLOSURE

Risks this quarter didn't answer

Three standing property and tenant risks received no update in the third-quarter earnings release or supplemental tables, as management typically addresses property-level developments on the conference call.

  • Project Triboro data-center land: no update in the release on zoning, power delivery timelines, or whether the company has chosen among selling the land, building warehouses, or developing a data center by year-end.
  • Speculative redevelopments: the same-store table shows two properties in redevelopment with zero rent, but gives no leasing update on the former Claire's warehouse or the C.H. Robinson building.
  • Restaurant tenant credit: no update on Red Lobster store performance, and the release did not name which tenants drove the $2.9 million write-off of accrued rent.

Operating profit and margin (26Q3) $51.5 million (42.3% margin)
โ‡˜ decelerating

Operating profit โ€” lease revenue minus operating expenses โ€” fell 2.2 percentage points as a share of revenue from a year ago by our math, to 42.3%. Depreciation and amortization rose 6.4 percentage points of revenue as new properties entered the portfolio, while lower property impairment charges ($1.5 million vs $7.0 million a year ago) offset most of that increase.

Free cash flow (26Q3) $64.6 million
โ‡„ reversing

Cash from operations minus capital spending rose 11.4% from a year ago by our math, rebounding from $45.6 million in the second quarter. Operating cash flow climbed 36.5% to $87.6 million on timing of working capital, while revenue-generating capital spending on existing properties rose to $21.9 million from $5.6 million a year ago.

Quarterly dividend declared (26Q3) $0.295 per share
โ‡— accelerating

The board raised the quarterly payout by 0.9% from $0.2925 per share, where it had stood for the prior three quarters. At $0.295 per share, the dividend equals 75.6% of third-quarter AFFO per share by our math, leaving cash to help fund property improvements.

๐Ÿ”ฎ Guidance

FY26 AFFO per diluted share $1.55โ€“$1.57
๐Ÿ † unchanged from $1.55โ€“$1.57
โ‡— accelerating

Unchanged. The middle of the range stays at $1.56 per share, or 4.7% growth over 2025 by our math, and now includes less than $0.005 of dilution from unsettled forward stock. After $1.16 per share in the first nine months, the middle of the plan leaves $0.40 for the fourth quarter by our math, up 5.3% from a year ago.

FY26 Real estate investments $700โ€“$800 million
๐Ÿ … raised from $600โ€“$800 million
โ‡— accelerating

Raised. Broadstone lifted the bottom of the range by $100 million, moving the middle to $750 million, roughly even with 2025 levels by our math. With $500.0 million invested through September, the middle of the plan leaves $250.0 million for the fourth quarter by our math. It is the second raise this year: +$137.5 million at the middle in the second quarter, and +$50.0 million now.

FY26 Real estate dispositions $150โ€“$200 million
๐Ÿ … raised from $100โ€“$150 million
โ‡— accelerating

Raised. Management lifted both ends of its property sales target by $50 million, taking the middle to $175 million, up 82.1% from 2025 by our math. The trust sold only $12.5 million of properties in the third quarter, so the higher target points to a busy fourth quarter of asset sales to help fund construction. Second straight raise: +$37.5 million last quarter, +$50.0 million now.

FY26 Core general and administrative expenses $30โ€“$31 million
๐Ÿ † unchanged from $30โ€“$31 million
โ‡˜ decelerating

Unchanged. The middle of the overhead cost plan remains $30.5 million. After $7.4 million of core overhead in the third quarter and $24.1 million across the first nine months by our math, the middle of the outlook leaves $6.4 million for the fourth quarter.

โ“ Key Questions

Which tenants drove the $2.9 million accrued rent write-off?

Net write-offs of accrued rental income jumped to $2.9 million after two quarters at zero, even as rent collection hit 99.9%. Naming the tenants would show whether this was a one-off lease exit or new trouble in restaurants or retail.

Can Broadstone replenish its build-to-suit pipeline outside Colorado?

Excluding the $303.0 million Colorado project, the active development pipeline fell to $153.3 million by our math, with only $22.8 million of new retail starts in the quarter. Investors need to know how many new projects are under letter of intent for 2027.

When will the 21.0 million forward shares actually settle?

Unsettled forward equity now equals 10.4% of diluted shares by our math, but only 945,000 shares sit in the current share count. The settlement schedule through September 2027 will determine how much dilution hits 2027 per-share cash profit.

Has management chosen a path for Project Triboro?

Management previously committed to deciding by year-end whether to sell, build warehouses, or develop a hyperscale data center on its Triboro land, and to have the first building pad ready in the fourth quarter. The release gave no update.
