BKV Corporation (BKV) Q3 2026 earnings review

BKV's gas output beats plan, but power profit falls short

BKV's natural gas wells and customer power deals moved ahead while its Texas power plants missed their summer profit target. Daily gas and liquids output excluding the September Barnett acquisition rose 17% from a year ago by our math, lifting profit per share excluding one-offs by 33%. However, solar and battery supply on the Texas grid capped summer electricity prices, cutting power division profit to $30 million against a $45 million to $65 million plan.

At a glance
Daily gas and liquids output981.2 MMcfe/d +17% from a year ago excluding acquisition, by our math
Profit per share, excluding one-offs$0.36 +33% from a year ago
Power segment Adjusted EBITDAX$29.5M missed $45–65M plan by 46% at middle of range
Fourth-quarter capital spending plan$315–385M up from $188M of Q3 capex and deposits

⚖️ Verdict: 🟢 Bullish

The story got better because prospective technology customers agreed to financially backstop BKV's power equipment orders before signing final electricity contracts. Chief executive Chris Kalnin doubled the planned Temple modular power expansion after an artificial intelligence lab agreed to reimburse equipment costs if talks fail, and Verra certified the company's carbon credits for sale. One caution: by our math the fourth-quarter outlook leaves full-year power profit near $101 million, well below the $135 million to $175 million annual plan stated last quarter, while net debt rose to 2.4 times annualized cash profit.

The question now is whether BKV converts its temporary equipment reimbursement deals into binding multi-year electricity sales contracts. If it signs those contracts, it locks in contracted cash flow for its enlarged power build-out; if talks stall, its existing Texas plants remain exposed to solar-capped grid prices after borrowing heavily. The November 18 and December 21 reimbursement deadlines with the artificial intelligence lab will tell.

🐂 Bull Case

🟢🟢 GROWTH

Gas Wells Beat Output Plan on Lower Drilling Spend

"Our upstream business delivered another strong quarter, with continued operational outperformance providing a solid foundation as we advanced our strategic growth initiatives," chief executive Chris Kalnin said. BKV produces natural gas and liquids primarily in the Barnett Shale of Texas, and it relies on cash from these wells to fund its newer power and carbon businesses.

The drilling division beat its production target while spending less than planned on new wells. Output averaged 981.2 million cubic feet equivalent per day (MMcfe/d), a measure that combines gas and liquids volume. Even without the 16 days of volume from the Barnett acquisition closed on September 15, output was about 970 MMcfe/d by our math, beating the 935 to 965 MMcfe/d outlook through "new well development outperformance and peer-leading base decline management".

  • Gas and liquids production: up 18.4% from a year ago (up 17.1% excluding the September acquisition by our math)
  • Well development capital spending: $51.5 million, below the $55 million to $75 million plan
  • Realized natural gas liquids price before hedges: $23.05 per barrel, up 51.9% from $15.17 a year ago
  • Upstream and pipeline segment profit (Adjusted EBITDAX, earnings before interest, tax, depreciation and exploration): $122.1 million, up 66.5%

Higher volumes and lower pipeline fees cut per-unit operating cash costs by three cents from a year ago to $1.42 per thousand cubic feet equivalent. That efficiency allowed the gas division to more than cover the profit drop in the power division.

What to watch: fourth-quarter well development spending against the $55 million to $75 million plan. Staying near the bottom of that range while delivering the 1,010 to 1,030 MMcfe/d output target would confirm that lower well costs are holding after the Barnett acquisition.

Tech Giants Backstop Power Equipment Before Signing Contracts

BKV owns 75% of a joint venture that runs the Temple natural gas power plants in Texas and is ordering turbines and generators to supply electricity to artificial intelligence data centers. Buying power equipment before signing a long-term power purchase agreement (PPA), a multi-year contract to sell electricity, puts cash at risk. Finance chief David Tameron said BKV's new customer deals provide "important financial protections and flexibility as we advance commercial discussions".

Two prospective customers agreed to cover equipment costs while contract talks continue. An unnamed artificial intelligence lab signed a cost reimbursement agreement backing a doubling of planned modular gas generators at Temple from 200 megawatts (MW) to 400 MW, covering up to $179 million if no power contract is reached by November 18, 2026, or up to $374.1 million if the lab takes over the equipment order. Separately, a large cloud computing company backstopped a 1.2-gigawatt gas turbine order announced in October.

These agreements let the energy producer lock in scarce factory slots and double its near-term modular power build without bearing the full cancellation bill if talks fail. However, neither deal is a signed electricity sales contract yet.

What to watch: whether the artificial intelligence lab signs a binding power contract or extends its reimbursement deadline past November 18, 2026, and December 21, 2026. Converting the temporary backstop into a multi-year electricity contract would lock in the return on this year's equipment deposits.

Carbon Capture Volume Jumps and Wins Credit Verification

BKV captures carbon dioxide from natural gas facilities and pumps it permanently underground, an operation called carbon capture, utilization, and sequestration (CCUS). The Denver-based group wants to pair those captured emissions with its own gas production to sell certified carbon-neutral natural gas at a higher price.

The company expanded its operating carbon portfolio to four sites by acquiring an injection well in the September Barnett deal, pushing quarterly volume up 53.8% from last quarter to 55,200 metric tons. Stripping out 5,400 tons from the newly acquired well, volume still rose 38.7% by our math as the Eagle Ford and Cotton Cove sites ramped up. In addition, standards body Verra certified BKV's credits, allowing the firm to "monetize carbon credits through its Carbon Sequestered Gas" under existing contracts with Kiewit and Gunvor.

What to watch: federal Section 45Q tax credit revenue and carbon-neutral gas sales in the fourth quarter. Tax credit revenue was $3.3 million this quarter, and the jump to an annual injection pace of 350,000 metric tons should lift that line next quarter.

🔴🔴 MACRO contradicts narrative

Solar and Batteries Cut Summer Power Profit Nearly in Half

Management has pitched its Texas power plants as a major beneficiary of surging electricity demand on the Electric Reliability Council of Texas (ERCOT) grid. The Temple I and II plants ran reliably during the third quarter, lifting electricity generation by 3.2% from a year ago to 2,317 gigawatt-hours and raising combined plant usage to 71.7% of capacity.

Higher demand did not translate into higher prices. BKV said that despite record grid demand, "wholesale power prices and spark spreads were below expectations, as increased renewable generation and battery storage moderated peak pricing". The spark spread — the margin between the price of electricity sold and the cost of natural gas burned to make it — fell 9.2% from a year ago to $21.18 per megawatt-hour.

  • Power segment Adjusted EBITDAX: $29.5 million, missing the $45 million to $65 million outlook by 46.4% at the middle of the range
  • Realized power price including hedges: $40.37 per megawatt-hour, down 8.0% from a year ago
  • Fourth-quarter Power Adjusted EBITDAX outlook: $10 million to $30 million
  • Full-year Power Adjusted EBITDAX implied by the Q4 outlook: about $101 million by our math, 34.9% below the $135 million to $175 million full-year target repeated last quarter

Last year BKV blamed mild summer weather for a third-quarter power profit shortfall. Missing its summer target by nearly half during a quarter of record grid demand shows that solar panels and grid batteries are shaving off the afternoon price peaks that uncontracted gas plants rely on.

What to watch: signed long-term power purchase agreements for the existing Temple I and II plants. Until BKV locks in fixed contract prices with data center buyers, renewable supply on the Texas grid will keep pressuring open-market power margins.

🔴 CAPITAL ALLOCATION

Debt Load and Share Count Swell Ahead of Q4 Spending

Tameron said BKV remains focused on "preserving financial flexibility and maintaining a strong balance sheet" as it builds out its power division. To fund acquisitions and power equipment orders, the company issued $575 million of 1.625% convertible notes in the third quarter following a common stock offering earlier in the year.

Those financings pushed total principal debt to $2.0 billion and net debt to $1.37 billion, up 56.9% since the end of 2025 by our math. BKV's net leverage ratio — net debt divided by annualized third-quarter Adjusted EBITDAX — climbed to 2.41 times, up from 1.78 times in June and well above the 1.0 to 1.5 times long-term target management set last year. Diluted share count also rose 28.7% from a year ago to 109.4 million shares, holding per-share profit growth (excluding one-offs) to 33.3% even as dollar profit rose 72.4%.

What to watch: cash outflow and joint-venture partner contributions in the fourth quarter. BKV plans $315 million to $385 million of fourth-quarter capital spending and expects $80 million to $100 million from its partners, which will test whether net leverage climbs higher before new power assets generate cash.

In-House Gas Marketing and Overhead Lift Operating Costs

GAAP operating margin fell 16.4 percentage points from a year ago to 14.1%, primarily because non-cash derivative gains dropped by $83.9 million and BKV brought all natural gas marketing in-house for its first full quarter. Seeking "retention of previously outsourced marketing economics", the company recorded $65.1 million of marketing revenue and $60.9 million of marketing expense, which lifted marketing costs by 11.7 percentage points of revenue while adding $4.2 million of net margin by our math. General and administrative overhead also rose 2.4 percentage points of revenue to $44.3 million after consolidating the power joint venture.
