Aemetis (AMTX) Q3 2026 earnings review

Federal tax credits lift Aemetis to profit, but debt grows

Federal tax credit revisions pushed Aemetis, a California producer of dairy biogas and fuel ethanol, to a quarterly profit while its near-term debt kept climbing. Reported sales rose 49% from a year ago to $88 million, though sales excluding federal 45Z production tax credits grew 7% by our math. Finance chief Todd Waltz said a September government emissions update lifted dairy biogas tax credit values from about $15 to $62 per unit, letting the company book an $11 million retroactive catch-up for the first half of the year. Without that catch-up, third-quarter operations still lost about $6 million after interest expense by our math.

At a glance
Revenue excluding 45Z tax credits$63.5M +7.2% from a year ago (by our math)
Section 45Z tax credit revenue$24.7M includes ~$11M first-half catch-up
Dairy biogas volume sold158.2K MMBtu +39% from a year ago
Series A preferred redemption planExtended due Dec 31, 2026; current debt at $377M

⚖️ Verdict: 🟢 Bullish

The story got better because the federal government finally delivered the higher biogas tax credit rate, and Aemetis turned $22 million of credits into cash in September. In addition, two delayed dairy digesters started operating in October, lifting the network to 14 units after a year without additions. One caution: the balance sheet remains fragile, with $377 million of debt due within a year against $3 million in cash, and the biogas subsidiary had to push its preferred unit payoff deadline to December 31.

The question now is whether recurring tax credit cash and two new digesters can cover the company's nearly $16 million quarterly interest bill before debt deadlines hit at year-end. Either fourth-quarter credit sales fund operations without an $11 million retroactive boost, or borrowing costs and share dilution keep absorbing the gains. Fourth-quarter operating profit and the December 31 preferred unit deadline will settle it.

🟢🟢 MACRO

Federal Emissions Update Quadrupled Biogas Tax Credit Value

Section 45Z is a federal tax credit for producing low-carbon fuel, and for over a year delays in government emissions formulas kept Aemetis's biogas credits near the bottom of management's target range. On September 8, the Department of Energy updated its 45ZCF-GREET emissions model, cutting the carbon scores assigned to dairy manure gas.

"The September 8 update to the 45ZCF-GREET model increased the Section 45Z credit value for our dairy RNG from approximately $15 to approximately $62 per MMBtu, before sale discounts and transaction costs, and provides a recurring source of revenue and cash flow," finance chief Todd Waltz said. The biofuels producer booked $24.7 million of 45Z revenue this quarter and collected $22.4 million in cash from credit sales in September.

  • Third-quarter dairy biogas 45Z credits: $9.1 million, or about $57.50 per million British thermal units (MMBtu) by our math
  • First-half retroactive catch-up booked in Q3: about $11.0 million for gas dispensed in Q1 and Q2
  • California ethanol 45Z credits: $4.6 million, or about $0.29 per gallon by our math, down from $0.42 in Q2

What to watch: fourth-quarter cash proceeds from 45Z credit sales and the realized discount per MMBtu. Converting the $9.1 million quarterly dairy run-rate into cash each quarter would prove the company can monetize the higher federal rate without long delays.

🟢 strengthening GROWTH

Dairy Biogas Volume and California Credit Prices Rose Together

Aemetis Biogas captures methane from dairy manure pond digesters and sells the cleaned fuel as renewable natural gas (RNG), earning federal Renewable Identification Numbers (RINs) and California Low Carbon Fuel Standard (LCFS) credits alongside the gas. After sitting at 12 operating digesters for a year, the network added two new units in October, reaching 14 digesters fed by 17 dairies.

Third-quarter gas sales rose 39% from a year ago and 8% from last quarter to 158,200 MMBtu. At the same time, average prices for California LCFS credits climbed 35% from a year ago to $73 per credit, and rising from $66 in the second quarter, while LCFS volume grew 25% to 27,800 credits.

What to watch: fourth-quarter biogas volume once the two October digesters run for a full period, plus approval of six pending California carbon pathways. A move above 170,000 MMBtu would confirm the new digesters are contributing on schedule.

🟢 strengthening MARGIN

Ethanol Prices and Factory Output Outpaced Corn Costs

The company's Keyes facility in California grinds corn to make fuel ethanol and wet distillers grains, an animal feed sold to local dairies. In the third quarter, the plant ran at 114% of its designed capacity, up from 107% a year ago, lifting ethanol volume 6% to 15.6 million gallons.

Higher selling prices more than covered dearer grain, helping pull company-wide cost of goods sold—the direct cost of making fuel—down by 33.5 percentage points of revenue from a year ago, to 66.6%. Average ethanol prices rose 10% to $2.34 per gallon and animal feed prices rose 17% to $89 per ton, while delivered corn costs increased 6% to $6.29 per bushel.

What to watch: the spread between California ethanol prices and delivered corn costs in the fourth quarter, when fuel prices typically cool down. Holding gross profit positive without the third quarter's tax catch-up requires ethanol prices to stay ahead of grain costs.

Near-Term Debt Keeps Climbing While Cash Remains Thin

Aemetis carries a heavy debt load owed primarily to its senior lender, and the company says it is pursuing a financing plan "to address near-term obligations and fund continued growth across its operating platform". Despite collecting $22.4 million from tax credit sales in September, cash on hand ended the quarter at just $3.4 million, while short-term borrowings and the current portion of long-term debt rose to $376.9 million.

  • Debt due within one year: $376.9 million, up $22.7 million from Q2 and up $59.1 million since December 2025 by our math
  • Cash and cash equivalents: $3.4 million, down from $4.9 million at year-end 2025
  • Series A preferred units at the biogas subsidiary: redemption deadline extended in August to December 31, 2026

The August agreement reduced the penalty interest rate that applies if the preferred units are not redeemed by year-end to the greater of the prime rate plus 5 percentage points or 12%. That buys four months of breathing room, but the long-promised refinancing of the Keyes plant and dairy network still has not closed.

What to watch: the outcome of the December 31, 2026 Series A preferred unit deadline and the quarterly filing's debt footnote. Another short extension or conversion into high-rate debt would show long-term refinancing remains out of reach.

Reported Profit Rested on a Retroactive Tax Catch-Up

Chief executive Eric McAfee highlighted the "third quarter net income of $5.2 million" as evidence of the company's turnaround, and operating income swung to $20.9 million from an $8.5 million loss a year ago as administrative overhead fell 4.5 percentage points of revenue to 9.8%. However, the quarter's revenue included an $11.0 million retroactive 45Z tax credit catch-up for biogas dispensed during the first and second quarters of 2026.

Stripping out that $11.0 million prior-period true-up by our math leaves third-quarter operating income at $9.9 million and Adjusted EBITDA at $13.8 million. Because quarterly interest expense rose to $15.8 million, ongoing operations lost about $5.8 million after interest by our math, and excluding all $24.7 million of 45Z tax credits leaves an operating loss of $3.8 million.

What to watch: fourth-quarter operating income against the $15.8 million quarterly interest bill when no multi-quarter tax catch-up boosts revenue. Covering interest expense from recurring operations requires either higher credit sales or lower borrowing costs.

Share Issuance and Slipping Timelines Weigh on Recovery

Three standing risks continued to drag on shareholder returns this quarter: ongoing equity dilution, start-stop biodiesel orders in India, and shifting project schedules. Even with $5.2 million of net income, diluted earnings per share printed at negative $0.02 in the income statement table, and basic share count rose 13.8% from a year ago.

  • Weighted average basic shares: 72.5 million, up from 70.9 million in Q2 and 63.7 million in Q3 2025
  • India biodiesel sales: $7.3 million, down 47% from $13.9 million a year ago after late-July tender awards
  • India plant utilization: 17.7% of capacity, down from 33.4% in Q3 2025

What to watch: fourth-quarter India biodiesel sales and basic share count. After $7.3 million in Q3, the India unit needs nearly $10 million in October to reach management's earlier $17 million expectation for the late-summer allocation.
