AGNT, Inc. (AGNT) Q3 2026 earnings review
AGNT home sales rise, but higher costs force profit cut
AGNT, Inc., the parent of real estate brokerages eXp Realty and NextHome, grew third-quarter home sales while its operating costs climbed faster. Revenue rose 6% to $1.39 billion as closed home transactions increased, but higher overhead and a one-time investment write-down pushed the group to a net loss. Newly appointed chief executive Leo Pareja and finance chief Jesse Hill cut the full-year profit target for a second straight quarter and forecast an operating cash loss for the fourth quarter.
| Revenue | $1.39B +5.8% from a year ago |
|---|---|
| Adjusted EBITDA | $17.1M -3.2% from a year ago |
| Agents excluding NextHome | -1% from a year ago by our math |
| Full-year Adjusted EBITDA outlook | Cut $11.5M middle of the range: $43.5M |
โ๏ธ Verdict: ๐ด Bearish
The story got worse because rising overhead broke the cost-cutting case. Management raised its full-year operating expense forecast again and expects fourth-quarter sales to fall about 8% from a year ago at the middle of the plan by our math. One bright spot: gross margin almost stopped shrinking after four quarters of declines, and the company resumed buying back shares with $32 million in repurchases.
The question now is whether higher productive-team output and NextHome franchise conversions can offset a stalled agent headcount and falling agent satisfaction. If NextHome converts outside brokerages and international losses shrink, profit can recover once housing rebounds; if underlying agent counts keep slipping, higher fixed overhead will weigh on cash flow. The quarterly filing's segment breakdown and fourth-quarter agent additions will tell.
๐ Bull Case
Home Sales Outpaced Agent Growth
AGNT, Inc., the parent of cloud brokerage eXp Realty and franchise network NextHome, grew home closings faster than its workforce. Chief executive Leo Pareja said the results show "more agents, and more productive agents, than a year ago".
- Home sales transactions: 131,546, up 8.3% from a year ago
- Total sales volume: $59.3 billion, up 9.6% from a year ago
- Transactions per ending agent: 1.50, up 3.3% from a year ago by our math
- International segment revenue: up 27% from a year ago
Higher output per agent helped lift revenue 5.8% to $1.39 billion even though agent headcount rose only 4.8%. Finance chief Jesse Hill said "International remained our fastest-growing segment, with revenue up 27% and continued progress toward profitability as we scale". Still, international revenue growth slowed from 44% last quarter and 68% a year ago, and the release does not state how much of the transaction gain came from adding NextHome.
What to watch: the quarterly filing's segment table for international operating losses and NextHome revenue. Narrowing overseas losses would confirm that international growth is helping the bottom line.
Share Buybacks Returned and Gross Margin Stabilized
The brokerage group resumed buying back its own stock after pausing for the first six months of the year to fund a major legal settlement. By our math from the cash flow statement and balance sheet, AGNT spent $32.0 million in the third quarter to repurchase 8.7 million shares at an average price of $3.68, while also paying $8.4 million in cash dividends.
At the same time, gross margin โ the share of commission revenue kept after paying agents โ almost stopped falling. Gross margin was 6.53%, down just 0.02 percentage points from 6.55% a year ago by our math, after shrinking between 0.26 and 0.59 points in each of the prior four quarters. Even with the buybacks, diluted share count still rose 4.4% from a year ago to 167.8 million because the company pays agents partly in stock.
What to watch: fourth-quarter share repurchases and basic share count. Another quarter of buybacks above agent stock grants would stop share count from growing.
๐ป Bear Case
Fourth-Quarter Outlook Points to a Cash-Profit Loss
"Our third quarter reflects the strength of the financial model we've built and the discipline of the team that runs it," finance chief Jesse Hill said. The numbers and the new outlook say the opposite, because operating costs grew faster than sales and forced a second cut to the full-year profit plan.
- Q3 Adjusted EBITDA: $17.1 million, down 3.2% from a year ago and $0.1 million above the bottom of the $17โ22 million plan
- Q3 operating expenses: $87.9 million, up 6.9% from a year ago
- Full-year Adjusted EBITDA outlook: cut to $40โ47 million from $50โ60 million
- Q4 Adjusted EBITDA outlook: a loss of $7 million to breakeven, versus a $2.1 million profit a year ago
General and administrative overhead rose 6.0% to $66.1 million (4.75% of revenue, up 0.01 percentage points), while technology and development spending rose 9.0% to $18.9 million (1.35% of revenue, up 0.04 percentage points). Because AGNT expects fourth-quarter operating expenses to rise again to $93โ97 million while home sales slow, it now plans for an operating cash loss to end the year.
What to watch: fourth-quarter general and administrative expenses. Until overhead falls alongside seasonal commission drops, full-year profit margins will stay under pressure.
Agent Count Stalls After the NextHome Purchase
AGNT ended September with 87,457 agents and brokers on its platform, up 4.8% from 83,446 a year ago. That headline growth came from buying the NextHome franchise network in May, which added roughly 4,900 agents at close. Stripping out those acquired agents leaves underlying headcount down about 1.1% from a year ago by our math, and total headcount rose by just 119 agents from June.
Meanwhile, agent satisfaction keeps dropping. The global agent Net Promoter Score (aNPS), a survey measure AGNT calls "an important key performance indicator given the Companyโs intense focus on improving the agent experience", fell to 67 from 75 a year ago and 69 last quarter. The release also gave no update on international agent counts or ongoing shareholder lawsuits.
What to watch: sequential agent additions and the satisfaction score in the fourth quarter. A third straight quarter of flat headcount and lower survey scores would show that new technology tools are not keeping agents on the platform.
Housing Slowdown Sets Up a Fourth-Quarter Revenue Drop
Hill noted that AGNT operates "in a housing market that remains challenging". After growing revenue 10.7% in the second quarter and 5.8% in the third, the real estate group trimmed the top end of its full-year sales plan by $100 million.
For the fourth quarter, management expects revenue between $1.0 billion and $1.2 billion. At the $1.1 billion middle of the range, sales would fall 7.7% from $1.19 billion a year ago and drop 21.0% from the third quarter by our math, even with NextHome included for the full period.
What to watch: fourth-quarter real estate sales transactions. A drop in closed transactions would confirm that high mortgage rates are outweighing the NextHome addition.
๐ Other Themes
Chief Executive Transition and Affiliate Disposal Loss
Leo Pareja, previously head of the core eXp Realty brokerage, took over from founder Glenn Sanford as chief executive of the parent company, saying "It is a privilege to lead AGNT into its next chapter as Chief Executive Officer". On the income statement, a $6.4 million non-cash loss from disposing of unconsolidated affiliates pushed AGNT to a $4.3 million net loss; excluding that disposal loss, net income was $2.1 million by our math.
๐ฒ Other KPIs
Cash generated from operations before escrow deposit swings fell 8.7% from $45.4 million a year ago, representing 3.0% of revenue by our math. Standard operating cash flow dropped to $18.2 million from $28.9 million a year ago, and nine-month operating cash flow fell to $77.6 million from $104.8 million.
Unrestricted cash ended at $111.4 million with zero debt, almost unchanged from $111.2 million in June and $112.8 million a year ago. Accounts receivable โ commissions earned on closed home sales not yet collected โ stood at $134.9 million, up 23.9% from December and up 9.0% from a year ago against 5.8% sales growth.
๐ฎ Guidance
New. The plan calls for revenue to fall 7.7% from a year ago and 21.0% from the third quarter at the $1.1 billion middle of the range by our math. That matches the $1.04โ1.24 billion fourth-quarter range that the prior full-year plan pointed to.
Cut. AGNT trimmed $100 million off the top end of the range after holding the target steady for two quarters. The new $4.95 billion middle of the range represents 3.7% growth for the full year and leaves $1.10 billion, or a 7.5% drop from a year ago, for the fourth quarter by our math.
New. The brokerage group expects fourth-quarter overhead to rise 8.1% from the third quarter and 4.0% from a year ago at the $95 million middle of the range by our math, even as commission revenue drops seasonally.
Raised. Management lifted the middle of its full-year expense forecast by $4.5 million, to $364.5 million, up 2.7% from last year by our math. It is the second expense increase in two quarters: $0 million in the first quarter, +$25.0 million in the second, and +$4.5 million now.
New. The outlook calls for an operating cash loss of $3.5 million at the middle of the range, down from a $2.1 million profit in the fourth quarter of last year and down from the $3.2โ8.2 million profit the prior full-year plan pointed to by our math.
Cut. The middle of the full-year profit target fell by $11.5 million to $43.5 million, which is below the $46.9 million already earned in the first nine months. It is the second cut in two quarters: $0 million in the first quarter, -$7.5 million in the second, and -$11.5 million now.
โ Key Questions
Why will fourth-quarter overhead jump to $95 million?
Revenue normally drops in the fourth quarter as home buying slows, yet the outlook has operating expenses rising $7 million from the third quarter. Investors need to know how much of that increase comes from legal bills, events, or NextHome.
How much did NextHome add to third-quarter transactions?
Closed home transactions rose 8.3% from a year ago in the first full quarter of owning NextHome. Without a split between eXp Realty and NextHome, readers cannot tell if the core brokerage is gaining market share.
Why did the agent satisfaction score fall to 67?
The global agent Net Promoter Score dropped 8 points from a year ago to match its multi-year low. Management has not explained which agent groups are unhappy or what caused the drop.
Which affiliate investment caused the $6.4 million disposal loss?
A $6.4 million loss on the disposal of unconsolidated affiliates pushed AGNT into a net loss for the quarter. The release does not name the venture or say whether more write-downs remain on the balance sheet.
