Acacia Research Corporation (ACTG) Q3 2026 earnings review

Acacia's oil unit grows fast, but its manufacturing profit shrinks

Acacia Research Corporation, which buys and runs energy, industrial and patent businesses, grew its oil operation while its patent revenue dried up and its manufacturing unit weakened. Sales excluding patent licensing rose 5% from a year ago to $54 million, led by a 37% jump at Benchmark Energy, and chief executive Martin McNulty announced up to $48 million in new non-recourse financing for oil drilling. Total revenue fell 8% because patent revenue dropped to almost nothing, and the company did not issue a financial outlook.

At a glance
Sales excluding patent licensing$54.2M +4.9% from a year ago

Profit per share, excluding one-offs$0.04 -$0.01 a year ago
Patent amortization run-rate outlookUnchanged ~$1.5M per quarter

โš–๏ธ Verdict: โšช Neutral

The story is unchanged because new financing to drill oil wells offsets deeper trouble at the Deflecto manufacturing business. Benchmark can now fund its next wells without using parent cash, and collecting last quarter's patent settlement lifted cash and securities to $346 million. The bad news: Deflecto's profit fell despite promised factory savings, $17 million of its debt moved into current liabilities, and management still has not deployed its cash pile.

The question now is whether Deflecto can fix its profit margin before its debt terms force a costly restructuring, and whether Acacia will put its $346 million cash pile to work. Either factory cost cuts finally show up and management buys a business, or weak truck and air-duct demand forces Acacia to pay down Deflecto's loan while parent overhead drains interest income. The third-quarter filing's debt footnote will settle the covenant question first.

๐Ÿ‚ Bull Case

๐ŸŸข๐ŸŸข strengthening GROWTH

Benchmark Secures $47.5M Note to Fund Drilling

Benchmark Energy, Acacia's oil and gas subsidiary, is the main growth driver inside the group, though price hedges cap its upside when oil prices rise. In the third quarter, Benchmark delivered its second-highest sales under Acacia's ownership, and after quarter end it "closed a senior secured note financing of up to $47.5 million, including $27.5 million committed, to fund a multi-well development program in the Western Anadarko Basin".

  • Energy revenue: $19.5 million, up 37.2% from a year ago
  • Energy Ebitda, excluding one-offs: $9.1 million, up 47.6% from a year ago
  • Cost of production: 61.3% of energy revenue, down 22.5 percentage points from a year ago by our math
  • Energy derivative losses: $6.1 million total loss in the quarter, including $0.9 million of cash hedge losses

The new financing matters because it funds the next wave of drilling without touching parent cash. Chief executive Martin McNulty said the non-recourse structure lets Acacia "accelerate development while isolating the programโ€™s risk".

What to watch: third-quarter production volume in barrels of oil equivalent when the quarterly filing arrives. A figure near or above last quarter's 547,000 barrels would confirm that new wells are holding up volume.

๐ŸŸข strengthening CAPITAL ALLOCATION

Stock Sales Lift Cash as Portfolio Shrinks

Acacia invests part of its parent cash in public stocks, aiming to sell them when buyouts or catalysts occur. During the third quarter, the investment group booked an $8.2 million realized gain from selling shares, which outweighed $6.0 million of paper losses on its remaining holdings and pushed nine-month stock gains to $9.5 million.

Those sales nearly emptied the public stock portfolio, which dropped to $3.8 million at quarter end from $19.1 million three months earlier by our math. At the same time, the patent business collected its second-quarter settlement, cutting accounts receivable by $55.2 million and lifting parent cash to $336.9 million.

What to watch: purchases of marketable securities in the third-quarter cash flow statement. With only $3.8 million left in public equities, investment gains will stop helping earnings unless management buys new positions.

๐Ÿป Bear Case

๐Ÿ”ด๐Ÿ”ด persistent MARGIN contradicts narrative

Deflecto Profit Shrinks and Debt Turns Current

Deflecto, which makes office, air-duct and truck-safety products, was supposed to show around $2 million of yearly cost savings in the second half of 2026 after closing a factory. Instead, McNulty highlighted that total revenue excluding patent licensing "increased for the third consecutive quarter and was a near record", while Deflecto's profit fell to a new low.

  • Manufacturing revenue: $27.2 million, down 11.7% from a year ago
  • Cost of making products: 81.3% of segment revenue, up 5.7 percentage points from a year ago by our math
  • Manufacturing Ebitda, excluding one-offs: $1.0 million, down from $2.6 million a year ago and $1.1 million last quarter
  • Current portion of long-term debt: $17.0 million, up from zero at year-end as Deflecto's loan moved to current liabilities

This drop matters because Deflecto's debt limit tightened on September 30. Trailing 12-month segment Ebitda excluding one-offs is $4.4 million against $30.9 million of segment debt โ€” 7.1 times by our math โ€” and moving $17.0 million of that loan into current liabilities signals a near-term maturity or required paydown.

What to watch: the debt footnote in the third-quarter filing. It will show whether Deflecto met its 3.5-times leverage limit using bank add-backs or needed a lender waiver.

๐Ÿ”ด๐Ÿ”ด persistent CAPITAL ALLOCATION

Cash Pile Reaches $346M With Zero Buybacks

Acacia acts as a holding company built to buy businesses, and McNulty said that "With an active acquisition pipeline and a flexible investment mandate, we remain focused on compounding long-term intrinsic value per share through disciplined capital allocation". Critics view the idle balance sheet and paused share buybacks as a drag on returns.

Liquid assets โ€” cash, public stocks and loans โ€” rose to $346.3 million, or $3.55 per share, representing 62.8% of book value by our math. Yet Acacia bought no parent-level businesses and repurchased zero shares, while diluted share count rose 1.2% from a year ago and parent overhead rose 11.7% to $5.1 million, including $1.0 million of deal costs.

What to watch: any closed acquisition or resumed share buyback before year-end. Until Acacia deploys cash or shrinks its share count, corporate overhead eats into the interest earned on the cash pile.

Patent Revenue Vanishes Between Settlements

Acacia Research Group, the company's intellectual property division, buys patent portfolios and licenses them through negotiations and lawsuits. Management has cut the unit's fixed costs and patent amortization to soften the blow of quiet quarters, but its revenue remains completely dependent on one-off settlements.

In the third quarter, licensing revenue dropped 96.6% from a year ago to $0.3 million, down from $60.9 million in the second quarter. Cost cuts kept segment Ebitda excluding one-offs at a $2.5 million loss โ€” smaller than the first quarter's $3.5 million loss โ€” and the unit spent zero on new patents.

What to watch: the trial schedule and portfolio intake table in the quarterly filing. Another quarter with no scheduled trials in the next 12 months would point to further quiet quarters ahead.

๐Ÿ”ด persistent GOVERNANCE

Risks this quarter didn't answer

Three standing governance and portfolio concerns received no new detail in the third-quarter press release beyond balance-sheet line items.

  • Bitcoin-backed loans: loans receivable fell to $5.6 million from $7.8 million last quarter and $15.3 million at year-end; the filing's related-party note will show fees paid to the servicer affiliated with Acacia's chairman.
  • Life-sciences investment: equity method investments stayed at zero after last quarter's $30.9 million write-off of MalinJ1; the filing or call will show if Acacia put new money into Mycovia.
  • Controlling shareholder: Starboard Value's majority ownership and services agreement remain in place; the filing will show any related-party charges.

Industrial operations revenue (26Q3) $7.5 million
โ‡„ reversing

Sales at Printronix, which makes industrial printers and supplies, rose 13.1% from a year ago after falling for at least four straight quarters. Segment Ebitda excluding one-offs rose 83.0% to $1.5 million, lifting the segment margin to 20.1% from 12.4% a year ago as supply sales and cost cuts helped.

Free cash flow (26Q3) $10.3 million
โ‡„ reversing

Free cash flow โ€” operating cash flow minus capital spending โ€” swung to $10.3 million from negative $0.8 million in the second quarter and $7.7 million a year ago. The patent unit generated $10.8 million of cash as it collected last quarter's settlement and paid out legal fees and royalties, offsetting $4.4 million of oil-field capital spending.

Book value per share (26Q3) $5.65
โ‡˜ decelerating

Book value โ€” total assets minus liabilities, including minority interests โ€” slipped to $551.6 million, or $5.65 per share, down from $5.71 in the second quarter and $6.05 at the end of 2025. The third-quarter GAAP net loss of $5.6 million and a slightly higher share count reduced the per-share figure.

๐Ÿ”ฎ Guidance

IP segment quarterly amortization and depreciation ~$1.45 million per quarter
๐Ÿ † unchanged from ~$1.46 million per quarter
โ‡’ stable

Unchanged. Acacia issues no formal revenue or profit outlook in its earnings release, but management previously said patent amortization would stay at its lower run rate of about $1.5 million per quarter through 2027. Third-quarter patent amortization and depreciation printed at $1.46 million, down from $5.29 million a year ago, confirming the lower cost base.

โ“ Key Questions

Why Did $17M of Deflecto Debt Become Current?

Acacia moved $17.0 million of Deflecto's $30.9 million debt into current liabilities as its leverage limit stepped down to 3.5 times on September 30. Did Deflecto breach its covenant, or is a mandatory repayment due within 12 months?

Where Are Deflecto's $2M Annualized Cost Savings?

Management previously said closing the Portland factory would save about $2 million a year starting in the second half of 2026. Why did Deflecto's third-quarter Ebitda excluding one-offs drop to $1.0 million, and what pushed product costs higher?

What Was Benchmark's Third-Quarter Oil and Gas Production?

The press release reports $19.5 million of energy revenue โ€” down 5% from the second quarter โ€” but omits production volumes and realized prices. How many barrels did Benchmark produce in the third quarter, and how many wells will the $27.5 million note fund?

What Replaces the Sold Public Stock Portfolio?

Stock sales generated $8.2 million in gains this quarter but shrank the public equity portfolio from $19.1 million to $3.8 million, while Bitcoin-backed loans fell to $5.6 million. Will Acacia buy new public stocks or keep all parent cash in Treasury bills?

Does the Patent Business Have Any Upcoming Trial Dates?

Patent revenue fell to $0.3 million in the third quarter and the unit spent nothing on new portfolios. Have any court trial dates been scheduled for the next 12 months, or have any Wi-Fi 6 or Wi-Fi 7 talks neared settlement?
